ADDENDUM A to PROFESSIONAL SERVICES AGREEMENT MERIDIAN CITY HALL PUBLIC ART PROJECT This ADDENDUM A to the Professional Services Agreement for Meridian City Hall Artwork is made this 17th day of Mazch, 2009 ("Effective Date"), by and between the City of Meridian, a municipal corporation organized under the laws of the State of Idaho ("City"), and J. Amber Conger; on behalf of Refinerii, a Limited Liability Company organized under the laws of the State of Idaho ("Artist"). WHEREAS, the City of Meridian and J. Amber Conger, on behalf of Refinerii, entered into an Agreement For Professional Services/Meridian City Hall Artwork ("February 3, 2009 Agreement") on February 3, 2009; WHEREAS, in the process of designing and engineering the Work that is the subject of the February 3, 2009 Agreement, the Artist determined that the incorporation of a hoist assembly, as described in Exhibit A hereto, would provide an additional safety mechanism for the suspension of the Work, as well as a method by which the Work could be easily raised and lowered for cleaning, and recommended to City that the installation of such hoist assembly be added to the project; WHEREAS, at its regulaz meeting on Mazch 10, 2009, the Meridian City Council adopted such recommendation and directed that such hoist assembly be designed, purchased, and installed; NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged and agreed, and in consideration of the mutual promises and covenants herein contained, the Parties agree as follows: I. SCOPE OF SERVICES. In addition to the services set forth in the February 3, 2009 Agreement, Artist shall: A. Design and engineer the incorporation of the hoist assembly, as described in Exhibit A hereto, into the Meridian City Hall public art project that is the subject of the February 3, 2009 Agreement; and B. Purchase and install such hoist assembly for the suspension of the Work at Site #1, over the Meridian City Hall entryway. II. COMPENSATION. A. Contract increase amount. The total payment to Artist for the design, engineering, purchase, and installation of the hoist assembly shall be $3,094.15. This amount shall constitute full compensation for any and all services, materials, and costs to be performed or furnished by Artist under this Addendum. B. Total contract amount amended. Section II(A) of the February 3, 2009 Agreement shall be ADDENDUM A TO FEBRUARY 3, 2009 PROFESSIONAL SERVICES AGREEMENT FOR CITY HALL ENTRYWAY & COUNCIL CHAMBERS ART PAGE 1 of 2 amended to read as follows: Total amount. The total payment to Artist for the design, fabrication, and installation of the Works shall be ~ $28.094.15. This amount shall constitute full compensation for any and all services, materials, and costs to be performed or furnished by Artist. Of this amount, $9,500.00 will be provided by an Idaho Commission on the Arts Public Art and Cultural Facilities grant; ~8;A89 $13,094.15 will be provided by the City of Meridian; and $5,500 will be provided by private donors. C. Method of payment. Artist shall provide City with an invoice for services and/or materials provided under this Addendum, which City shall pay within thirty (30) days of receipt. City shall not withhold any federal or state income taxes or Social Security tax from this payment made by City to Artist. Payment of all taxes and other assessments shall be the sole responsibility of Artist. III. FEBRUARY 3.2009 AGREEMENT FULLY IN EFFECT. The intent and effect of this Addendum is to enlarge the scope of services as set forth in the February 3, 2009 Agreement. Except as expressly set forth herein, this Addendum does not otherwise modify or alter any term or condition of the February 3, 2009 Agreement in any way. The February 3, 2009 Agreement remains in full effect, and all terms and conditions thereof are incorporated in this Addendum as though fully set forth herein. A hoist is for lifting and a winch is for pulling. A Winch is geared for pulling a load on a relatively level surface_ A winch uses a dynamic brake that must slide. _ A Hoist is geared to lift (dead weight) and has a locking brake that can support a "hanging" load. If a Hoist can lift (dead weight) 250 lbs., then it may be capable of pulling 1000 lbs rolling weight across a hard packed surface. If a Winch can pull 1000 Ibs. across a hard packed surface, it may only have the capacity to support 100 lbs. (dead weight) because the winch employs a different braking system than that of a hoist.
