#1. Please sign the Agreement and return it to the Ada County Highway District for signature.

AMENDMENT N0.1
TO
TEMPORARY LICENSE AGREEMENT
(RIGHT-OF-WAY IMPROVEMENTS)
This Amendment to the certain License Agreement made and entered into the
day of 2008, by and between the Ada County
Highway District, a body politic and corporate of the State of Idaho, and City of
Meridian, an Idaho Municipal Corporation, and issued ACHD Property
Management Number 0731-2074-0608
W ITNESSETH:
For good and sufficient consideration, it is agreed: Section 2. License:
License Not Exclusive: is hereby modified by the words in the following
paragraph, immediately after the words "Pacific RR Tracks" in the 2nd
paragraph of sub-section 2.1:
Licensee to construct, install and maintain pavers, tree grates, planters,
street lamps, benches, trees, shrubs, boulders, lighted bollard and
landscape irrigation system around their proposed East Parking Lot along
Broadway Avenue, Main Street and the Alley along the South side of the
said lot, per attached exhibit "B".
Licensee to delete trees, add pavers and add planters on the corner of the
alley and Broadway and add a planting bed consisting of shrubs at the end
of the alley, as per attached exhibit "C", this will change the original exhibit

Licensee to relocate roof drains to right-of-way in sidewalk area on
Meridian Road, per attached exhibit "D".
Licensee is responsible for all cost for repairs of any said improvements
located in the public right-of-way. Licensee will NOT be reimbursed when
Ada County Highway District removes said improvements for future road
widening projects.
It shall be noted that the depiction of said public right-of-way on Exhibit B
C & D" has been modified to reflect the changes as specified above and the
revised Exhibit "B. C& D" is attached hereto.
Except to the Amendment, all terms and conditions of the above
referenced License Agreement, as amended, shall be and remain in full force
and effect.
