A copy of the request directed to the City Clerk is attached. To date, this matter has not been scheduled on the City Council agenda. lfr. Saunders is suffering substantial financial loss because of the delay. It is my understanding that a City Council meeting is scheduled for August 7, 1978. I sincerely request your efforts in getting this item put on the agenda for that meeting. Although I firmly believe that, with the revisions which have been made as mentioned in my June 7 letter, Mr. Saunders is entitled to the approval he requests, it would even be a benefit to him to get a final disapproval from the City Council, because at that point he could commence an appropriate legal action to protest the disapproval. CBE:bls Enclosure keith romney associates condominium consultants February 13, 1978 Mr. Lorin Saunders Box 7701 Boise, Idaho 83707 Dear Mr. Saunders: I was not terribly surprised to hear that the city fathers in Meridian, Idaho have expressed some reluctance to grant immediate approval to your plans to convert your apartment complex to condominium. As you are no doubt aware, the condominium conversion idea is a rather new concept that many local government bodies are not familiar with at the present time. While the concept is a preeminently reasonable one, it often must be explained in some detail to local officials before they will be willing to espouse it within their communities. Consequently, I would suggest that you take the time to explain some of the many positive aspects of the condominium conversion concept to the planning and zoning, officials in Meridian. These may include: 1. According to the weight of authority across the United States, the conversion of an apartment complex to condominium merely amounts to a change of ownership rather than a change in use. To paraphrase Section 1370 of the California Civil Code, if a structure is permissible as an apartment building (or office building, or otherwise) it is permissible as. a condominium. The fact that condominium units are owned while conventional apartments are leased does not alter the building per se. 2. It has been found in most communities that condominium unit owners are more likely to participate in civic and government activities than apartment tenants. As owners of the units in which they live, they acquire a "we" attitude rather than a "they" attitude. 3. Almost without exception, apartment projects that have been converted to condominium are maintained and kept up better after a conversion than they were prior to the conversion. Because condominium unit owners acquire a very real pride of ownership upon purchasing a converted apartment unit, they will nearly always take better care of both the interior and exterior of a project after its conversion to condominium. 4. The real estate taxes on a rental apartment building are likely to increase after the building is converted to condominium ownership. So, the aggregate assessed values of the condominium units will be greater than the single assessed value of the building taken as a whole as rental property. Consequently, the conversion of an apartment complex to condominium will increase the tax base of the local taxing body. You wondered whether by converting your property to condominium you would need further subdivision approval because you are creating, say, twenty separate title entities in place of one. As a general rule, if the building or buildings originally complied with the subdivision ordinance when they were built, no further subdivision approval should be required on conversion. As I mentioned earlier, there is precedent in the courts indicating that the conversion from rental to condominium is not a change in use withinthe meaning of a zoning ordinance. Since condominium has been in existence in Salt Lake City since 1959, 1 took the liberty of calling both the Salt Lake City and Salt Lake County planning and zoning commissions to determine how they treat condominium conversions. They both indicated that for zoning purposes a condominium conversion is treated the same as an apartment complex. They do require inspection by a city or county building inspector prior to giving approval of the conversion plan. Furthermore, in Salt Lake City, a developer is required to file a petition with the city prior to recording the condominium documents. The petition must be accompanied by copies of the declaration, bylaws, and the original drawings of the apartment complex. Both Salt Lake City and Salt Lake County indicated that most conversions that have been effected in the area have worked out well. They noted particularly that condominium conversions seem to be kept up better as condominiums than they were as apartments. On a nationwide basis, especially in such cities as Chicago and Washington, D.C., where many conversions have taken place, there has been some concern on the part of local officials regarding the rights of tenants. Various ordinances and some state acts have included provisions providing protection for existing apartment tenants. Such provisions usually require the developer to give adequate notice of eviction prior to turning people out in preparation for a conversion, and a provision granting to the tenants a first right to purchase units when they are offered for sale. INFORMATION FOR MERIDIAN CITY COUNCIL CONCERNING BROADWAY ES'T'ATES CONDOMINIUMS In the following pages, I've outlined briefly and as factually as possible the reasons and procedures we took before and after starting the condominium -conversion idea. I was concerned that the realtors who initiated the idea had proceeded without a thorough examination of any legal problems related to such a conversion, but I'm convinced now that they dial follow a sensible course and did not knowingly sidestep any government ordinances or regulations. They knew there would be considerable expense to me and therefore tried inevery way to proceed correctly. This is a new experience for everyone involved. In fact, it's fairly new to the area. However, these conversions are wide -spread enough that some states have written into their laws specific regulations governing the procedures to be taken. At this time, there is even a uniform condominium act being drafted which is endorsed by many of the states. In the act, there is a.section concerning conversions of existing structures to concominiums. One important consideration of this section of the act is to protect the tenants from unfair eviction fiom apartments prior to their sale as condominiums. The procedures we followed were very fair to our renters in that we gave them first option to purchase and those who found other apartments prior to living out their paid rent were refunded all deposits and unused rent. Since the last city council meeting, I have sought the services of a consulting firm which has been involved in similar situations. I'm hoping they can supply helpful information which I will pass on to you for study prior to the next council meeting. This property has been on the market for approximately three years. At one time I had it sold as separate units of two duplexes and two fourplexes, but because of their placement and legal description problems, the lenders and title insurers could not accept the arrangement. The entire complex has been sold, but each time financing, interest rates, and other factors have prevented closing any sales. Every effort to move the property has failed. In discussing these problems with a mortgage broker, he suggested the concominium-conversion idea, saying that it is being done in many areas and is a solution to the difficult .financing and sales problem. At this time, which was approximately August 1977, Mr. Terrill Toward and Mr. William Bethel from American Realty, the listing agent, visited City Hall in Meridian and talked over the idea with city personnel. Though no formal ruling was sought or given, those involved could see no particular problems since the use was not changing-- only hangingonly the ownerships. With this assurance and a brief study of the condominium act, we felt secure in going ahead with the idea. At that time we thought further involvement with the city would be more in complying with formalities rather then solving any variance problems. If we had. known or anticipated any serious problems, we would have sought their solution at that time prior to incurring any expenses related to this conversion attempt. The next step -we took was to obtain financing. ur first effort was with Mr. George Sanders of the Regional FHA office. At this time, only one unit is available and that is because some original buyers did not qualify finan- cially. The general .layout construction and location of the building and size lend the project favorably to this conversion and it does solve the financing and sale problem without changing the present use. When originally constructed, all requirements were met to allow families to comfortably live as renters. Now the request is -to allow the right of ownership. I feel the conversion would provide the following advan- tages: 1. The conversion increases the value of the property. 2. The general appearance, upkeep, and care of the "property will improve because of owner interest. This will have long-range benefits to the city. 3. The permanency, local patronage, responsibility, community pride, and interest is considerably improved over renter occupants. 4. This project is providing "For Sale Housing" in a needed and reasonable price range. The rapid sale of these units bears this out. If a conditional use permit or variance is required to permit this usage, then considering the above, the issuance of such a permit should serve in this case to benefit the community. Also, if the advantages indicated are valid, then setting a precedence in favor of the conversion of a project this size could only have long --range beneficial effects. Every step in_the process has been a sincere, honest effort on my behalf. My*request is that you allow me to complete the conversion to condominiums so I can close the sales, record the necessary legal documents, and provide separate water meters to each unit at my expense and according to the city's specifications. Stuart stated that past Council policy was whichever way a developer wanted to go that is the way it had to stay. If a developer wants a single meter for a 4-plex or each on separate meters, One other fee that will be.on here is inspection fees of $20.00 per unit. City Sewer and Water charges were discussed per hook --up. Williams stated that the Ordinance reads hook up equivalence. For clarification the Mayor stated then we charge for 8 hook-ups, 8 sewer and inspections and 8 meters. He had also talked to the building inspector and he had said if it is a 10 inch wall, the fire protection would be 4 -hours or more. CC, 0Ver The Council was in agreement on the charges. Lynville explained that the status of the impact area and explained he thought there was a plan to have the sewer run down Linder Road. The majority of the people, two- thirds of the people living there, signed a petition in favor of the proposal. Those in favor were present - one resident opposed the vacation. He volunteered to answer any questions. Ellsworth inquired if the area was in compliance with sanitary restrictions Lynville stated to his knowledge, yes. Agenda 10 Pinehurst Subdivision - Lift Station request Mike Huffaker was representing the owner, Mr. Jenkins. Huffaker stated the background. They went before the City Planning and Zoning, received approval and before the City Council. They proceeded with the development and need to put in a lift station to connect to the sewer on Pine Street. The problem is they would have to go one- fourth of a mile to connect to the sewer on Linder. This would be a temporary type station. Ward inquired what was their definition of temporary. Huffaker did not know -it would depend on development to the West. Williams inquired if they tried to obtain an easement through adjoining properties. Huffaker stated that Mr. Jenkins tried to buy land Ellsworth stated that the only way they could get to Linder was to obtain easements. Huffaker stated that the problem was cost effectiveness, but could not figure out why the line was located there. -- ., Ellsworth •.- - explained the reasons for the location. June 21, 1978 Agenda 7 NEW BUSINESS The proposed Golf Course Lease was next on the agenda. The Mayor read the letter from Wally Lovan. (see evidence). The Mayor mentioned that he had talked with Loren Saunders in the matter of the parcel of land known as the Dawdle Saunders Annexation. Mr. Saunders introduced his representative, DwJ)ght Bickle, Attorney; Terril Howard, Willard Bill Bethel Mr. Saunders explained the reasons for his desire to convert to condomeniums, his apartment development at Broadway and West 8th Street. Mr. Saunders claimed that his representatives had come before the City Clerk and had been told that they had no problem in doing what they desired. Terrill D. Howard of American Realty stated that about August he had come to the City of Meridian to prepare this project. They knew that they did not have water meters and were prepared to put water meters to each unit. They talked to the City Clerk at that time and explained what they wanted to do and asked what they had to do to get approval. They were told what was to be done to get owner occupied rather than rental and that this would nait involve arty conflict with the City and did not change the Zoning. They talked to the PUC and were told there would be no problem. Phill Pethel, American Realty, in dealing with the City understood that coats would be borne by the developer. _ .. Mr. Saunders secu- ed financing and was -reader - tc- prceed. They offered the tenants first ortion to buy but they moved out and left the property vacant. The Title Company thought that the supporting documents were sufficient for the sale of the property. Mr. Saunders sent a letter to all of the Council. Mr. Saunders stated that the City Clerk had told him that they was no meeting until the 6th of March. He called the City Clerk but was told that he was not on the Agenda. Mr. Saunders called Mr. Williams to tell him why.he had not attended the meeting. Mr. Saunders stated that the City and Attorney had told him that there were no sewer problems because the installation had been completed prior to 1975. Mr. Saunders explained to the Council the reason why he had not appeared before the Council at the February 21st meeting. This appeared to be a breakdown of communi- cations or -misunderstanding among those concerned. He mentioned that he had additional land to the west of this parcel adjoining nest 8th and Broadway. He has no intention of including this parcel in this proposal. Mr. Saunders requested that this proposal be changed under the condominium act, to allow him to proceed with his plan. They are prepared to comply with any of the requirements of. the City. Carl Ellsworth stated that JUB had reviewed the plat and checked it out. They had made notes mainly on the technical aspect and meeting of state codes and ordinances. Mr. Williams stated that what bothered him was -that -the City -made no commitments Mr. Williams -read -from the letter written by Mr. Saunders to the Council (letter on file with these minutes -Page 2) though no formal ruling was sought or given, those involved could see no particular problem since the use was not changing - only the ownership, with the assurance and a brief study of the condominium act, he felt secure in going ahead with the idea. Mr. Williams stated that he does not see that the City has made any commitment. It was never platted and was annexed by metes and bounds. One person could perhaps buy the whole thing. « Meridian City Hall .2. March 6. 1 Mr. Ellsworth stated this is part of the West Lawn Subdivision, and legal description was annexed to the City, being proposed in platting that portion of ground which involves the apartments or condominiums. Mr. Crookston stated that he had met with these developers and did not find anything wrong with the declarations themselves in the variances but there appeared to be some problems with the City in the matter,of falling within the Subdivision Ordinances of the City. Mr. Crookston stated further that he would review in relation to the declaration that might involve the City and come up with an opinion if that was the course of action required. The matter involving new ownership was a declaration involving Sanitary restrictions which could be involved at this time. Discussion of Common Wall. Mr. Saunders stated that he could put a wall between these units if it was necessary but this did not seem necessary because the present wall is of Pinder block type installation. Attorney for Mr. Saunders, Dwight Bickle,had talked to Mr. Fitzgerald. due to time pressure of the matter that this could be approved contingent to meeting the problems of the Engineers, that the question of Sanitary restriction be resolved, declaration of convenants be granted without any additional land annexed along with this proposal without City Approval. I Mr. Williams asked Mr. Schoen what problems he could see involving the building codes. Mr. Schoen stated that a double wall with l hour fire protection is necessary. Cinder block seems to provide additional protection but that he did not know what the statutes specify. Mr. Glaisyer stated that the City is not here to make or break a developer, as far as money is concerned, but he felt that Mr. Saunders should consider what he said about talking to the -City Clerk. - He felt that the City should be cautious in setting up a precedent, if this matter is approved, for other duplexes located throughout the City. This was zoned for 4-P1ex and Duplexes at that time. Mr. Bodine felt the same way as the -.preceeding discussion. Mr. Kingsford stated that the thing that concerned him was the precident that could be set. He did not see how this could be approved without the same consideration being given to other multiplex. The Mayor stated that he felt that this was a little different situation. Other duplex structures are located on Subdivision lots. Mr. Williams stated that he has mixed feelings in this matter. The adjoining property is to be considered under the same policy that might be set here. He is concerned about the piece meal breakup of apartment houses that might be presented within a Subdivision of residential area. If a duplex cannot be sold then the idea of making it designated as a Condominium presents itself. Mr. Crookston stated that Ordinances prohibit these divisions. A representive of this proposal stated that the concept of the Condominium is that the owner, owns the air space within the walls plus an interest in the balance of the surrounding land. This is a manner of providing.. ownership without being involved in -large land costs involved in most Subdivisions. The Mayor complemented Mr. Saunders for the building of these apartments in this area which was a low land area infested with weeds at that time. Mr. Kingsford asked the question of whether Mr. Saunders owns any of the surrounding buildings other than this multiplex building. This building site is all he owns in this area. He talked about the water meters, about the common walls but would not have known at that time enough about Condominiums to have told them they had no problem. They might have felt that they had no problems but as City Clerk he would not have been able to tell them they had no problems. Mr. Bodine stated that he felt that the City Clerk had been here a long time and that there might have been a misunderstanding but he felt that the City Clerk would not have told them to go ahead as though it was approved. He desired to be released from the responsibility of placing a 10" water main as required in this area for his proposal. The small shop policies require that they carry this line accross their property. Mr. Welker stated that this storage area that is there now is without water for fire protection. The Mayor stated that ordinances require the water be placed there now all the way across his property which Mr. Hudson says is approximately 900 feet. He feels that what the Fire Chief says about water for fire protection should be recognized.
