The SpeciallMeeting of the Meridian City Council was called to order by ~
Mayor Kingsiord at 5:30 p.m. ;
Members Present: Bill Brewer, Ron Tolsma, Bert Myers, Bob Giesler: ,

Mayor Kingsford advised the purpose of this Special Meeting was to Canvas:s
the.Election Vote and approve a Resolution authorizinr, the Niayor & City
Clerk to exe~cute an agreement with the State of Idaho, Department of `
Transportation. This agreement is for a cost share for moving the Fire ~
Hydrants and water meters on the Cherry Lane Road Project, this will be `
a 90-10 cost share with 90o by the Federal Aid Highway System and 10% ~
by the Citylwhich is estimated at $2,330.00: ~

Resolution authorizing the Mayor and City Clerk to execute the agree-

Mayor Kingsflord, The Council of the City of Meridian have canvassed the
votes of the Nover.lber 5, 1985 Election and have found no discrepancies
from the to~al amounts given by the Judges of the different precincts,
Precinct #llgiving Tolsma,107 Votes, Giesler, 104 Votes and Nuss, 31
Votes and Precinct #2 giving Tolsma, 314 Votes, Giesler, 306 Votes,
Nus, 113 Vot~es: Totaling these up we find Mr. Tolsma has 421 Votes,
Mr. Gieslerihas 410 Votes and Mr. Nuss 144 Votes: I therefore declare
Mr. Tolsma alnd Mr. Giesler the winners of the Meridian City.Council
Election. ~

YOU ARE HEREBY NOTIFIED that the City Council of the City of
Meridian will hold a Special Meeting at 5:30 o'clock p.m.,
November 6, 1985, at the Meridian City Hall, 728 Meridian Stree~t,
Meridian, Idah,o for the purpose of canvassing the ballot of the
City Election held November 5, 1985 and for the purpose of
considering and taking action on a resolution pertaining to
paying for some cost of the Cherry Lane Avenue Improv~ment as
requested by the Idaho Department of Transportation.
No public comment will be taken. '

Gentleinen :
Here are two bound originals of the State/Local Agreement
(Construction), covering the financing, construction and future
maintenance of the work to be performed on the City's portion of the
project adjustments to the City's fire hydrant system.
Cost of construction, plus engineering and contingencies, is in the
range of $23,000 to $28,000. The City of Meridian's share of project
cost, as shown on page 2 of the Agreement, is $2,330.
Tf the Agreement is satis€actory, please sign, seal and add the date
the bottom of each page 3. Return both originals, together with a
check or warrant, in the amount due. A fully executed original will
returned after endorsement by this Department. ,

WHERI:AS, the.Idaho Transportation Department, Division of Highways,
hereafter called the State, has submitted an Agreement stating obligations of
~
the State and the City of Meridian , Idaho, for the
construction of __ a section of Cherrv Lane, involvinQ the adjustment of the
City's fire hydrant system by its contractor
; arid
WHEREAS, the State is responsible for obtaining compliance with
laws, standards and procedural policies in the development, construction and
maintenance of improvements made to the Federal-Aid Highway System when there
is federal participation in the costs; and
WHEREAS. certain functions to be performed by the State involve the
expenditure of funds as set forth in the Agreement; and
WHEREAS, the State can only pay for work associated with the State
Highway System; and
WHEREAS, the City is fully responsible for its share of project
costs; and
WHEREAS, it is intended that the project shall be developed and
constructed so as to receive federal participation;
NOW, THEREFORE, BE IT RESOLVED:
1. That the Agreement for Federal-Aid Highway Project
MG-8543(002) is hereby approved.
2. That the Mayor and the City Clerk are hereby authorized to
execute the Agreement on behalf of the City.
3. That duly certified copies of the Resolution shall be furnished
~ the Idaho Transportation Department, Division of Highways.

PARTIES
THIS AGREEMENT is made and entered into this day of
, 1985, by and between the IDAHO TRANSPORTATION
DEPARTMENT, hereafter called the STATE, and the CITY OF MERIDIAN,
hereafter called the CITY.
PURPOSE
The CITY has requested the STATE to program Project MG-8543(002)
for fecieral participation in the costs of adjusting the CITY'S fire
hydrant system by its contractor. ~"
The Parties agree as follows:
SECTION I.
1. The STATE assumes no responsibility for the timely performance
of this Agreement and in no way guarantees that the federal funds
herein sought are available or will be made available. In the event
federal funds are ~navailable, this Agreement is void. ~
SECTION II. That the STATE will:
1. Enter into an agreement with the Federal Highway Administration
covering the Federal Government's pro-rata share of construction costs.
2. Designate a resident engineer and other personnel, as the STATE
deems necessary, to supervise and inspect all construction associated
with the project, in accordance with the plans, specifications and
estimates in the manner required by the applicable state and federal
regulations. This engineer, or his authorized representatives, will
prepare all monthly and final contract estimates and change orders.
3. Maintain complete accounts of all project funds received and
disbursed, which accounting will determine the final project costs.
4. Upon completion of the project, after all costs have been
accumuTated and the final voucher paid by the Federal Highway
Administration, provide a statement to the CITY summarizing the
estimated and actual costs, indicating an adjustment for or against the

CITY. Any excess funds transmitted by the CITY and not required fo~
the project will be returned.
SECTION III. That the CtTY will:
1. Upon execution of this Agreement, remit to the STATE a check or
warrant in the amount of TWO THOUSAND THREE HUNDRED THIRTY AND
i10/HUNDREDTHS DOLLARS ($2,330.00), which sum is to cover the CITY'S!
estimated share of cost for construction plus construction engineer~ing.
2. Upon receipt of the statement referred to in Paragraph 4,
Section II, indicating an adjustment in costs against the CITY,
promptly remit to the STATE a check or warrant in that amount.
3. Indemnify, save harmless and defend regardless of outcome the
STATE from the expenses of and against suits, actions, claims, or~
losses of every kind, nature and description, including costs, expenses
and attorney fees that may be incurred by reason of any act or
omission, neglect or misconduct of the CITY in the construction and!
maintenance of the work.

Secretary, and the Seal of the IDRHO TRANSPORTATION DEPARTMENT, affixed
