party or parties of the second part, hereinafter collectively referred to as thc "Liccnscc",
W [TNESSETH:
WHEREAS, Licenscc is the owner of rcal property/right-of-way for a llush linc for Wcll #27
(burdcned with the easem~nt of the District hereinafter mentioncd) particularly cicscrihed in ~he "Lcgal
Dcscrip[ion" and/or Well Flush Line Easement attachcd hercto as Exhibit A and hy this rct'crcncc madc a
part hcccol'; and,
WHEREAS, the District owns the irrigation dit~:h or canal known as TEN MILEDRAIN (hercinafler
collectively referred to es "ditch or canal"), an integr.il part of tfie District's irrigatic~n we~rks and system,
tc~gether with the easement thercf~r to convey irrigati~m and drainage water, c~pcrate, clcan, maintain, and
repair the ditch or canal, and access the ditch or canal For those ~urposes; xnd,
WHEREAS, said ditch or canal and easement crosses and intersects Licensee's rc~l pr<~perty as
shown cm Exhibit B attached hereto and by this reference macie a part herec~f; and,
WHEREAS, the Licensee desires a license to engage in conscruction or activity, <~r approvic existin~;
construction or activity, affecting said ditch or canal or the District's cascment in its coursc across thc lancJs
of the Licensee in lhe manner and under the terms ancl conditions hereinafter set forth; xnd,
WHEREAS, it is necessary that the District protect ditchcs and its right of way alcing its ditchcs;
NOW, THEREFORE, for and in consicierati~n of the premiscs and c~f the covcnants, agrecmcnts and
coneiiti<~ns hereinafter set forth, thc partics agrec as lollows:
l. The Liccnsee shall have the right to modify the said ditch c~r cxnal cir encrodc:h upon tfic
District's easement along said ditch or canal in che manner generally described in the "Pur~osc ol' License"
attachcd herc;to as Exhibit C and by this reference made a part hercof. Any modii'ication c>f tiai~i ditch or
canal by the Licensee or encroachment upc~n the Districr's easement along saiJ ditch or canal shall he
pcrformcd and maimained in accprdance witfi lhc "Sp~:cial Conditions" stated in Exhihit D, attachcd hcrc~o
and by this reference made a part hereof. Any difCer~nce or c~iscrepancy hetwccn rfie itcros Iisted in Exhihit
C, "Purpose of License," and any plans or drawings refcrcnced in or atlachcd tc~ Exhihit D shall hc resolved
in favor of Exhibit C. Licensee shall c>nly hc permitted or allowed tc~ modify the ciitch c~r canal cir cncroach
wpon thc District's eascment as descrihed in Exhibit C even if any plans or drawings referenc:cd ~~r attachcci
to Exhibit D~rovide or show o[hcrwisc.
2. This agreemcnt pcrtains only to thc Liccnsee's m<~dification of said ditch c~r c~nal ~~r
encroachment lo the District's easement for the pur~oses and in the manner dcscrihed hercin. The Licenscc
shall not chdnge the location of che ditch or canal, bury the ditch or canal in pipe, or otherwise alter the ditch
or eanal in any manncr not dcscribcd in this xgrcemcnt wichout first ohtaining tfic writtcn pcrmission of thc
District.
3. Each facility (°facility" as used in thi~ agreement means ~ny ob,jcct or thing of any naturc
insta11ec1 in or c~n the District's easement hy the Licensec c~r thc Licensec's predecessor in intcrest) shall he
u~nstructed, installed, operated, maimained, and re~aircd at all times by the Licenscc at the aist and cxpense
ofthe Licenscc.
4. Licensee agrees t~ construct, install, operate, maintain anci repair each 1'aciFity and cunduct
its aetivities within or affecting the District's easemcnt so as not to constitutc cx causc:
a. a hazard to any person or pr~~perty;
h. an intcrruption or interference wilh the 17ow of irrigation watcr in thc ditch or canai
or lhe dclivery of irrigation water hy the DisGrict;
c. an incrcase in see~age or any other increasc in fhc luss c~i' water from the ciitch or
canal;
ci. thc suhsidencc of soil within c~r adjaccnt lo thc cdscmcnt;
e. any otficr damage to the DisU~ict's easement and irrigation workti.
5. Thc Licensee agrces to indemnify, hoid harmless, and defend thc District 1'rom all claims
for demagcs arising oul of any of the Licensee's construction or activity which constitutes c~r causes xny ol~
the circumstances enumerated irr~ the preceding ~ara~;raph, 4.a. thmugh 4.e., or any other damage to thc
easement anci irrigation works which may he caused hy ihe construction, installation, operati~~n, maimenancc,
repair, and any usc or condition ol any facility.
6. Licensee agrees that Che work perf'ormed and the materials used in such construc;tion shall
at all times bc suhject to inspection by the District and the Dislrict's engineers, and that I'inal xcceplance ~~f
such work sfiall not be made until all such work anel materials shall have been expressly approvccl by thc
District. Such apprc~val hy thc District shall not be unreasonably withhcld.
7. The District reserves the right, at the District's option, tc~ remove any facility installed hy the
Licensee and to re~air any alteration by Ihe Licensee of said ditch or can~il and the easemcnt tfierefor which
does not comply with the terms of this agreement, and to remove any impcdiment to the 17c~w of watcr in said
ditch or canal and any unsafc condition or hazard causcd hy thc Liccnscc, at any timc, an~i thc Liccnscc
agrees to pdy to the District, on demand, the costs which shall he rcascmably expcndcd by thc District for
such pur~oses. If the Licensec shall f'ail in any respect to properly mxintain and repair such 1'acility, thcn thc
District, at its option, and withouU im~airing or in anywisc ai'fccting its othcr rights and remcdics hcrcundcr,
shall have the right to perform the necessary maintenanee and repairs and the Licenscc agrees tc~ pay tc~ the
District, on demand, the cost or expense which shall h~ rcasonably expendcd or incurrcd hy the Distrirt fe~r
such purposes. The District shall give rcasonahle noiice to thc Licensee prior to thc District's performing
such maintenance, re}~air or other work except that in ~ascs of emergency the District shatl auempt to givc
such notice as reasonable undcr Che circumstances. Nothing in this ~aragraph shall cre~tc or support any
claim of any kind by Licensee or any third party against the District for i~ailure lo exercise the c~ptions statcd
in this paragraph, and Licensee sha11 indemnify, hold harmless and defend che District i'rc~m any clxims made

against thc District arising out of or cclating to the tcrms of this paragraph cxcc~t 1'or claims arising solcly
out of fhe ncgligence of the District.
t~. Ncither the terms c~f this agreement, lhe Permission granted hy the District lu thc Liccnscc,
the Licensee's activity which is thc suhject of this agreement, nor the parties exercise c~f any rights c~r
pcri'ormance of any obligations of this agreement, shall be construecl or asserted to extenci the application
of any statute, rule, rcgulation, directive or other requiremcnt, or the jurisdiction of any fcc~cral, st~tc, or ochcr
agcncy or official tc~ thc District's owncrship, opcration,'ancl maintenanc;c of its ditchcs, canals, drains,
irrigati~n works and facilities which did not apply t~ the District's operationti and activities ~ric~r tc~ and
without execution of this agrcement. In the event the Districl is reyuired to comply with any such
reyuirements or is suhject to the jurisdiction of any such agency as a result of cxccution o1~ this ~grecmcnt
or the Licensee's activity authorizcd hereunder, Licensce shakl indemnify, hold harmlcss and dcfcnd thc
District from al~l costs and liahilities associateci with tl~e application of ,uch I~ws c~r the asscrtion e~f such
j.urisdictic~n or, at the option ol lhe District, 4his agreemenl shall he of no force and ~ffect and thc Liccnsee
shall cease all aetivity and remove any facility author±zed by this agreement.
y. In addition ta all c~ther indemnilication provisions herein, Licensee l'urther agrees to~
inc~emnify, hold harmless and defend the District from any injury, damages, claim, lien, cost and/or expcnsc
(including rcasonahle attorney's fees) incurred by, or asserted against, thc District hy rcason of'the negligent
acts or omissions of Licensee or its agents, contractors ur suhcontractors in performing the construction and
activitics autfiorized by this agreement.
10. The Licensee a~rees that the Dislrict shall nol be Iiahle fc~r any damages which shall occur
to any lacility, structure, plant, or any other improvement of any kinci c~r nawre whatsuever which the
Liccnsee shail install c~n the said eascment area of the Uistrict in the rcasonahlc cxcrcise of thc rights cil~ thc
District in the course of performance of main[enance or repair of said ditch or canaL The Liccnsce furthcr
agrees to suspcnd its use of the said easement area when the usc of thc casemcnt arc~ is rcyuircd hy tfic
District for maintenancc or repair, under this or any otfier paragraph of this agrecmcnt.
l l. Licensee shall place no strucwres, pathways ar landscaping of any kind ahc~ve or within thc
District's easement arca exccpt as referred to in this agrcement or exhihits heretc~ without tfic pric~r writtcn
cansent of the District. Nor shall Licensee permit, authorizc or grant any other person or cntily tc- cxcxvatc,
clischarge, cc~nstruct or place any structures, pathways or landscaping within ~he District eascment with~~ut
the pri~r writtcn conscnt of thc District.
12. Should either party incur costs or atti~rney 1'ees in connecticm with efli~rts t~~ enCc~rce thc
~rovisions of this agreement, whether hy insticution of suit or not, the party rightfully enforcing or rightfully
resisting enforcement of thc provisions of this agrcement, or thc prevailing party in case suit is insti~utcd,
shall be entitled to reimb~rscment for its costs and reasonahle ateorney 1~ecs fr<~m the othcr par~y.
] 3. The parties heret~ understand and age;e that the District has no right in any respect t<~ impair
the uscs and purposcs of the irrigation wocks and system of the District hy this agrccmcnt, ne~r te> grant any
rights in its irrigation works and systcm incompatiblc with the uscs to which such irri~;atic-n works and
system are devoteci and dedicated and that this contract shall he at ali times construed accorciing to such
principlcs.

14. Nothing herein contained shall be construed to impair the right of way of the District in thc
saicl ditch or canal and all uses of said ditch or canal hy the Liccnsee and the license herein providcd theccfor
shall remain inferior and subservient to the rights a1' the District to thc use ol' said diteh or canal for thc
transmissic~n and c~elivcry of irrigaticm anci drainage watcr.
] 5. In the event of the failure, refusal or nrglect of che Licens~;e to comply wiifi all ol'the tcrms
and conditions o1'this agreement, the license of the Licensee under the terms hereof may he terminated hy
lhe District, and any facility, structure, plant, or any o~her improvement in or over said ditch or cxnal, ancl
the right of way t'herefor, which may impede or resirict the maintenance and o~eration uf such ditch or canal
hy the District wit'h its equipment ior the maintenance of its said c3itch or canal may bc remc>vicel hy fhc
District.
16. The Licensee agrees to ~ay attorney fees or engineering fees chargeci by the attorncy I~ur thc
District or by the engineers fi~r the District in connecti~~n with the preparation of this Licens~ Agrecment or
in connec:tion with negotiaeions covering the terms and conditions of this License A~reement. Licen~ec also
agrces to pay any fecs incurred in connection with the rccording of this Agreemcnt.
]7. Nothing in lhis agreement shall creatc ~r sup~mrt a claim of csto~~c1, waiver, prescriPtion
or adversc possession by lhe Licensee or any third parly against District.

19. If any ~rovision ~f this agreement is dclermined by a ce~urt of com~ctent jurisdiction to hc
invalid or otfierwise unenforceable, a11 remaining prov:sions of this agrecmcnt shall rcmain in Cuil force and
effcct.
20. The word "Licensee", if useci in the ncuter in this agreement, includes thc masc:uline and
feminine genders, t.he singular number includes the plural, and chc plucal numhcr inclucJes thc singular.
The covenants, conditions and agreements hercin containecl shall canstilute covenants to run with,
and running wieh, all of the lands of thc Liccnsee described in saici Exhibit A, anci shall hc hinding cm cach
of Uhe ~arties hereto and on a11 ~arties and all persons claiming under them or either of thcm, and thc
advantages hereof shall inure to the henefit of each of the parties hereto and tfieir res~ectivc successc>n and
assigns.

WATER FLUSH LINE EASEMENT
THIS INDENTURE, effective this ~. day of cu , 2006, by the undersigned Cherrv
Lane Ch~istian Chucch, wh~ maintains a rnailing addness of P.O. Box 671, Meridian, ID
83680, hereafter refeRed to as "GRANTOR° for the benefit of the City of Meridian, a
municipal corporation of the State of Idaho that maintains a mailing address of 33 East
Idaho Street, Meridian, Idaho 83642, hereafter refecred to as "CITY".
WITNESSETH:
WHEREAS, the CITY desires to have a flush line for WELL #27 from the well to Ten
Mile Creek as shown on the attached Exhibit A, and further described within this
instrument, and ~
WHEREAS, the GRANTOR is preparing to construct a lawn and recreation area
encompassing the proposed Flush Line during the early Spring months of 2006, and
WHEREAS, the GRANTOR and the CITY will mutually benefit from timely
instalfation of the flush line before landscaping and lawn installation occur,
NOW, THEREFORE, in consideration of ONE HUNDRED ($100.00) dollars, and
other good and va{uable consideration, the Grantor.does. hereby give, grant and
convey unto the CITY the right-of-way and peRnanent easement for the
constn~ction, operation and maintenance of a water flush line ove~ and across the
following described property:
A parcel of land located in the Southeast'/ of Section 10, Township 3
North, Range 1 West, Boise Meridian, Ada County, Idaho more
particula~iy described as follows: Commenang at a 5/8° iron pin
marking the section ~mer common to Sections 10, 11, 14 and 15;
thence North 0°52'05" East along the centerline of Ten Mile Road a
distanae of 1096.83 feet to a point; thence leaving said centerline

Point of Beginning; thence continuing North 88°26'51" West a

` A temporary construction easement for the purpose of constructing the water li~e
and related incidental worlc, fhirty feet in width lying adjacent to and south of the
above described permanent easement, is also hereby granted to the City. The
temporary construction easement shall expire when all work is complete and the
construction contcact temninates.
The perrnanent easement and right-of-way hereby granted is for the purpose of
construction and operation of a water line and allied facilities, together with
maintenance, repair and replacement at the convenience of the CITY, with the free
right of access to such facifities at any and all times.
TO HAVE AND TO HOLD, the said permanent easement and right-of-way unto the
said ClTY, its successors and assigns forever.
1. IT IS EXPRESSLY UNDERSTOOD AND AGREED, by and between
the parties hereto, that the CITY, in constructing and in making future
~ repairs, will expediently replace and restore the premises to a
condition comparable to that existent prior to undertaking such
construction, repairs and replacement. However, the CITYwill not be
responsible for repairing, replacing or restoring any peRnanent
struatures, lacge trees or brush placed within the area described in
this easement.
THE GRANTOR(S) do hereby covenant and agree that they will not place or allow
to be placed any permanent structures, large trees or brush within the ~area
described for this easement, which would interfere with the use of said easement,
for the purposes stated herein.
THE GRANTOR(S) does hereby covenant with the CITY that he is lawfully seized
and possessed of the aforemenfioned and described tract of larxi, and that he has a
good and lawful right to convey said easement, and that he will warrant and forever
defend the title and quiet possession thereof against the lawful claims of all persons
whomsoever_ ,

Purpose oi License
Tfie purposc of this Liccnse Agreement is ta pcrmit and approv~ Licenscc to:
flush/dischargc water from the Licensee's Well #27 intc~ the Ten Mile Drain xnd construct
and install a flush Iine within the District's easement,
all within or near Licensee's real property/right-of-w.-y described in Exhihit A, located norlhwcsl of thc
intersection of Ten Milc Road and Franklin Road in Meridian, Ada Cc~unty, [daho. No other construc:tion
or activity is permitted within or affecting the Ten Mile Drain or the District's easement.

~ecial C~~ndilions
a. The construction described in Exhibit C shall be in performed in accordance with certain
plans consisting of four sheets attached hereto as Exhibit D-I and by this reference incorporated herein.
Licensee shal'I t7ush/discharge water into the Ten Milc: Drain only on rare occasions (approximatcly one to
twc~ times per year). Licensee shali notify the District's Superintendent and obtain the District's pennission
prior to any f7ush/dischargc into the Ten Mile Drain. The quantity discharged shall hc 1,200 to 1,KO0 gpm.
In acidition, Licensee shall be allowed to discharge approximately 10 to 20 gpm continuously into thc Tcn
Milc Drain to prevcnt freczing of the wcll head and to maintain watcr yuality in bhc wcll casing until thc
pumping facilities ann constructeel.
b. Licensee shall notify the water superintendent of the District }~rior to and immcdiatcly after
construction so that he or the District's engineer's may inspect and approve the construction.
c. Thc Licensce rea>gnizes and acknowluciges that the liccnse granted in this agrcemcnt hy the
District pertains only to the rights of the District as owner of an easemcnt. Thc District has no right or powcr
to crcate rights in the Licensee affecting the holder of ~itle to the property suhjcct t<~ 4he District'.ti casement.
Any such ri~hts affecting fee title must he acquircd by the Licensce frc~m tfic holder of title t~~ the propcrty.
Should Liccnsce fail to obtain such rights from the hold~:r c~f titlc tc~ thc prc~pcrty c~r shcwld tfic rights ohtaincd
provc lcgally ineffeclual, Licensee shall holc~ harmle«, indemnify and defend the District fram xny claim
by any party arising out of ar rclated to such failure of ri~;hts and at thc option of lhc District this agrccmcnt
shall be of no fc~rce anci cffect.
d. Licensec shall he responsible and shall ensure lhat any drains/Ilush lines which dischargc
into the Ten Mile Drain do nc~t cause any crc~si~n or subsidence o1~ soil wifhin the ciitches <~r drains. Thc
Licensez agrees that the District shall not be liahle for any damages which sha11 occur tc~ the drain pipcs or
any othcr im~rovement of any kind or nature whatsc~ever which the Licensec; sha11 install on thc said
easement area of the District in thc reas~nable excrcise of the rights of the District in the cc~urse c~l'
~erformance of maintenancc or repair of said ditch or:canal.
e. Licensee represents that Licensce has complied with all Ceclccxl, st~tc <ir utficr laws, rules,
regulations, c~irectives or other requirements in any fc~rm regarding environm~;ntal matters, and s~ccil~ical'ly

those rclating to pollution control anci watcr quality, as may bc app4icahlc undcr thc suh.jcct mattcr, tcrms
or performance of this agreement broadly construed. Licensee recognizes its continuing duty to comply with
all such requirements that now exist or thal may be implemented or imposed in thc 1'ulure. 13y cxecuting this
agrecment the District assumes no responsibitity or liability for any impact upcm or dcgrxdation c~f water
yuality or the cnvironmcnt resulting from the discharg~: or ot'hcr activity by Liccnscc which is thc suh.jcct cil~
tfiis agreement.
f. Liccnscc herchy inc~emnifics, holcis h:~rmless anci shall dcicnd the Districl from any and al1
penalties, sanctions, directives, claims or any action taken or reyuirement imposed hy any party c-r entity,
puhlic or private, with respect to environmental mattcr~ relating to the suhject matter, terms or perfarmancc
c~f this agreement unless the District shall he solely responsible for the condition or activity which givcs risc
to any such ~enalty, sanction, directive, claim , action or reyuicement.
g. [n the event lhe District is reyuired hy ~iny governmental authority to ecyuire ~~r comply with
any permit or other c~pcrational requirements associated with Licensee's discharge ancl other activity which
is the suhject of this agreement, Licensec shall indemnify, hold harmless and defend the District from all
costs and liahilities associated with such permit and other requirements, including hut not Iimitcd te~ all costs
associated with all permii acquisition, construction, mcmitoring, treatment, administrative, filing and othcr
rcquircments.
h. The parties to tfiis agreement recognize this license abreemen~ is an xccommodxtion tc~
Licensce. The Dislrict hy this agreement does not asswne, create, or excrcisc legai or othcr authority, cither
express or impliecl, to regulatc; control, or prc~hibit Ihe discharge c~r contribution ol'pc~llulants or cuntnminnnts
to thc District's facilitics or to any groundwater, watcrs c>f thc Statc of Idaho or thc Unitcd Statcs, ur any
other destination. Such authority; to the extcnt that it exists, is posscsscd and exerciscd hy govcrnmcntal
environmcntal agcncics.
i. Licensee shall not excavate, discharge, place any structures, nor plant any trccs, shruhs or
landsca~ing within the District's eascment, nor perform any construction or activity within the District's
casement for thc Tcn Mite Drain exccpt as refcrred 1o ia~ this agreement or exhihits thereto without thc prior
written cc~nscnt of thc District.
j. Licensce acknowledges and confirms that the District's easement for the Ten Mile Drain
inclucles a sufficient area of land to convey irrigation and drainage watcr, to operate, clcan, maintain and
repait the Ten Mile Drain, ancl to access the Ten Mile Urain for said purposes ancl is a minimum of 1001'ect,
50 feet to either sicie ~f the centerline.
k. Construction of the pumping facility referenced in this Agreement sh~ll bc complcled c~nc
ycar fcom thc datc of this Agreement. Time is of the c.ssencc.
