AMENDMENT TO DEVELOPMENT AGREEMENT
THIS AMENDMENT (Amendment) to the Development Agreement dated Mazch 10,
1998 (Agreement), is entered into by and between the City of Meridian, a municipal corporation,
(City), and Oakwood Enterprises, LLC (Oakwood), by and through its Manager, Heartland
Townhomes Property Management, LLC, by John A. Laude, Sr. its Managing Member.
RECITALS
A. The Agreement was originally entered into by and between the City and D.D.&F., an
Oregon general paztnership (D.D.&F.). A copy of the Agreement is attached as Exhibit 1. The
Agreement affected development of that real property described in Exhibit 1 hereto (Original
Property).
B. A First Addendum to Development Agreement Modifying 2a-e on Page 2 and Addendum
to Exhibit "B" (First Addendum} was also executed by the City and D.D.&F. A copy of the
Addendum is attached as Exhibit 2.
C. The Agreement required development, by conditional use permit, of 8.05 acres of the
Original Property with an assisted living facIlity and senior housing. Agreement, Pazagraph 2.a.,
p.2. The Addendum provided for revocation of the conditional use permit and the development
of 5.17 of the 8.05 acres with a residential subdivision, leaving 2.88 acres zoned Office-Light
(LO). Addendum Paragraph 2.2, p. 1. The City revoked the conditional use permit and D.D.&F.
proceeded to develop the 5.17 acre pazcel with a residential subdivision.
D. Oakwood is the successor in interest to the 2.88 acres zoned LO. A copy of the deeds
showing the chain of title is attached as Exhibit 3 (Oakwood Property).
E. The City and Oakwood desire to clarify the conditions of the Agreement and Addendum
as they pertain to the development of the Oakwood Property.
NOW THEREFORE, the parties hereby agree as follows:
1. All other terms of the Agreement and Addendum notwithstanding, the Oakwood
Property shall be known and considered to be LO and subject to the conditions and requirements
of that zone.
2. Oakwood agrees to develop the Oakwood Property subject to all current
ordinances pertaining to development of property zoned LO.
3. The following pazagraphs of the Agreement shall be deemed to not pertain to the
Oakwood Property: Pazagraphs 2.a., 2.b., 2.c., 2.e., and 3.
4. The following paragraphs of Exhibit "B" to the Development Agreement shall be
deemed to not pertain to the Oakwood Property: Paragraphs 17, 20, 21, 22 and 26.

5. The following paragraphs of the Addendum shall be deemed to not pertain to the
Oakwood Property: Paragraph 2, page 1 in its entirety; paragraphs 1.3, 1.4, 1.9, 1.10, 1.11, and
1.12.
6. Any notices to be given pursuant to the terms of the Agreement, Addendum or
this Amendment pertaining to the Oakwood Property shall be sent to:

condition of the rezone was for the owner to enter into a DA with the City of Meridiary which
was recorded in April, 1998.

1. The legal description submitted is the application appears to meet the req++~rem.P^ts of the
Cnty of Meridian and State Tax Co+'++~++~e+~n.
2. The subject lot can be adequately served by public facilities and the proposed cases will allow
for orderly expansion ofthe city limits, as this is an infill parcel
3. The existing Development Agreement, Instrntnent No. 98031450, amist be modified as a
condition of aezone. Specificalfly, items 2 a---e, Page 2, must be modified to reflect the
change of land uses.
4. The existing Conditional Use Permit must be revoked by City Council in congormance with
Section l 1-17-9 of the Meridian City Code. 7'o do this, Counca7 must notify the Permit
holder (D.D. & F.) of their intention to revoke the permit and provide Dom. & F. +xith the
opportunity to coyest the revocation. If D.D. & F. contests the revocation, a public beazing
mast beheld if D.D. & F. bas ao objection (the response l would aarticipate), Comlcil would
direct the Cnty Attaaney to prepare findings off Sect and conchrsions off law to revoke the
Conditional Z7se Permit.
PRELIMINARY PLAT COMMENTS (F~le PP-00-0ZS)
1. The main issue with the plat is that it does not include the entire 8-acre parcel, and the City
does not necognizse the lot spurt done by D.W., Inc. Daning the Pyre-application meetiaag, staff
recommended. fleet the plat include the entire 8 +/- canes. The plat submitted inchiiles only
the 5.17 acres purchased by D.W., Inc. from D:D. do F. Since the split was never done as
part of a legal subdivision process, staff comiaves to aecommetad that the.plat be moclifed to
include the remnant parcel owned by D.D. & F. ~ ]however, the Commission and Council
opt to allow this plat to proceed as aamently Proposed, the remnant parcel will be acquired to
do a one-lot subdivision to clean nip the public record
