THIS AGREEMENT is made this '0 4 day of A44.lPi�
1995, by and between MARIE H. WHITESEL, Trustee of The
Haasch/Whitesel Trust ("Trustee") and THE CITY OF MERIDIAN, an
Idaho municipal corporation ("Meridian").
WITNESSETH:
WHEREAS, Trustee is the owner of that certain real
property located in Meridian, Ada County, Idaho, more
particularly described as follows:
South Half (S%) of Lots One (1) and Two (2)
of Block 5 of the Townsite of Meridian,
according to the Official Plat thereof
("Subject Property"); and
WHEREAS, Trustee desires to donate the Subject Property
to Meridian; and
WHEREAS, Meridian is willing to accept title to the
Subject Property.
NOW, THEREFORE, the parties hereto agree as follows:
1. Delivery of Reports. Meridian hereby acknowledges
that Trustee has provided it with copies of the following:
a. Market Analysis for 804 E. First Street,
Meridian, Idaho dated March 21, 1995 prepared by Ownby & Company.
b. Letter dated April 18, 1995 from Vicki Welker
of Commercial Executives to Julie Weston.
C. Limited Phase I environmental property
assessment and attachments, dated March 17, 1995, prepared by
Residuals Management Inc. (RMI).

2. Meridian's Investigation. Meridian acknowledges
that neither Trustee nor any of Trustee's agents, have made any
representations of any material fact concerning the Subject
Property; that it has had an adequate opportunity in order to
inspect and investigate the Subject Property and to review all
documents listed above; that it has made a thorough independent
examination and inspection of the Subject Property; that it is
relying solely upon its own examination and inspection of the
Subject Property; that it is acquiring the Subject Property
"As Is"; and that it is assuming all responsibility for the
condition of the Subject Property, including any existing
defects.
3. Trustee's Disclaimer of Warranties. Trustee makes
no representations or warranties regarding the condition of the

Subject Property, past uses of the Subject Property by the
Trustee or by any previous owner or lessee of the Subject
Property, or compliance with any federal, state or local
environmental law, ordinance or regulation.
4. Meridian's Indemnification. If, as a result of
any "Adverse Environmental Condition" of the Subject Property,
Trustee is subjected to any liability whatsoever, Meridian hereby
agrees to indemnify, defend and hold Trustee completely harmless
against all such liability.
"Adverse Environmental Condition" is defined as:
a. The contamination of the soil, air or water
(whether surface or groundwater) of the Subject Property by any
"Hazardous Substance" or any other material regulated by any
"Hazardous Substance Law";
b. The contamination of the soil, air or water
(whether surface or groundwater) of any property adjoining the
Subject Property due to a release upon the Subject Property of
any "Hazardous Substance," or any other material regulated by any
"Hazardous Substance Law";
C. The presence of any "Hazardous Substance" or
any other material regulated by any "Hazardous Substance Law" now
or hereafter stored or placed on the Subject Property.
"Hazardous Substance" is defined as chemical, compound
or material which is deemed a hazardous substance, hazardous
waste, hazardous material, infectious waste or toxic substance,
or any combination or formulation of substances defined, listed

or classified by reasons of deleterious properties such as
ignitability, corrosivity, reactivity, carcinogenicity, toxicity,
reproductive carcinogenicity, extraction procedure toxicity,
toxicity characteristic leaching procedure toxicity, petroleum,
including crude oil and any fractions thereof; "hazardous waste,"
"restricted hazardous waste," and "waste" with the above stated
properties, as defined in Idaho Code section 39-4403(8), (14),
and (17) respectively; and any other chemical material or
substance that because of its quantity, concentration, physical
or chemical characteristics exposure to which is limited or
regulated for health, safety, and environmental reasons by any
governmental authority with jurisdiction, or which poses
significant present or potential hazard to human health and
safety or to the environment if released to the work place or
environment.
"Hazardous Substance Law" is defined as any federal,
state or local statute, regulation, rule, ordinance or common law
principle concerning the presence, possession, handling; storage,
treatment, transportation, disposal or cleanup of, or liability
for, a Hazardous Substance, as currently in effect and as
hereafter enacted or modified, including but not limited to the
Comprehensive Environmental Response, Compensation and Liability
Act as amended by the Superfund Amendments and Reauthorization
Act (42 U. S. C. §9601 et seq.) , the Safe Water Drinking Act (42
U.S.C. § 300F etseq.), the Toxic Substances Control Act (15 U.S.C.

§2601 etseq.), the Resource Conservation and Recovery Act (42
U.S.C. §6901 etseq.), the Federal Water Pollution Control Act (33
U.S.C. §1251 etseq.), Idaho Environmental Protection and Health
Act (Idaho Code §§39-101 to 39-130), the Hazardous Waste
Management Act of 1983 (Idaho Code §§39-4401 to 39-4432), and any
other applicable statute passed and enacted by the Idaho
Legislature, or its political subdivisions and common law
principles of tort and strict liability.
"Liability" is defined as any claim or action (whether
civil, criminal or administrative, and whether brought by any
governmental entity or non-governmental entity or person),
judgment, settlement, damages, fines, penalty, loss or expense
brought against, imposed upon, suffered by or paid by Trustee.
Liability shall also include Trustee's attorney's fees, court
costs, consultant's fees, expert's fees, and all other
litigation -related expenses, including any such fees and costs
incurred in connection with any appeal.
5. Value of Property. Trustee and Meridian agree
that the net value of the Subject Property is Thirty -Three
Thousand Dollars ($33,000.00). It is understood by Meridian that
Trustee intends to use said value in order to compute its
donation and tax deduction. Meridian further agrees to sign all
tax forms at time of Closing or thereafter as necessary,
including Form No. 8283, which are or may be necessary for
Trustee to assert the value of its donation and tax deduction.

6. Meridian's Warranties and Representations.
Meridian hereby warrants and represents to the Trustee that:
A. It is a governmental entity as defined in the
Internal Revenue Code and it is duly authorized to
accept donations of property under Section 501(c) of
the internal Revenue Code;
B. It has full power and authority to execute,
deliver and perform this Agreement and do grant to
Trustee the indemnification set forth above; and
C. This Agreement when executed by it and
delivered to the Trustee will be valid and binding upon
Meridian and enforceable in accordance with its terms.
7. Conveyance of Title. Trustee shall convey title
to the Subject Property to Meridian by means of a Quitclaim Gift
Deed substantially in the form of Exhibit "All attached hereto
(II Deed") .
8. Successors. This Agreement shall be binding on
and shall inure to the benefit of the heirs, successors and
assigns of the parties hereto.
9. Time of Essence Time is of the essence of this
Agreement.
10. Captions and Headings. The captions and headings
of this Agreement are for reference only and shall not be deemed
to define or limit the scope or intent of any of the terms,
covenants, conditions or agreements contained herein.

11. Governing Law. This Agreement shall be governed by
and construed in accordance with the laws of the State of Idaho.
12. Survival of Terms. All covenants,
representations, warranties and terms of this Agreement are
intended to and shall survive the delivery of the Deed to the
Subject Property by the Trustee and acceptance of the Deed by
Meridian and said covenants, representations, warranties and
terms shall be enforceable by or against the parties hereto.
IN WITNESS WHEREOF, the parties have executed this
Agreement as of the date and year first above written.

PLAZA INFORMATION GATHERING MEETING
Scheduled for Tuesday, March 26
Your suggestions and ideas are needed as the City gathers
information regarding the improvements the Meridian community would
like to see on the 60 x 60 foot lot at the corner of East Idaho
Avenue and East First Street that was recently donated by the the
Burns family. Quite a few suggestions have already been provided,
but more direction from the community is needed.
Most of the suggestions so far have been to create an
attractive landscaped plaza with benches, shrubs, flowers,
ornamental clock, fountain, gazebo, etc. Several citizens have
suggested using the plaza as a remembrance of Meridian's history
and to recognize those who helped build Meridian into the wonderful
community it is today.
An information meeting has been scheduled for 7:30 p.m. on
Tuesday, March 26, at City Hall.
Please make plans to attend. Written suggestions are

' INTRODUCTION

Petrol Services, Incorporated was contracted by The City of Meridian
' to supervise the decommissioning of three (3) historic underground
storage tanks (USTs), and the excavation of petroleum contaminated
soils (PCS) located at the above referenced facility. The USTs are
' described as follows:

All three (3) USTs were previously used for the storage of petroleum
' products. Please see Figure 1 for a site vicinity map.

July of 1972.

' The USTs were closed in place by filling them with sand. Because the
USTs were taken out of service prior to 1986, a thirty (30) day notice
of closure and the EPA 7530-1 form were not required. Please see
' Appendix A for copies of the decommissioning documents.
' Additional subsurface investigation work was conducted in January and
February of 1995, by Residuals Management Incorporated (RMI). However
most of the subsurface investigation work was conducted with hand
augers within the first four (4) feet of soil. The zone and extent
of the contamination was not completely defined in the previously
conducted site work.

' UST DECOMMISSIONING ACTIVITIES
During the week of January 15, 1996, the USTs were decommissioned and
' removed from the subsurface soils by Masco Incorporated, Excavation
Contractors under the direction and supervision of Petrol Services
' Inc.
Prior to UST removal, each tank was opened and checked for combustible
' vapors with a Combustible Gas Indicator (CGI) meter. The USTs were
then opened and the sand removed.
' All three (3) USTs were of bare steel construction, with no external
coating. The USTs were transported to Pacific Steel & Recycling in
Boise, Idaho for scrap metal recycling. Please see Figure 2 for a
site facility map and Appendix B for the UST disposal receipt.
' Upon removal of the sand, notable signs of petroleum contamination
were observed (discoloration, staining & odor). The sand was placed
into the contaminated soils pile. Visible signs of petroleum
' contamination (staining & discoloration) were observed in the
excavation pit under the USTs, as well as a strong petroleum odor.

CONTAMINATION SOILS EXCAVATION
' Prior to collection of soil samples approximately three hundred sixty
(360) cubic yards of visibly stained and discolored soils were
excavated. Based on visual observations as well as head space
' screening, soils from the surface to six (6) feet below ground surface
(bgs) were excavated and stockpiled on site. The PCS from six (6)
feet to approximately fifteen feet (151) bgs was excavated and
' transported off site for temporary winter storage.
' Groundwater was encountered during the removal of the PCS at
approximately twelve (12) feet bgs. In the attempt to remove as much
source material (PCS) as possible, and keeping in mind several years
' of drought, soils were excavated approximately two (2) feet below the
seasonal groundwater low. Please see Figure 3 for the dimension of
the PCS excavation.
' Soils consisted of a light brown sandy, very dense clay to the water
' table where soils turned to a pit run with very course sand and round
river rock ranging in diameter up to twelve (12) to fourteen (14)
inches.
The PCS was transported to the city sewage treatment plant located at
3401 North Ten Mile Road. The PCS was stockpiled on and covered with
' a ten (10) mill black visqueen. A PCS landfarm application permit
will be submitted this spring.
DECONTAMINATION PROCEDURES
Sampling equipment (all tools and equipment entering the well) was
decontaminated and cleaned using a detergent (TSP & liquid Joy) and
' a tap water wash, followed by a thorough tap water rinse, followed by
a methanol rinse, and then a final rinse with distilled water. Where
possible, sampling equipment was allowed to air dry prior to use.

This is Petrol Services Inc., standard decontamination procedures, in
most cases sampling equipment is cleaned at our office and wrapped in
aluminum foil for future use.

Soil samples were collected and placed directly into laboratory
prepared four (4) oz glass containers with teflon lined lids. A new
pair of surgical type gloves were used for the collection of each soil
sample. Samples were then placed into a cooler and chilled to
approximately thirty nine (39) degrees, and delivered to Alchem
Laboratory in Boise, Idaho, under standard chain -of -custody procedures
for analysis of total petroleum hydrocarbons by EPA Method 8015
modified.
A total of six (6) soil samples were collected on January 18, and
January 19, 1996 from the excavation pit. Samples were collected at
the soil water interface approximately twelve (12) feet below ground
surface (bgs) with the use of the track -hoe bucket. The soil samples
were carefully collected from the native material in the center of the
bucket. Samples were collected as follows;
Sample number 1st & Idaho Street - Soil Sample - 1 (1st&I-SS-1)
was collected from the North side wall.
Sample number 1st&I-SS-2 was collected from the Northeast side
wall.
Sample number 1st&I-SS-3 was collected from the South side wall.

wall.

Sample number 1st&I-SS-6 was collected from the Northwest side
wall.
Petroleum hydrocarbons were detected in five (5) of the six (6)
samples submitted for laboratory analysis. Several of soil samples
analytical results are above the IDEQ clean-up requirements, however
due to the nature and conditions of the site, additional material
could not be excavated without the risk of endangering sidewalks and
roads. Please see Figure 3 for a soil sample location map.
The laboratory analytical results are presented in Table 1, while the
Alchem Laboratory report is enclosed in Appendix C.

' GROUNDWATER MONITORING WELL INSTALLATION
on February 2, 1996, a two (2) inch groundwater monitoring well was
' installed to a depth of approximately seventeen (17) feet bgs by Haz-
Tech Environmental Drilling Incorporated of Meridian, Idaho.
During the installation of the groundwater monitoring well, a single
soil sample was collected (1st&I-SS-7) at the soil water interface.
' The laboratory analytical results are presented in Table 1, while the
Alchem Laboratory report is enclosed in Appendix C, and the soil
boring log, water sampling log are presented in Appendix D.
on February 14, 1996, the groundwater monitoring well (MW -1)
pumped, developed and sampled. After purging procedures
completed and field parameters were conducted, the water sample
collected using a decontaminated teflon bailer.

procedures.

The samples were collected by pouring groundwater directly from the
top of the bailer into four (4) forty (40) milliliter glass vials, one
(1) one (1) liter amber bottle and one (1) one (1) liter plastic
bottle.
The sample was submitted for the following analysis, volatile organic
compounds by Method 8260, polynuclear aromatic hydrocarbons by method
8270 and lead by Method 7421.
ANALYTICAL RESULTS
Between the three (3) analytical methods the sample was tested for one
hundred and four (104) different chemical compounds. Only seven (7)
compounds were detected as listed below. The laboratory analytical
results are presented in Table 3, while the Alchem Laboratory report
is enclosed in Appendix E.

CONCLUSIONS
Six (6) verification soil samples were collected from locations within
' the excavation. The presence of petroleum hydrocarbons was detected
by the laboratory analytical equipment in several of the soil samples,
however due to the location of sidewalks, roads and property line
' additional excavation was not possible.
' Approximately three hundred sixty (360) yards of PCS were excavated
and removed from the site. Clean fill material was imported and
placed in the bottom of the excavation. Overburden soil were placed
' back into the excavation well above the seasonal groundwater high.

' A groundwater monitoring well was installed in the native soil in the
Northwest corner of the site. The groundwater monitoring well was
developed and sampled.
' LIMITATIONS
The observations and interpretations presented in this report are
' based on Petrol Services, Inc., field screening procedures and the
soil sample analytical laboratory reports prepared by Alchem
Laboratory Inc. This report has been prepared to summarize the
' information and data concerning the soils investigation in the
vicinity of the former petroleum storage system.
The field work described within this report was conducted in
accordance with generally accepted professional practices for the
' nature and conditions of the subsurface investigation. Petrol
Services, Inc., expressly disclaims any liability, based on negligence
or otherwise, arising from the results of services provided.

During the month of July in 1972, I contracted to
remove an older island from a former service station across
the street from Intermountain Arms Co.'in Meridian, Idaho.
My two sons and I dismantled and removed the structure and
concrete island over a two and a half week period. Upon
completion of this job we were informed it was necessary to
fill three old gas tanks with sand.
I had two dump trucks of fine grain sand delivered and
we spent the next day shoveling the sand into the underground
tanks. When the tanks. -appeared full we would further pack the
