FIRST AMENDMENT TO PURCHASE AND SALE AGREEMENT
THIS FIRST AMENDMENT TO PURCHASE AND SALE AGREEMENT (this
"Amendment") is made and entered into effective as of the 04/08/26 day of April, 2026 (the
"Effective Date"), by and between SCS Investments LLC, an Idaho limited liability company (the
"Seller"), and Jeffrey Fletcher, an individual resident of the State of Idaho (the "Buyer"). The
Buyer and Seller are collectively referred to herein as the "Parties."
WHEREAS the Parties entered into that certain Purchase and Sale Agreement dated
October 6, 2025 (the "Agreement"), in connection with the purchase and sale of the Property
described therein; and
WHEREAS the Parties desire to modify certain terms of the Agreement to provide an
additional extension of the Approvals Period in addition to the extensions set forth in Section 6.2
of the Agreement.
NOW THEREFORE,for such good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, the Parties agree to amend the Agreement as follows:
1. Seller hereby grants Buyer one (1) extension of the Approvals Period for a period
of thirty (30) days with no Additional Deposit required. All Approvals Period Extensions, as
defined in the Agreement, remain available to Buyer.
The recitals to this Amendment are incorporated herein by reference, as if fully set forth
herein. In the event of a conflict between the provisions of the Agreement and those of this
Amendment, the provisions of this Amendment shall control. Unless otherwise specifically
defined in this Amendment, all terms appearing initially capitalized herein shall have the same
meaning given to them in the Agreement. No other terms and conditions of the Agreement are
hereby changed by this Amendment. The Agreement shall remain in full force and effect modified
only by the terms and conditions of this Amendment, which terms and conditions are expressly
ratified and confirmed by the Parties hereto.
IN WITNESS WHEREOF, the Parties have hereby caused this Amendment be executed
effective as of the Effective Date.
