OMNIBUS WRITTEN CONSENT
The undersigned,being an authorized signatory("Authorized Si nagtoly")of BR TRH ID Jackson,
LLC, a Delaware limited liability company ("Owner') by consent in writing, does hereby consent to the
following actions as of April 14,2026:

WHEREAS, the undersigned is a duly appointed Authorized Signatory of Owner, with authority
to consent to the entry of this consent; and
WHEREAS, Owner has acquired certain real property located in Ada County, Idaho, along with
the improvements thereon (collectively, the "PropertX"), as more particularly described in that certain
Construction Agreement, dated March 9, 2026 (the "Construction Agreement"), by and between Owner
and TH Construction, LLC, an Idaho limited liability company("Contractor'); and
WHEREAS,pursuant to the Construction Agreement,Owner has engaged Contractor to construct
certain improvements on the Property; and
WHEREAS,the Authorized Signatory has determined that it is advisable and in the best interests
of Owner to authorize Contractor to approve and execute certain ordinary course documents described on
Exhibit A attached hereto for and on behalf of Owner(collectively,the"Ordinary Course Documents");
NOW,THEREFORE,IT IS:
RESOLVED, that the Owner hereby authorizes and empowers Adam Capell ("TRH Authorized
Signatory"), for so long as he retains the title of Executive Vice President of Land and Development of
Contractor,to individually execute and deliver the Ordinary Course Documents,as"Authorized Signatory"
on behalf of Owner.
FURTHER RESOLVED, that any person dealing with the TRH Authorized Signatory in
connection with the Ordinary Course Documents shall be conclusively entitled to rely upon the authority
of the TRH Authorized Signatory and by his execution of any document or instrument, the same being a
valid and binding obligation of Owner, enforceable in accordance with its terms; and be it
FURTHER RESOLVED,that these resolutions shall remain in full force and effect; and be it
FURTHER RESOLVED, these resolutions may consist of and be executed in one or more
counterparts. Those counterparts,when taken together,shall constitute unanimous consent to the foregoing
resolutions upon execution of at least one such counterpart by each of the undersigned.

The foregoing resolutions were duly adopted by the Owner effective as of the date first written
above.

EXHIBIT A
ORDINARY COURSE DOCUMENTS
1. Vendor contracts and amendments or modifications thereof;
2. Governmental authority approval related documents, including but not limited to,
applications, permits, affidavits of legal interest and the execution of subdivision plats prior to their
recordation;
3. Association related documents that do not involve any amendment to the declaration of
record;
4. Development and improvement agreements with governmental authorities relating to
routine platting/subdivision matters; and
5. Building permit applications.
Notwithstanding the foregoing, the Authorized Signatory is not authorized to execute on behalf of
Owner (i) any contract or agreement which involves, or reasonably is expected to involve, an amount in
excess of$50,000.00; and(iii) any contract or other arrangement with an affiliate of Contractor.
