SPECIAL WARRANTY DEED
FOR VALUE RECEIVED, Ten Mile West Commercial, LLC, an Idaho limited liability
company, hereinafter called the Grantor,hereby bargains, sells and conveys unto LTF Real Estate
Company, Inc., hereinafter called the Grantee, whose address is 2902 Corporate Place,
Chanhassen, MN 55317, as of this 9,2M day of December, 2025.
WITNESSETII:
That the Grantor, for and in consideration of the sum of TEN DOLLARS ($10.00) lawful
money of the United States of America, and other good and valuable consideration, to the Grantor
in hand paid by the Grantee, the receipt whereof is hereby acknowledged, has granted, bargained,
sold, and by these presents does grant, bargain, sell, convey and confirm unto the Grantee, and to
the Grantee's successors and assigns forever, all of the following described real property in the
County of Ada, State of Idaho, to-wit:
See Exhibit A, attached hereto and incorporated herein,
TOGETHER WITH the tenements, hereditaments and appurtenances thereunto belonging
or in anywise appertaining,and any reversions,remainders,rents, issues and profits therefrom; and
all estate,right, title and interest in and to the property, as well in law as in equity, of the Grantor.
SUBJECT TO the liens, encumbrances and other matters listed on Exhibit B attached
hereto and by this referenced made a part hereof as the exceptions permitted to title previously
accepted by Grantee as the Permitted Exceptions.
TO HAVE AND TO HOLD the property and the appurtenances unto the Grantee, and to
the Grantee's successors and assigns forever. The Grantor and the Grantor's successors shall
warrant and defend the property in the quiet and peaceable possession of the Grantee and the
Grantee's successors and assigns,against all acts of the Grantor and no other,subject to the matters
set forth above.
In construing this deed and where the context so requires, the singular includes the plural.
IN WITNESS WHEREOF, this Special Warranty Deed has been duly executed by the
Grantor as of the day and year herein first above written.

Permitted Exceptions
1. All zoning and building codes,ordinances and other laws applicable to the property.
2. All real property taxes and assessments for the year 2026 and thereafter.
3. Sewer charges and special assessments imposed by the City of Meridian for the
year 2026 and thereafter.
4. Levies and assessments imposed by the Nampa & Meridian Irrigation District for
the year 2026 and thereafter.
5. All encroachments, gaps, gores, overlaps, boundary conflicts, shortages in area,
claims of easements and other rights, claims and matters that would be disclosed
by a thorough inspection or an accurate and complete survey of the property.
6. The following matters of record:
a. An easement in favor of Idaho Power Company, an Idaho corporation
recorded September 24, 1934, as Instrument No. 159056.
b. An easement in favor of Pacific Northwest Pipeline Corporation recorded
February 17, 1956, as Instrument No. 390283, as amended by the Partial
Release of said easement recorded March 29, 1971, as Instrument No.
766208.
C. Quitclaim Deed executed by the United States Department of the Interior
Bureau of Reclamation to the Nampa Meridian Irrigation District
recorded: July 18, 2001, as Instrument No. 101071951.
d. Development Agreement by and between the City of Meridian and
Meridian 118, LLC dated May 24, 2022, recorded May 25, 2022, as
