After a site inspection and review of Sundance Subdivision # 1 Project by the
Planning & Zoning Department and the Public Works Department, it has been
determined to release the Letter of Credit of $364,371.00 to you for the
completion of water, sewer: pressurized irrigation system, street lights, and
landscaping. Please use this letter as authorization for Washington Fe.deral
Savings to release the Irrevocable Letter of Credit No. 2002-27.

Dear Sirs:
We hereby establish our irrevocable Letter of Credit in your favor for the
account of SUNDANCE LIMITED COMPANY, LLC up to the aggregate amount of
$364,371.00 available by your drafts drawn at sight on us presented at
WASHINGTON FEDERAL SAVINGS, Main Office, 1001 W. Idaho Street, Boise, Idaho
83701.
Drafts must be accompanied by Beneficiary's signed statement that the
developer has failed to perform or is in default of completion of the sewer,
water and pressurized irrigation system, street lights and landscaping in
SUNDANCE SUBDIVISION NO.1.
Drafts drawn under this credit must bear the following clause: Drawn under
Washington Federal Savings Letter of Credit Number 2002-27 dated October 2,
2002. The amount of each draft must be endorsed hereon.
Partial drawings are permitted.
We hereby engage with the drawer, endorsers, and holders in due course of
drafts drawn under and in compliance with the terms of this credit, that such
drafts will be duly honored upon presentation to the drawee bank.
This Letter of Credit expires October 2, 2003.

I have reached an understanding with Becky McKay regarding the PI system at
Sundance Subdivision No.1. The letter of credit can be released for this
subdivision. Refer to my email to you on Monday, August 4.
They will provide a PI O&M manual prior to Sundance #2 letter of credit
release or prior to Sundance #3 plat signature, whichever comes first.

Our files do not show any evidence that NMID has approved the installation of the PI
system or executed a PI agreement. Refer to my March 14, 2003 ernail to Becky McKay
regarding surety on Sundance #1 (it is attached in case you no longer have it on your
computer) .
If there is no PI agreement with NMID, then they need to schedule an inspection with one
of our field inspectors. In addition, they must provide Public Works with a final copy of
a PI 0 & M manual, per preliminary plat conditions, since this will be, in effect, a
horneownerts association system.

After tracking down the information that Shari is referring to. We are
still holding this LOC until we receive a letter that states the system has
been inspected (per Bruce F--he has contacted Becky this morning)
The letter that we have states that plans were approved, but nothing about
it actually being inspected.

The PI and pump station are supposed to be an NMID system. There is nothing in the file
from NMID showing that they have finaled either. I will contact Becky and ask for that

Dear Gary;
The Meridian City Water Superintendent and Sewer Inspector advise me that the installation of
this subdivisions sanitary sewer and domestic water systems have been satisfactorily completed in
accordance with the approved plans_ These systems have passed the required tests, in accordance
with City Standards, and are hereby accepted by the City for ownership and maintenance.
In accordance with present City policy, the installation and materials of the sewer and domestic
water systems are to be warranted against defect by the contractor for a period of one year from
the date of this letter

Re: Street Ughts for Sundance Subdivision #1
The street lights have been installed by the developer in Sundance Subdivision
#1. These are 100 and 250 watt high-pressure sodium lights on steel poles,
owned by the City of Meridian with a maintenance agreement with Idaho Power.
The ten (10) street lights are located at:

Lot 18 Block 4 E. Washakie Street & N. Etta Way
Lot 23 Block 4 E. Washakie Street & N. Lezana Avenue

Dear Sirs:
We hereby establish our irrevocable Letter of Credit in your favor for the
account of SUNDANCE LIMITED COMPANY, LLC up to the aggregate amount of
$364,371.00 available by your drafts drawn at sight on us presented at
WASHINGTON FEDERAL SAVINGS, Main Office, 1001 W. Idaho Street, Boise, Idaho
83701.
Drafts must be accompanied by Beneficiary's signed statement that the
developer has failed to perform or is in default of completion of the sewer,
water and pressurized irrigation system, street lights and landscaping in
SUNDANCE SUBDIVISION NO.1.
Drafts drawn under this credit must bear the following clause: Drawn under
Washington Federal Savings Letter of Credit Number 2002-27 dated October 2,
2002. The amount of each draft must be endorsed hereon.
Partial drawings are permitted.
We hereby engage with the drawer, endorsers, and holders in due course of
drafts drawn under and in compliance with the terms of this credit, that such
drafts will be duly honored upon presentation to the drawee bank.
This Letter of Credit expires October 2, 2003.

I have signed the plat vellum for the above project and am forwarding it to you for your
signature. Based on our research of the project files, all conditions imposed by the Public
Works Department and City Council have been met.
I am forwarding the orioinalletter of credit (Washington Federal Savings - dated October 2,
2002) for $364,371.00 to you. This represents surety for items, and in amounts, as listed on
the attached spreadsheet. Please note the required surety amount ($314,278) is exceeded
by the actual letter of credit. This is due to some items being completed between the time the
LOC was submitted (October 2, 2002) and today.
The Settlers Irrigation District license agreement required for this project is not quite right. I
have asked Becky Bowcutt to have it revised and that we will hold building permits until the
license agreement is acceptable.
Please call Becky at 484-3904 when the plat is ready to be picked up and include a copy of
this memo for her. Please call me if you have any questions.
