THIS IS A LEGALLY BINDING CONTRACT . BEFORE SIGNING, READ THE ENTIRE
DOCUMENT , INCLUDING THE GENERAL PRINTED PROVISIONS AND
ATTACHMENTS . IF YOU HAVE ANY QUESTIONS BEFORE SIGNING, CONSULT YOUR
ATTORNEY AND/OR ACCOUNTANT ,

Buyer acknowledges receipt of the Idaho Real Estate Commission approved Agency Disclosure
Brochure , attached, and does hereby appoint Colliers Treasure Valley, LLC ("Colliers") as
Buyer ' s Exclusive Agent for the purpose of assisting Buyer in locating and purchasing, leasing
or optioning for any acceptable property introduced to Buyer by Colliers during the term of this
agreement .
If Buyer is already registered as a Buyer for the property by any other agency, then this
Agreement shall be null and void.
CONFIDENTIAL INFORMATION : By appointing Colliers as Buyer ' s exclusive agent, Buyer
agrees to conduct all negotiations for the purchase of such property through Colliers . Buyer
agrees to furnish Colliers with all appropriate financial information to assist Colliers with this
assignment . Such information will be considered "confidential information, " unless the Buyer
authorizes Colliers to disclose such information in writing .
GOOD FAITH : Colliers will exercise a good faith effort to locate real property meeting the
Buyer ' s description, and will act in the Buyer ' s best interest and provide the client services
provided for under Idaho Brokerage law . Buyer understands that Colliers has other Buyer clients
and Buyer customers .
AGENCY DISCLOSURE AND CONSENT TO LIMITED DUAL AGENCY : Buyer has read
and understands the information contained in the Agency Disclosure Brochure . Buyer
understands that Colliers will be or may be providing agency representation to both the Buyer
and the seller of a property that is listed for sale with the Colliers . The Buyer understands that as
an agent for both the Buyer and a seller; Colliers will be a limited dual agent and cannot legally
disclose to either party certain confidential information concerning price negotiations , terms or
factors motivating the Buyer to buy or the seller to sell without the specific written permission of
the disclosing party . The specific duties , obligations , and limitation of a limited dual agent are
contained in the Agency Disclosure Brochure as required by Section 54 -2063 , Idaho Code .
Buyer understands that a limited dual agent does not have a duty of undivided loyalty to either
client. Buyer does hereby consent to such limited dual agency by Colliers .
COMPENSATION : It is customary practice that sellers pay real estate commissions to brokers
representing buyers . Colliers will seek to be compensated by the seller for each such sale of
property arising out of this Agreement pursuant to a separate agreement, if any, for any property
purchased by Buyer that was introduced by Colliers . If a seller refuses to pay a commission to
Colliers , Buyer shall directly compensate Colliers (or cause Colliers to be compensated by Seller
for each sale of property arising out of this Agreement) two percent (2 %) of the gross sales price
of any property purchased by Buyer that was introduced by Colliers .
TERM OF RELATIONSHIP ; The agency authority of Colliers shall begin upon the signing of
this agreement and will expire on July 22 , 2026 , at 5 : 00 p . m . Mountain Time , or upon closing of
escrow of any property purchased through this Agreement, or upon the written consent of the
Buyer and Colliers to earlier termination, whichever occurs first .
ENTIRE AGREEMENT : The terms hereof constitute the entire agreement and supersede all
prior agreements , negotiations , and discussions between parties . This agreement may be
modified only by a written agreement signed by each of the parties .
OTHER BUYERS : Buyer agrees that Colliers shall have the right to continue to offer for sale
any properties shown to , or considered by, Buyer to any other potential buyer .
ATTORNEY ' S FEES : If either party initiates or defends any arbitration or legal action, which is
in any way connected with this agreement, the prevailing party shall be entitled to recover from
the non-prevailing party reasonable costs and attorneys ' fees , including such costs and fees on
appeal and in any bankruptcy proceedings .
ELECTRONIC TRANSMISSION : Electronic or facsimile transmission of any signed original
document, and retransmission of any signed electronic or facsimile transmission, shall be the
same as transmission of the original .
OTHER TERMS : This contract shall be interpreted and governed by the laws of the State of
Idaho . All rights and obligations of the parties hereunder shall be binding upon and inure to the
benefit of their heirs , personal representatives , successors , and assigns . This agreement may be
modified only by a written agreement signed by each of the parties . The terms hereof constitute
the entire agreement and supersede all prior agreements , negotiations , and discussions .
IDAHO REAL ESTATE LICENSE LAW / OFFERS TO PURCHASE : The Idaho Real Estate
Commission is established pursuant to Idaho Code 54 - 2005 to administer and enforce all
provisions of the Idaho Real Estate License Law (Title 54 , Chapter 20 . Brokerage Companies
and agents are regulated by the Idaho Real Estate Commission and are required to advise clients
and customers of requirements of all offers to purchase for property located in the State of Idaho .
Please refer to (Idaho Statute 54 - 2051 Offers to Purchase) for the list of requirements for offers
to purchase .

Idaho consumers, as outlined In the Idaho Real Estate Brokerage Representation Act ( Idaho
Code 542082 - 54-2097). These duties are required by law! A Brokerage CANNOT
modify or eliminate any of them , even with your consent . It Is recommended that you review
this document prior to discussing ANY personal Information with a Brokerage .

The duties you 're entitled to during the process depend on the type of relationship you have with a Brokerage.
Understanding the relationships Is essential in deciding whether you want to be a CUSTOMER or a CLIENT .

The duties owed to CLIENTS are more extensive . These duties are ONLY owed to
consumers who have signed a Representation Agreement with a Brokerage.

- Promote your best interests in good faith , - Be available to present & receive
