This Corporate Resolution was made and unanimously passed on February 10, 2020 at a duly called meeting of the Board of Directors of Riverwood Homes, Inc., an Idaho corporation: Authorization of Individuals to Perform Actions and Execute Instruments for the Corporation The need to update those authorized to act in behalf of or obligate the Corporation was discussed. After a brief discussion, and upon a motion duly made and unanimously carried, it was: RESOLVED,that the following persons, as duly appointed officers or agents of the Corporation, and acting for and in behalf of the Corporation and as its act and deed, are each individually authorized and empowered to (1)borrow money, (2) execute notes, (3) grant security, (4) execute security documents, and (5) negotiate items. Additionally, they may(6) sign any property deeds, mortgages, promissory notes,bonds, property purchase and sale agreements, property closing statements and related documents necessary to close real estate transactions, individual construction loan documents and commitments, or other instruments which the Board of Directors has authorized to be executed ((1) through (6) inclusive are collectively known as "Authorized Actions"). This authority also extends to any of the named persons signing for and in behalf of the Corporation in its role as Manager of Riverwood Homes Washington, LLC, an Idaho limited liability company, for which the Corporation is the sole member, for any of the Authorized Actions, made by or for Riverwood Homes Washington, LLC. The authorized officers or agents for purposes of performing the Authorized Actions set forth herein are: Gregory Johnson, Chairman of the Board Daniel Johnson, President Matthew Johnson,Vice President Larry Squires, Secretary/Treasurer Ben Morrison, Controller FUTHER RESOLVED, that the Chairman of the Board, the President, or the Secretary, as duly appointed officers and agents of the Corporation, and acting for and in behalf of the Corporation and as its act and deed, are individually authorized to sign(a) certificates for shares of the Corporation(b) master borrowing agreements for creating or renewing construction guidance lines, and/or(c) other instruments which the Board of Directors from time to time may specifically authorize any one of them to execute ((a) through (c) inclusive are collectively known as "Enumerated Instruments"). This authority also extends to signing for and in behalf of the Corporation in its role as Manager of Riverwood Homes Washington, LLC, an Idaho limited liability company, for which the Corporation is the sole member, for any of the same Enumerated Instruments set forth herein,made by or for Riverwood Homes Washington, LLC. The authorizations set forth in this Resolution are only valid for each individual specifically named as long as they are employed by Riverwood Homes, Inc., or are appointed to one of the named officer positions identified in this Resolution, or are otherwise not unauthorized by the Board of Directors. This Resolution supersedes (1) any prior passed resolutions of the Corporation relating to those authorized and empowered to perform the Authorized Actions or to execute the Enumerated Instruments set forth in it, and/or(2) any statement in the Bylaws of the Corporation that they may otherwise contradict.
