FOR VALUE RECEIVED, Hotel-SLC, LLC, an Idaho limited liability company, hereinafter called the
Grantor„ hereby bargains, sells and conveys unto Ten Mile District North LLC, an Idaho limited liability
company, herein after called the Grantee, whose address is 1144 S. Silverstone Way, Suite 500, Boise,

WITNESSETH:
For valuable consideration the Grantor hereby grants, delivers and conveys to Grantee all of the real
property described on Exhibit A attached hereto together with all of Grantor's rights, title and interest in and
to all improvements thereon and all rights, privileges, and hereditaments and appurtenances related or
pertaining thereto, including water rights, if any(collectively, the"Property"), subject to all matters of record
or appearing on the real property as of the date of this deed.
To have and to hold said Property unto the Grantee and its successors and assigns forever.
THIS DEED SHALL BE BINDING upon and inure to the benefit of Grantor and Grantee and their
respective successors, heirs, legal representatives, and assigns.
