Exhibit B to Deed-Capell/Bills—Encumbrances/Covenants
1. Grantor and Grantee hereby agree that the Property conveyed herein is subject to the
following encumbrances:
A.That certain easement recorded at Book 17 of Miscellaneous at Page 613 in
the record of Ada County Idaho granted to Idaho Power Company for a power
line; and
B. All matters disclosed by that certain survey recorded May 01, 1996 under Ada
County Recording No. 96036172.
2. Grantor and Grantee hereby further agree that the following covenants shall attach to
and run with the Property:
a.The Property shall not be subsequently conveyed to Corey Barton, CBH
Homes, Hubble Homes, LLC, Hubble Development, LLC or any entity affiliated
with any of the foregoing.
b.Any homes or other improvements constructed on the Property shall be
setback from the common boundary with the Grantors' retained real property of
approximately 4.8 acres at 5120 S. Locust Grove Rd., Ada County Parcel No.
S1132223525 (the"Retained Property") at least fifteen (15)feet, and shall be
limited to a maximum peak elevation of 25 feet from original grade in order to
preserve and maximize views existing on and from Grantors' Retained Property.
c. For the first three(3)years from the date this Deed is recorded, Grantee shall
only develop one single family residence on Parcel S1132223320. Development
of Parcel S1132223210 may happen sooner, but shall, in any event be limited to
a minimum lot size of.5('/2)acres and a maximum of ten (10)single family
residences. Later development of Parcel S1132223320 shall also be limited to a
minimum lot size of.5 ('/2)acres, regardless of zoning then in effect. If Parcel
S1132223320 is later developed,any roads improved as part of that
development shall include at least one stubbed access point to the Retained
Property.
d.The parties agree that,within a reasonable time after closing, but no later than
December 31, 2018, they will erect a fence along their common property
boundary(i.e. along the southern boundary of the Property that is also the
northern boundary of Grantors' Retained Property). The fence will be constructed
of materials that are acceptable to both parties, and the expense for erecting the
fence shall be shared equally between Grantees and Grantors.At a minimum,
the fence shall be of materials and quality sufficient to contain livestock.
e. In the event that Grantors determine to sell the Retained Property, Grantees
shall have a second position negotiation/offer right behind Grantors' natural heirs
and/or any beneficiaries of the Capell Family Trust to purchase the Retained
Property at a fair market price to be determined at the time the Retained Property
becomes available for purchase. If Grantors offer the Retained Property for sale
to third parties, and all of Grantors' natural heirs and/or any beneficiaries of the
Capell Family Trust have declined to purchase the Retained Property, Grantees
shall have a right of first refusal to purchase the Retained Property on the same
terms and conditions offered by a third-party buyer and accepted by Grantors.
Grantors shall notify Grantees of any such acceptable third party offer within ten
(10) business days of acceptance by Grantors. Grantees shall have ten (10)days
from receipt of notice from Grantors to exercise their right of first refusal, and

must close on the purchase within forty-five days from exercise of its right.
Grantees' right is a one-time, non-recurring right and shall expire if not exercised.
Nothing herein shall require an arms-length,fair market price based transaction
for the Retained Property between Grantors and Grantors' natural heirs and/or
any beneficiaries of the Capell Family Trust.
