IMERSTATE ASSOC WTE MEMBERSHIP AGREEMENT
sVwEEN KiNG COUNTY DIRECTORS'ASSOCIATiON AND
CITY OF MERIDIAN-IDA140
Whereas,King County Dax2orV Assoclation is authorized by RC1N 39.34 to enter into an agreemnt with other public agencies to purchase any and all
merrhand atharwise available to pubfrc school dt6ttitds;and
Whereas,the CITY OF MERIRiAN desires to enter into an apreentent with King County Direcltars'Association authorizing said insftftn to purchase
supplias,equipment and materials through King County Directors'A5=iation;now theretoro,
it is miduatly agreed as follows,
t. King County Directors'Assorigon(teereireSer referred to as`KQDkj,hereby agrees to see to tho understgned inatitutian supplies,equiprncnt and
materials,hereinafter referrer!to as"goods',as set"in its current c utatog(s),from e)dsting inventory and special purchases,at current rust factors
plus variable administrative fees for servkes rendered.
Z The undersigned institution agrees 110 pay for all items purchased within forty(40)days from tho date of shipment from XCOA's wamhouse or supplier.
3. True to goods(except for the security interest retained under the Unifotm Commercial Code,Tdfe 62 RCW)shall pass on shipment or detiuery%a
common carrier,whichever occurs earlier,and aft risk of loss shalt pass to the purchaser an 5hipment or delivery to a common carrier,
4. In the evert it is necessary for KCDA tp employ the services of an attorney to enforne any prevision hereof,or to collect any money due under the temtis
hermt,the purchaser agrees to pay the reasonable rest thereof induding ptl casts and fees incurred in connection dwrevrrth. In the event it is
necessary for KCDA to 00mmence a legal,action with respect to the enkrcament of this agreement,the parties stiputabe es followT
(a) the contract was formed in the-late of Washington;
(b) the rAntract shall be construed in aamrdanoe With ft laws of trite Slade of Washin,*on;and
(c) the action shall be commenced and tried in the superior caurl for King County,Washington.
5. It is further undarr+,.00d and agreed that KCDA is oblf 2tad to supply equipment,malarial:and supplies only if evailabie and to secure the same at the
br,-t prices pwsibte and that KCDA WM not be liable to the undersigned institution in the event it is unable to supply or provide arty supplies, materials
or equipment requested by The undersigned instltutlon.
6. Either party may mricel this agreement on thirty(30)days written notice or five(5)days nolim for late payrnenL
7. The undersigned institution dos not Claim any proprietary interest of any nature whatsoever in KCDA or any funds or assets held by KCi3A,and it is
further agreed that the undersigned institution will not be liable for any of the general obligations of KCDA and shall be timit8d with re5pea to its liability
to the excnt pmvideo for hero.
S. In the event KCDA is determined to W subject to arty additional mX charges orfees by the State of Washington of other municipal governmental
entities as a result of entering into this agmement,the undersigned institution Agrees to pay in addrlian to all other amounts 6pecftd herein the
additional tax whether B&D tax.sales tare,or other excise tax,or any othertax.and in addition.agrees to indemnify and hold KCDA harmtess wide
respect to defending any action brought by the Department of Reti.'enua or any oUher state or municipal entity dliming that such tax(s)is M due,
ineludiRg attorney's fees artd casts incurred therein.

10. The undersigned institution agrees to abide by all of the general rules and r%ulati "and polices of KCDA 33 heretofore or hereafter adected,
incWding as provided for in the interiocal agreementwhich aufteizes the formation of KCDA underRCW 39.34,and including amendments thereto.
