THIS AGREEMENT, made and entered into this 5th day of
February , 1981 , by and between the CITY OF M^ER.IDIAN ,
a municipality and political subdivision of the State of Idaho ,
hereinafter referred to as Lessor, party of the .first part,
and MERIDIAN SENIOR CITIZENS ASSOCIATION, hereinafter referred
to as Lessee, party of the second part,
W I T N E S S E T H:
FOR AND IN CO`1SIDERA.TION of the rentals hereinafter provided,
and the covenants and agreements hereinafter set forth, Lessor
hereby leases and demises to Lessee, for the term herein stated,
the property, described in Exhibit "A" hereto, by this reference
in�YvY`pUrateu�i�rr as if set forth in full , which shall be
hereinafter referred to as the " leased premises" for the convenience
of the parties hereto..
This agreement is subject to the following terms and condi-
tions to which the parties mutually agree:
TERM : This lease agreement shall be effective upon its
execution for a term of thirty ( 30) years from and after the date
of its execution.
RENEWAL : Subject to the conditions hereinafter stated,
Lessee shall have the right to renew this lease agreement two ( 2)
times with each such renewal being for a period of five (5) years
for a total possible lease occupancy of forth ( 40) years ,
provided that:
(a) Lessee' s right and option to .renew this Lease is
subject to it not being in default at the time of any

(b) The terms and conditions as set forth herein shall
continue in full force and effect during any renewal term
hereof; and
( c) Lessee shall give Lessor written notice of its intention
to renew this Lease, not later than 120 days prior to
the expriation of the term to he renewed.
RENTAL: As rental for the leased premises, Lessee agrees
to pay Lessor, at the address hereafter provided for giving
notice to Lessor, the sum of Thirty and No/100 Dollars ( $30. 00)
for the initial term of this lease agreement which shall be
payable upon the execution of this lease. The sum of Five Dollars
( $5 . 00) per year sum shall be due for each term Lessee renews
this lease agreement and shall be due and payable at the beginning
of the renewed term.
MEETINGS: At the end of each five years of the initial term
of this lease, the parties hereto shall meet and discuss the lease ,
the use of the premises , the satisfaction of each party to the
lease and whether or not the Lessor might want to lease a different
portion of ground to Lessee. This provision shall not be inter-
pretted, however, as being binding on the parties hereto to alter
the lease or change the leased premises.
NO RIGHT OF FIPST REFUSAL: In the event Lessor decides
to sell the above described premises, it is understood and
agreed that Lessor has not granted to Lessee a right to purchase
the premises ; it is specifically understood that in the event
Lessor does sell the said property, it may have to be sold
to the highest bidder but that Lessee may bid on the property.
USE OF THE PREMISES: It is understood and agreed that Lessee
is leasing the described premises for the specific purpose of
constructing a building thereon that would be used .for a Senior
Citizens Center, Lessor hereby specifically agrees that such
a building may be constructed on said premises along with associated

quarters, sleeping quarters , or lodging rooms with the exception
for a first-aid room and a caretakers room.
CONSTRUCTION OF BUILDING Lessee shall be solely responsible
for the financing and construction of the building which Lessee
intends to place upon said property. Lessee shall not mortgage ,
assign, pledge , or hypothecate this lease agreement, or the
property to which it applies in any fashion in order to obtain
financing for said building; Lessee shall not in any fashion
obligate the Lessor or lend the credit of Lessor for the financing
and construction of the intended building to be constructed
upon the premises . Lessor shall have design review of any structure
placed upon the premises.
MAINTENANCE AND REPAIRS : Lessee shall be totally responsible
for all maintenance and repairs on the premises including sewer
and water repairs , parking areas , and landscaping,
Ei;PENSES AND UTILITIES : Lessee shall pay any and all
utility charges of every nature accruing by reason of Lessee' s
use and occupancy of the leased premises , including, but not
limited to , water, sewer, trash , electricity and gas.
DESTRUCTION Or.. D? MAGE BY FIRE: Lessee shall have the
total risk of loss or damage to the leased premises and/or
the building to be constructed thereon.
EMINENT DO!"AIN : In the event that any governmental entity
other than Lessor shall take the premises by use of eminent
domain the Lessor shall receive the value of the land and Lessee
shall receive the value of the building or portions thereof.
INSi, NCE AND INDEVNITY: Lessee agrees that it will ,
and it does hereby, indemnify and save Lessor harmless from
all claims , judgments , demands and liability of any person

or accident which takes place during any term of this lease
agreement on or about the premises or building to be constructed
thereon. Lessee shall obtain liability, premises and on-premises
medical insurance insuring Lessee with Lessor named as an additional
insured on the premises and any buildings located thereon.
Such policy or policies of insurance shall have a minimum limit
of $300 ,000 . 00 or such other amount as Lessor shall designate.
Lessee shall furnish copies of all insurance policies to Lessor
and all renewals thereof, and shall keep all such policies
in a current status .
TERMINATIONt In the event of default of this lease agreement
the Lessor shall give written notice of such default to the Lessee
by postage prepaid, certified mail. If the Lessee ' s violation of
the lease shall continue for thirty days , the lease may at once
be terminated by a second notice to the Lessee by postage prepaid
certified mail.
(a) This lease shall terminate at the expiration of the term
provided herein, unless renewed as provided for in this agreement;
(b) Upon determination of the Lessor that the Lessee has
failed to observe any of the conditions , exceptions or reservations
or to fulfill any of the provisions set out in this agreement;
( c) At the option of the Lessor upon the discontinuance
of the leased premises by the Lessee ; and
( d) By the mutual agreement of the parties hereto.
OTHER MATTERS
a. Nothing herein contained shall he construed to create
the relationship of partners , joint venturers , or parties to
any joint enterprise in any manner between Lessor and Lessee.
b. In construing this Lease, the singular shall include

and feminine, all as the context may require.
C. In the event either party is required to institute
any legal action in order to enforce any of the rights , agreements ,
covenants or conditions herein contained, the prevailing party
in such litigation shall be entitled to recover such party' s
reasonable attorney fees from the other party, together with
costs of suit, the amounts thereof to he fixed by the Court
in such legal action.
d. The forbearance or failure of any party hereunder
to give prompt notice of default or termination of this Lease
by reason of any act, omission or occurrence, or to strictly
enforce any covenant hereof, shall not he deemed a waiver of
any of the provisions of this lease agreement as regards any
other or further such default or breach , act, omission or occurrence
nor shall consent or approval of Lessor given in one instance
be construed to waive the necessity for such consent or approval
as regards any other or further similar act by Lessee , unless
such intention be expressly stated in writing by Lessor.
e. In the event any clause or provision of this Lease
is declared by any Court to be invalid or unenforceable for
any reason, such invalid or unenforceable clause or provision
shall not affect the whole of this instrument, but the balance
of the provisions hereof shall remain in full force and effect.
f. All of the provisions hereof shall enure to the benefit
of and shall be binding upon, the heirs , executors , administrators,
personal representatives , successors and assigns of all parties.
NOTICES : All notices hereunder shall he in writing and
shall be deemed given when personally delivered to the employee
or managing agent in charge of the receiving party' s business

QUIET ENJOYTIENT BY LESSEE : Upon performing all of its
duties and obligations hereunder in accordance with the terms
and conditions of this Lease, Lessee shall be entitled to quietly
and peaceably have, hold, occupy, possess , and enjoy the leased
premises during the term hereof, without hinderance or ejection
by persons lawfully claiming under Lessor.
ASSIGNT=TENT AND SUBLEASE: Neither this lease agreement ,
nor any interest in the leased premises may be assigned or
in any manner transferred by Lessee, without the prior approval
of Lessor expressed in writina; however, there is no prohibition
against sublease by Lessee, with Lessor' s consent, it being
understood and agreed that no such sublease shall in any manner
relieve or release Lessee from its obligations to Lessor hereunder.
USE OF OTHER GROUPS : This lease is issued with the under-
standing that the Lessee will make this facility available for use
by other groups and organizations to the extent possible to obtain
the greatest total use during the year. Provided, that the use
by other groups does not conflict with the scheduled use by the
Lessee.

The Southwest three ( 3) acres of the following described
parcel of land which three (3) acres is a square equal
on all sides :
Beginning at the SW corner of the NE 1/4 NW 1/4 , Section 18,
T. 3N. , R. 1E. , B .M. , Ada County, Idaho , the real point of
beginning; thence Northerly along the Westerly boundary of
said NE 1/4 NW 1/4 , Section 18 , a distance of 1050 feet to
a point on the Northeasterly bank of a stream called
Ninemile Creek; thence Easterly parallel to the Southerly
boundary of said NE 1/4 NPd 1/4 , Section 18 , a distance of

AGREEIMENT TO TERMINATE LAND LEASE
THIS AGREEMENT, Made this &4A day of , 1994 ,
by and through the CITY OF MERIDIAN, a municipality and political
subdivision of the State of Idaho, hereinafter referred to as
Lessor, party of the first part, and MERIDIAN AREA SENIOR CITIZENS
ASSOCIATION, INC . , an Idaho corporation, hereinafter referred to
as Lessee, party of the second part, WITNESSETH:-
WHEREAS , the parties hereto have heretofore made and entered
into an agreement in writing, to-wit: a lease dated February 5,
1981, under terms and provisions of which lessor leased to lessee
and lessee leased from lessor, for the period of from February 5,
1981 to February 5, 2011, the premises located in meridian, Ada
County, Idaho, which is more particularly described in Exhibit "A"
attached hereto and which by this reference is hereby incorporated
herein as if set forth in full, and
WHEREAS , the parties hereto wish to terminate and cancel
said lease and the tenancy of the hereinabove described property
as of the jj)'�k day of Q&fd &r- , 1984 , and to release each
other from their respective obligations to keep, observe and
perform the conditions, covenants and agreements contained in
said lease.
NOW THEREFORE, it is hereby mutually agreed by and between

1. That said lease be, and the same is hereby terminated
and cancelled and the term thereof is brought to an end as of
the day of eiCGfo & , 1984 , with the same force and effect
as if the term of said lease was, by the terms and provisions
thereof, fixed to expire on the Lk day of eC J,,0Jf r , 1984,
and not on February 5, 2011, subject however to the terms,
provisions and conditions hereinafter set forth in paragraphs 2
and 3.
2 . Lessor and Lessee are hereby respectively released and
discharged from their respective obligations to perform, keep
and observe the agreements, covenants and conditions in said lease
on their respective parts to be performed, kept and observed.
3. Lessee agrees to vacate the demised premises on or before
the day of o&AVi , 1984 .
Each and all of the conditions, covenants and agreements
herein contained shall be binding on and inure to the benefit of t e
parties hereto, and their respective heirs, legatees, devisees,
administrators, executors , successors and assigns .

LEASE AGREENENT
THIS AGREE I,�P3T, !Fade and. entered into this 31 Olt ay of July,
1968, by and between the CITY OF MERIDIAN , a municipal corporation,
hereinafter called Lessor, and the MERIDIAN ATHLETIC ASSOCIATION,
INC. , a corporation, hereinafter called Lessee, W I T N E S S E T Q -
For and in consideration of the covenants and conditions
Aereinafter contained, the Lessor agrees to let and lease unto the
Lessee herein, the following described real property, to-wit :
Beginning at the SW corner of the 10 NVA, Section 18, T. 3N. , R.
1E. 7 B.M. , Ada County, Idaho, the real point of beginning; thence
Northerly along the Westerly boundary of said. NEI I'?WA, Section 18,
a distance of 1050 feet to a point on the Northeasterly bank of a
stream called Ninemile Creek; thence Southeasterly on a straight
line along the Northeasterly bank of said Ninemile Creek to a
point on the Southerly boundary of said NQ I,W;'., Section 18, a
distance of 480 feet Easterly of the Southeast corner of said
NEI N 4, Section 13; thence Westerly along the :southerly bounjary
of said NEI W, Section 13, to the real point of beginning, com-
prisinF 5.3 acres .
for a term as long as I:essee is an active and operating corporatio
and desires to use said property.
IT IS UNDERSTOOD AND AGREED By the parties that the Lessee
shall pay all costs of maintenance and up-keep of said leased
premises of every kind and nature, excepting_ as hereinafter Provided,
and excepting also State, County and L4nicipal taxes and assessments,
which shall be paid by the Lessor.
IT IS SPECIFICALLY AGREED That Lessee will hold lessor harmle s
against any liability whatsoever arising, out of its performance of
this lease and that Lessee agrees to carry public liability and
property damage insurance of sufficient amount to protect it a gain t._
any such liability. It is specifically understood and agreed that
Lessee is an independent contractor under this lease and Lessor is
in no way connected with the operation of the premises by the
Lessee and shall be held harmless completely by Lessee.

provided, or breach any of the terms , covenants or conditions
herein contained, the Lessor may, at its option, rescind and canoe
this agreement, and etch and every covenant herein contained, upon
thirty days written notice tc the Lessee setting out the default,
and said Lessor ma=, re-enter s03 premises at the expiration of
said thirty days notice unless said Lessee has performed such
breached covenant or trade the defaulted payment, and said Lessee
a:Trees to peaceably surrender possession of said premises to the
Lessor, and all moneys theretofore paid shall be forfeited as
liquidated damages for the use and occupancy of said premises.
PROVIDED, however, that should at the expiration of said grace
period the Lessee fail or refuse to surrender possession of said
premises, as heretofore provided, and an action be necessary to
regain possession thereof, said Lessee aErees to pay such reasonab.:
costs and attorney fees as a court of proper jurisdiction finds
meet and 'Just in any removal action.
IT IS FURTHER UEDERSTOOD AND AGREED By the parties that this
agreement is made in triplicate, that time is of the essence hereof,
and that the same may be amended at any time by a writing signed b

agreement in conflict therewith shall be abrogated and -void.

agreement shall bind the heirs , admikstrators, executors and

THIS AGREEMENT, Made and entered into this /St day of July,
1963 , between the 'IvZRIDIAN ATHLETIC ASSOCIATION INC. , a non-profit
Idaho corporation, party of the first part and the CITY OF I,iERIDIAN,
Ada County, Idaho , a municipal corporation, party of the second
part , 'ITNESSETH :-
'IaHEREAS, First party has purchased one 1947 Heo 48 passenger
school bus, Serial No. 12146415 , Title No. C-550130 and is at the
present time the owner thereof and;
WHEREAS, The first party hereto desires that said bus be used
by the City of Leridian in connection with its City recreation Pro-
gram for the youth of Meridian and in order to protect the interest
of the prospective parties hereto it is agreed as follows :
1. First party will transfer title of said vehicle to second
party.
2. It is agreed that second party will use said vehicle in
connection with its recreation program, and wi;l license the same
and insure the same at its expense.
3. It is further agreed that at anytime upon demand by first
party, second party agrees to transfer title to said vehicle back
to first party at which time second party shall have the right to
cancel any insurance it may have thereon and any premium refunds
shall be the sole property of second party.
4. The possession of said vehicle is recognized as having
heretofore been delivered to second party that is now using the
same, and during the period of time that second party is operating
said bus it shall have the sole responsibility for the maintenance,
operation and care of the same, and agrees to return the vehicle
and transfer title back to first party as above setforth in as good
condition as it now is, ordinary wear and tear and damage by the
elements accepted.
IN WITNESS WHEREOF , The parties hereto hPve hereunto set their
hands and seals , the day and year in t1is agreement first above
written.
