THIS AGREEMENT, Made and entered into this �7-aday of
May, 1973 , by and between the CITY OF MERIDIAN, hereinafter
called Owner, and KENNETH WITT & SONS, hereinafter called Second
Contractor, W I T' N E S S E T H: - ..
WHEREAS , an Agreement with Addendum between Owner and Pete
i Cope Drilling Company was entered into on December 11 , 1972 , a
full and complete copy of which is attached hereto, and
WHEREAS, in the opinion of the Owner , the Pete Cope Drilling
Company has failed to carry out his contractual obligations under
said agreement and addendum, and
WHEREAS, said contract and addendum provides for Owner ' s
rights in the event of breach ''reference is made to Paragraph 23,
pages GG and GP, and
WHEREAS, the notice as set forth in said paragraph has
been given to Pete Cope Drilling Company and its Surety, a copy
oC whichis attached hereto, and
WHEREAS, neither Pete Cope Drilling Company nor the Surety i
has taken any action relating to said notice , and
WHEREAS , Owner elects to terminate said contract and addendum
with Pete Cope Drilling Company pursuant to paragraph 23, and
have said contract performed some other way .
NOW THEREFORE , the Owner and Second Contractor hereby agree
that Second Contractor shall finish said work. That said Second
Contractor shall finish the work in as close correlation with the
contract and addendum as reasonable possible and also in
AMBROSE, conjunction with Change Order No. 2 , a copy of which is attachedl -

Owner agrees to pay Second Contractor pursuant to the
contract and the work change order , and further , that in the
event any party should institute Legal proceedings relating to
any work or materials furnished or other circumstances which

occurred prior to May 2, 1973 , and should Second Contractor be
named in said action, the Owner agrees to defend said Second
Contractor.
Further, Second Contractor agrees to furnish a performance
I
and payment bond in a standard form issued by a surety company
authorized to do business in Idaho, in the sum of $25 , 000. 00.
The parties further agree that Work Change Order No. I is
not in effect .
IN WITNESS WHEREOF, the parties hereto have hereunto set
their hands and seals , the day and ycarin this agreemcnt first
above written.
