FIRST ADDENDUM TO EXHIBIT A DESCRIPTION FOR TOUCHMARK SITE OF
THE DEVELOPMENT AGREEMENT (ORIGINAL CASE NO. AZ-99-0021
FOR NEW CASE AZ-O2-018)
The following is an addendum to that certain Development Agreement between the City
of Meridian and Touchmark of the Treasure Valley, LLC., an Oregon limited liability company,
specifically to add the additional 5.00 acres that Touchmark Living Centers acquired subsequent
to the entering into of the original development agreement dated May 1,2001, and recorded in
the Ada County Recorder's office as Instrument No. 101048096, and the April 2001 Addendum
To Development Agreement dated May 1, 2001, and recorded in the Ada County Recorder's
office as Instrument No.1 01 048097.
The parties hereto agree as follows:
A. The Development Agreement dated May 1, 2001, as it pertains to the Exhibit A
legal description, is amended to add and read as follows:

DESCRIPTION FOR
TOUCHMARK SITE
A parcel of land lying in Section 16, Township 3 North, Range 1 East, Boise
Meridian, Ada County, Idaho, more particularly described as follows:
Commencing at the north Y. comer of Section 16, T.3N., R.1E., 3.M., thence S 00°13'01" E
40.00 feet along the west line of the NE Y. of said Section 16 to a point on the south right-of-way
line of Franklin Road, the REAL POINT OF BEGINNING of this description;
Thence S 89°29'19" E 1351.22 feet along said south right-of-way line to a point on the east line
ofNW Y. of the NE Y. of said Section 16;

Said parcel contains 5.006 acres, more or less.
B. It is agreed between the "City" and "Developer" that the development project of
Touchmark Living Centers, pertaining to the enclave of 5.00 acres, shall be fully incorporated
into the original development agreement with Touchmark of the Treasure Valley, LLC, an
Oregon limited liability company, and shall include the 5.00 acres with an L-O zoning.
Additionally, the conditions and the specific uses that were allowed within the original
development agreement are incorporated herein as if set forth in full and shall apply to the
Touchmark Living Centers 5.00 acre project.
C. Except as modified by this Addendum, the Development Agreement between the
parties dated May 1, 2001, is hereby ratified and confirmed.
