HomeMy WebLinkAboutPZ - REO Certificate fZ100,004� L, � WaFd Bank WASHINGTON FEDERAL BANK SECRETARY CERTIFICATE I, the undersigned, Cathy Cooper, Secretary of Washington Federal Bank, a state- chartered commercial bank organized and existing under the laws of the State of Washington and United States of America,and being chartered and supervised by the Department of Financial Institutions for the State of Washington ("DFI") (herein the "Bank"), having its principal place of business in the City of Seattle, State of Washington, United States of America, DO HEREBY CERTIFY that Brent Beardall, Ryan Mauer and Cathy Cooper have authority to act individually on behalf of the Bank to execute any and all documents in connection with the purchase or sale of real property, subject to the limitations that purchases greater than $5 million must be pre- approved by the Board of Directors. I further certify that in connection with the purchase or sale of real property: (1) Roger Ford, Dylan Cooper and Pat Stevens have authority to act individually on behalf of the Bank to execute any and all documents concerning property with a value of $2.0 million or less; and (2) Ricka Gerstmann has authority to act individually on behalf of the Bank to execute any and all documents concerning property with a value of $1.0 million or less; and (3) any two members of executive management, one of which must be the CEO, have the authority to authorize certain officers of the Bank to act on behalf of the Bank in executing the purchase and sale agreement and conveyance deed for the sale of property with a value of $400,000 or less. I further certify that executive management is authorized to complete the necessary resolutions conveying certain employees the authority to purchase or sell real property with a value of$400,000 or less.
