INDEBTEDNESS
The Company shall not incur any indebtedness other than (i) indebtedness relating to
those certain mortgage loans and other indebtedness in favor of ICey Bd including any
modifications, amendments, supplements or extensions thereof, relating to the Company's
acquisition, ownership and operation of the Property (the "Bank Indebtedness") and eii) trade
payables and other indebtedness incurred in the ordinary course oftb.e Company's conduct of the
Primary Pmposes, 1m.ti1 such time as the Bank Indebtedness has been discharged in full. After
the discharge of the Company's obligations under the Bank Indebtedness, the Compmy may
incur indebtedness from any source and with respect to any purpose.

CERTAIN OPERATING REQUIREl\1ENTS
Until such time as the Company's obligations under the Bank Indebtedness are

standards;
(xii) use separate stationery~ invoices and checks;
(xiii) except as permitted by the Bank Indebtedness, not pledge its assets for the
benefit of any other entity or make any loans or advances to any entity;
(xiv) hold itself out as a separate entity;
(xv) correct any mown misunderstandings regarding its separate identity; and
(xvi) maintain adequate capital in light of its contemplated business operations~
ARTICLE X
DISSOLUTION, .AMENDMENT, MERGER AND BANKRUPTCY ISSUES
The Company shall not dissolve or terminate (i) while any rat~d securities issued in
connection with the Bank Indebtedness remain outstanding (unless the Company has discharged
all of its obligations under the Bank Indebtedness), eii) while the Co~pany has any remaining
obligations under the Bank Indebtedness, unless the 1vJ;anager has~ filed for protection under the
bankroptcy laws of the United States or a third party has involuntarily placed the Manager under

I have reviewed the revised preliminary layout for Regency at River
Valley. It is noted that all the streets have had all covered stalls
removed away from the face of the buildings to allow aerial access per
the International Fire Code standards. Also for reference I noted that
you have a minimum 26' driving lane from back of stall to back of stall
and meet the 28r/48E turning radius in all curves and intersections.
It is understood that the full access (right in/right out) from Eagle
Road will be removed once River Valley road has been completed by the
out parcel development.

Steve: Access to the property?
City: May be an opportunity to work together with another company, 2 brothers; one
wants a park and planning wants to push the road further into our property. The proposal
is to push access onto road 'a' and they would help in the construction company.
Steve: Kliener owns the property right next to out land on Street 'a'.
City: It would give us a second access or possibly our only access..
Steve: We were told by ITD we can have possible access, likely access..
City: Last night we had a variance given by the city to give access on a state road.. The
city also said that no property not already annexed will allow future variances.
City: City requires a variance for all accesses.
City: ACHD requires a collector roadway on the road 'b'. We may have an extra fee per
trip fro.m the traffic stud.y or we build the road itself.
City: We need to talk to ACHD for use of that road.
City: This issue came up on Friday. They want the road to be the collector roadway as
opposed to Eagle Road. 387-6170. Planning and development division, Call Gary.
City: Do you know when you will submit?
Steve: We came to hire the Engineer and finalize our conceptual.
City: Tell ACHD you intend. on submitting by 15 Dec.
City: You need to get the traffic impact study to them. They will likely want to see that
at submittal.
Steve: What will they require depending on results?
City: There are several collector options depending on the traffic study results. They will
be very specific in regards to a street section etc.
Steve: Do you assume the Street 'a' and Eagle road will get a signal? (Affirmative)
Who will be responsible to install and pay for it?
City: ACHD usually uses taxpayer monies.
Ben: ACHD county pays for it ITD State pays for it?
City: Yes
Steve: Does the water and sewer need to be looped?
City: The sewer doesn't need to be looped.
City: Talk to Mike in planning.
Steve: Last meeting we had a list of applications:
City: Yau will need a variance for access as well.
Steve: Irrigation says we can have parking but no structures.
City: A one bedroom unit still needs 2 parks but only one covered. 2 bedroom units and
more need 2 covered parks. Yon will need a variance for any change. Y Oll will want to
get a variance regarding size.
Steve: Critical path is I-annexation, 2-zoning, 3-conditional use?
City: We prefer you to do all at one application.
Steve: Do we need to do a preliminary plat?
City: Yau need to first do a property boundary adjustment.
Steve: Irrigation, do we have water rights or access to it?
City: Water rights generally run with the land. You should have water rights.
Steve: Which slew do we use?
City: Nampa-Meridian can tell you which slough to use.
City: 48" or larger generally they don't require to be piped~
City: Ask ACHD if you are going to need to dedicate the roadway~ The intersection at
Eagle road may be pushed out farther from our property~ Talk to ACHD.

City: The irrigation company will not allow trees in the easement. The property is going
to be in a very expensive business park. We need to plan on having high expectations~
You will want to work with Kliener on the 60 acre park.
City: Annexation may not be in the best interest of the city at this time~
City: I think it is a great location, it is possible but it will be difficult to get pushed
through.
Steve: What is the density per acre for each zoning option?
City: You will likely go for R40 that will get you 40 units per acre. R15 is the next step
down at 15 units per acre~
Steve: Because we have 2 things happening: Commercial and Multi-family. Do we need
to submit 2 separate zoning submittals?
City: You can zone it CC and conditional the use of the commercial.
City: You might as well zone them individually~
City: Keep in mind the annexations go to the center of the road.
City: Yeu will need proof of ownership (legal description) You will need a legal
description to centerline of the road in Eagle for the zoning~ Yau wont need it on road 'a'
or 'b'.

2) The commercial site will feature an anticipated office building with landscape areas and parking. This is
not necessarily the final use but this is what we anticipate~ We intend on selling this site to a conunercial
entrepreneur and will leave all but zoning up to them.
We are asking for a temporary access onto Eagle Road until River Valley Road. is ready to be installed by all
neighboring properties~ Both the Conunercial and Residential sites will access via this temporary road. Later
we anticipate direct access to River Valley for the Residential site and a shared acc.ess to the commercial site
as shown in the site plans~ We are currently in negotiations with the neighboring properties for this access as
well as River Valley road.
Our focus is a resort style of living with an affordable price and we are very excited to start on this new
