2017 CHARITABLE GIFT ASSIGNMENT
This CHARITABLE GIFT ASSIGNMENT is made by T. Kent Mills and Donna G.
Mills, in their capacities as Trustees of The Mills Family Revocable Trust u/t/a dated June 6,
2016, and on behalf of their heirs, successors, and assigns ("Assignors"), for and on behalf of
StoneHill Church, Inc., an Idaho corporation which is a tax exempt entity under Section
501(c)(3) of the Internal Revenue Code of 1986, as amended (the "Code"), and on behalf of its,
heirs, successors, and assigns ("Assignee").
RECITALS
A. Assignors own a one hundred percent (100%) interest in the real property located
at West Amity Road, Meridian, Idaho 83642, as more particularly described on Exhibit A,
attached hereto and inc o orated herein by this reference (the "Property") with an appraised
value of 41'A �✓d "T+'E and 00/100 Dollars ($ .a!g U-VV .00), per the
appraisal prepared by ZA-v Sia.+ a qualified appraiser, a copy of which is attached
hereto as Exhibit B and incorporated herein by this reference. Assignors will attach Form 8253
to their 2017 tax return, and intend to claim a charitable deduction for the full fair market value
of the Property.
B. Assignors desire to assign, transfer and convey to the Assignee, as a charitable
gift, all of their right, title and interest in and to one hundred percent (100%) of their ownership
interest in the Property (the"Gifted Amount").
C. The Assignee agrees to indemnify and hold the Assignors harmless from any and
all claims, demands, causes of action, actual damages, liabilities, costs, and expenses (including
reasonable attorneys' fees and court costs but not including any punitive, special or
consequential damages) of any and every kind or character, known or unknown, fixed or
contingent, with regard to the Gifted Amount.
NOW THEREFORE, for and in consideration of the foregoing premises and conditions
contained herein:
1. Recitals. The above Recitals are true and correct and are incorporated herein by
this reference.
2. Assignment. Assignors assign, endorse,transfer and convey unto the Assignee all
of their right, title, and interest in and to the Gifted Amount.
