Grantee owns the real property that is legally described and graphically depicted on E.vhihit B, which is attached hereto and incorporated herein ("Beneftted Parcel'). Grantor hereby grants to Grantee a non-exclusive easement over the Easement Area for egress and ingress on, over, across and through Grantor's property with the free right of access to such property at any and all times. Grantor covenants that it shall not place any structures or other obstructions within the Easement Area. Grantor further covenants that it shall maintain and repair the Easement Area to provide suitable access to the Benefited Parcel. To have and to hold said easement unto said Grantee,and its successors and assigns, forever. This Agreement may not be terminated or amended except by a written instrument executed by Grantor and Grantee, which instrument will be effective upon recordation in the real property records of Ada County, Idaho. If Grantor constructs a new access road ("New Access Road") to the serve the Benefited Parcel, and Grantee determines, in its sole discretion, that the New Access Road is acceptable,then Grantor may request that Grantee terminate this Agreement,the approval of which will not be unreasonably withheld.
