Artide 1: The name of the corporation shall be Cole Valley Christian Schools,Inc.
Artide 2: The purpose forwhich the corporation is organized is as follows. To establish,maintain,
promote,and operate a Christian schoolthat is charitable, religious/educational,andthat may make
distributionsto organizations under501(c)(3) of the Internal Revenue Code of 1954(or any amendment
thereof),and with the following purposes:
• To support,teach and conform to the Cole Valley Christian Schools Statement of
Faith
• To support,teach and conform to the Mission of Discipleship as set forth in the
Bylaws
• To teach and sustain the Deity of Christ
• To teach and sustain the Doctrine of the Trinity
• To teach and sustain the authority of Scripture including Biblical authority as to
lifestyle issues
• To teach and sustain curriculum involving Christian Theology
• To teach and sustain the Apostle's Creed
• To explicitly integrate Christian Theology in some manner in all or most classes
• To require qualified Christian directors,off icers,faculty and staff
• To require chapel forstudents,faculty,staff and off icers,weekly or more often
• To accommodate,and make as a regular practice,prayer in classes and all events
• To conformto all aspects required for qualification and protection underthe
Religious Freedom Restoration Act
Article 3: No part of the net earnings of the Corporation shall inure to the benefit of,or be
distributable to, its members,officers,orother private persons,exceptthatthe Corporation
shall be authorized and empowered to pay reasonable compensation forservices rendered and
to make payments and distributions in furtherance of the purposes set forth herein. The
Corporation may carry out its purposes and exercise its powers in any state,territory,district, or
possession of the United States orany foreign country.The Board of Directors, su bjectto any
specific written limitations or restrictions imposed by the State of Idaho or bythese Articles of
Incorporation,shall direct the carrying out of the purposes and exercise the powers of the
Corporation. No substantial part of the activities of the Corporation shall be the carrying on of
propaganda,or otherwise attemptingto influence legislation,and the Corporation shall not
participate in, or intervene in[including the publishing or distribution of statements of],any
political campaign on behalf of any candidate for public office. Notwithstanding any other
provision of these Articles,the Corporation shall not carry on any otheractivities not permitted
to be carried on (a) by a corporation exemptfromfederal income tax underSection 501(c)(3) of
the Internal Revenue Code of 1954 or(b) by a corporation to which contributions are deductible
underSection 170(c)(2) of the Internal Revenue Code of 1954.

Article 5: The Board of Directors shall consistof between five(5)and nine(9) membersand
membership shall be self-sustaining with existing members of the Board to appoint successors in
accordance with the Bylaws. The names and address of the initial Directors are:

Article 8: The corporation does not have voting members.
Article 9: The Board of Directors shall have the powerto after,amend or repeal the Articles of
Incorporation or any part of provision thereof orto adopt new Articles of Incorporation,but only by
unanimous vote of the Directors.
Article 10: Upon dissolution the assets shall be distributed to a 501(c)(3) Christian School with the same
or similar mission as Cole Valley Christian Schools, Inc.
