RE: Narrative for Private Street Application— Klein Huis at Victory and Meridian
Dear Planning Staff,
Alpha Development Group is seeking approval to develop 16.81 acres of vacant land located at the
southwest corner of Victory Road and Meridian Road in Meridian, Idaho. The name of the development
will be Klein Huis at Victory and Meridian and will feature 134 single family, for-rent housing units on a
single parcel of land. Currently, Alpha Development Group has an open application with the city for
annexation and conditional use approval of the project (H-2022-0051).
As part of the approval, Alpha Development Group would like all the interior roads to be private at this
time. As such, Alpha is submitting a Private Street Application for the city's review and approval of the
request. To comply with the requirements of the application, Alpha has drafted a maintenance
agreement that outlines the obligations connected to the maintenance and repair of the private roads.
Additionally, the Meridian City Fire Department has reviewed the associated site plan and provided
their approval (with some additional conditions outlined in the approval). This information will
accompany this narrative as part of the city submittal.

DECLARATION OF MAINTENANCE AGREEMENT
This DECLARATION OF MAINTENANCE AGREEMENT (this "Agreement") is made by SW Victory, LLC, an
Idaho limited liability company ("Owner") and entered into as of the day of , 2022 (the
"Effective Date"),to be effective upon recordation in the Official Records of Ada County,Idaho.
RECITALS:
A. Owner is the owner of that certain tract of real property ("Property") located in City of Meridian, Idaho
("City"), being more particularly described in Exhibit A attached hereto and incorporated herein by this
reference.
B. Owner is also the owner of certain private roads("Private Roads")located on the Property,as depicted in
Exhibit B attached hereto and incorporated herein by this reference.
C. Owner intends to perform ongoing maintenance and repair, as needed, to all Private Roads, as further
described in this Agreement.
D. Owner intends to enter into a separate agreement with a qualified property management company
("Property Management Company") to perform certain day to day functions to manage this Property for
the Owner ("Property Management Agreement"). As part of the Property Management Agreement, the
Property Management Company with be obligated to perform routine maintenance on the Private Roads.
E. To meet the requirements of City's Private Street Application("Application"), Owner desires to execute
this Agreement.
AGREEMENT:
NOW,THEREFORE,for and in consideration of the premises and the mutual covenants contained herein,the Owner
hereby covenants,and agrees as follows:
1. Recitals. The foregoing recitals are made a part hereof.
2. Construction and Maintenance of the Private Roads. Owner, at its own cost and expense, will construct,
install,and be responsible to maintain and repair all Private Roads on the Property.Maintenance obligations shall include
routine inspection and all other normal activities required to maintain the Private Roads and keep them free from
potholes;unraveling,separating and deteriorating asphalt;large cracks in the drive isles and broken sections of concrete
curb. The Private Roads will be maintained in a suitable condition. The obligations under this section shall become
effective on the later of. (a) January 1, 2025, or (b) the date on which the authority having jurisdiction provides a
certificate to occupy the last residential housing unit constructed on the Property.
3. Funding of Private Street maintenance and repair. As part of the Property Management Agreement,Owner
and Property Management Company will agree on an operating budget that forecasts the future income and expenses
related to the maintenance and upkeep of the Property,including all Private Roads.This operating budget will allocate a
percentage of the income to be held in a separate account for necessary repairs("Replacement Reserves"). Owner,at its
sole discretion,will control the use of the Replacement Reserves.
4. Inspections. As part of the Property Management Agreement, the Property Management Company will
perform routine inspections to determine the need for maintenance and repairs on the Private Streets. As maintenance
needs are identified, and Owner is notified of the cost and timing of needed repairs, Property Management Company,
after receipt of Owner's written approval,will make such repairs to the Private Streets.
6. Covenants to Run With Land. This Agreement and the provisions contained herein are intended to be,
and shall constitute covenants which shall run with the land and which shall be binding upon and shall inure to the
benefit of the parties hereto,their heirs,executors,administrators,successors,and assigns.

7. Term. The provisions of this Agreement shall run with and be binding on the Property in perpetuity from
the date this Agreement is recorded.
8. No Public Dedication.Nothing contained in this Agreement shall be deemed to be a gift or dedication of any
portion of the Property to or for the general public or for any public purpose whatsoever,it being the intention of Owner
that this Agreement will be strictly limited to and for the purposes herein expressed. Notwithstanding the provisions
herein, Owner is entitled to take whatever steps it deems reasonably necessary to protect and preserve the private
ownership of the Property., including, without limitation, any landscapes areas, and to prevent same from being
dedicated to the public use as a matter of law.
10. Miscellaneous.
(a) Time is of the essence with respect to this Agreement.
(b) None of the terms or provisions of this Agreement shall be deemed to create a partnership
between or among any respective businesses or otherwise, nor shall it cause any group or groups to be
considered joint venturers or members of any joint enterprise. Each party shall be considered a separate owner,
and no party shall have the right to act as an agent for another party,unless expressly authorized to do so in this
Agreement.
(c) All exhibits referred to in this Agreement are attached hereto and incorporated herein by
reference.
(d) This Agreement contains the sole and entire agreement with respect to the matters
contemplated hereunder,and no representation,inducement,promise or agreement, oral or written,between the
parties hereto and not incorporated herein shall be of any force or effect. Any amendment to this Agreement
shall be in writing and executed by each party hereto.
(e) This Agreement shall be governed by the laws of the State of Idaho.
