Please find following our Commission and Council Review
application for annexation into the City of Meridian for the
property owned by the Williams Company 1301 S. Locust Grove Road.
This property has an existing office building with storage and a
smaller existing storage building. Also on site are paved and gravel
parking, and fenced and landscaping areas.
Williams Company would like to annex the above property into the
city and rezone the property from RUT to C~~ The company would like
to construct a new 4252 sq. ft. office building due to the
construction of the new Locust Grove overpass at the freeway.

31, 1974, from EL I'nS0 NATURAL GAS COMPANY, a Delaware corporation (the "Transferor" ),
to NCtiRTHWEST PIPELINE CORPORATION, a Delaware,corporaHon (the "Transferee").

WHEREAS, effective December 31, 1959, Pacific Norrhwest Pipeline Corporation, a Delaware
Corporation ("Pacific" ), Visas merged into Transferor pursuant to the provisions of the General
Corporation Law of the State of Delaware, and pursuant to said merger Transferor acquired all of
the rights, privileges, powers and franchises and all property, rea], personal and mixed, of Pacific,
«•hich rights, privileges, powers, franchises and property, together with certain additions thereto
and improvements thereof (net of certain retirements with respect thereto), have been rnd are now
operated by Transferor as its Northwest-Division System (the `Northwest Division"); and
WHEREAS, the United States District Court for the District of Calorada (the "Court' j has, b-y
final judgment and decree (said judgment and decree, as modified and implemented by an order
issued by the Court on October 19, 1973, being'aereim called the `DBCree") in a proceeding entitled
United States v. El Pasa Natural Gas G'ompan;, 353 F. Supp. 820 (D. Colo. 19"r2), affirmed by the
United States Supreme Court in California-Pacific Utilities Company o. United States, 41G U.S, 962
(1973), directed that Transferor divest itself of certain specified properties and assets (the "Assets To
Be Divested" ), consisting, with certain exceptions and additions, of the assets cf the Northwest Divi-
sion, by transferring, conveying and assigning the same to Transferee; and
WHEREAS, to carry out ~ such divestiture, Transferor has entered into an agreement dated
August 7, 1973 (said agreement, as amended and clarified by that certain Closing Agreement uated
~ January 25, 1974, being herein called the "Implementing Agreement") with Transferee and Ala.;ka
Interstate Company, APCO Oil Corporation, Gulf Interstate Company and Tipperary Corporatirn~
wluch contemplates, among other things, the release of the Assets To Be Divested from the lien of
the El Paso Mortgage (as hereinafter defined), to the extent subject thereto, the transfer of such
Assets to Transferee, the assumption by Transferee of liability for the payment of $22$,000,OCO
ou#standing principal amount of indebtedness of Transferor, the issuancci by'I'ransferee in satisfaction
of such easumption of liability of an equal amount of its inde>tedness to the holders of such indebted-
ness of Transferor and the assumption by Transferee of certain other obligations of Transferor; :-nd
