SPECIAL WARRANTY DEED
FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of
which are hereby acknowledged, NWDC TEN MILE LLC, an Idaho limited liability company
("Grantor"), does hereby bargain, sell and convey unto SGRS LLC, an Idaho limited liability
company ("Grantee"), whose address is 1482 W. Enchantment Drive, Eagle Idaho 83616, a fifty
percent (50%) undivided tenants in common interest in and to the real property located in the
Ada County, Idaho, legally described on the attached Exhibit A attached hereto.
Together with all and singular the tenements, hereditaments, and appurtenances thereunto
belonging to or in anywise appertaining, the rents, issues and profits thereof, and all estate, right,
title and interest, as well in law as in equity, except as expressly provided otherwise herein
(collectively, the "Property").
TO HAVE AND TO HOLD the Property, with its all and singular appurtenances unto Grantee,
and Grantee's heirs, successors and assigns forever.
Grantor represents and warrants the Property is free and clear of all encumbrances made
by Grantor and except for those set forth on Exhibit B attached hereto. Grantor's liability under
the preceding warranty shall be limited to any proceeds it receives under a policy of title
insurance pursuant to the certain Title Commitment issued by First American Title Insurance
Company, as number 4109-3174540 in favor of Grantor, and Grantee shall bear all costs and
expenses associated with making a claim under such Title Policy. If the insurance provided in
the Title Policy does not cover any claim by Grantee under the warranty, Grantee waives any
claim against Grantor.

FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of
which are hereby acknowledged, NWDC TEN MILE LLC, an Idaho limited liability company
("Grantor"), does hereby bargain, sell and convey unto SGRS LLC, an Idaho limited liability
company ("Grantee"), whose address is 1482 W. Enchantment Drive, Eagle Idaho 83616, a fifty
percent (50%) undivided tenants in common interest in and to the real property located in the
Ada County, Idaho, legally described on the attached Exhibit A attached hereto.
Together with all and singular the tenements, hereditaments, and appurtenances thereunto
belonging to or in anywise appertaining, the rents, issues and profits thereof, and all estate, right,
title and interest, as well in law as in equity, except as expressly provided otherwise herein
(collectively, the "Property").
TO HAVE AND TO HOLD the Property, with its all and singular appurtenances unto Grantee,
and Grantee's heirs, successors and assigns forever.
Grantor represents and warrants the Property is free and clear of all encumbrances made
by Grantor and except for those set forth on Exhibit B attached hereto. Grantor's liability under
the preceding warranty shall be limited to any proceeds it receives under a policy of title
insurance pursuant to the certain Title Commitment issued by First American Title Insurance
Company, as number 4109-3174540 in favor of Grantor, and Grantee shall bear all costs and
expenses associated with making a claim under such Title Policy. If the insurance provided in
the Title Policy does not cover any claim by Grantee under the warranty, Grantee waives any
claim against Grantor.
