RECITALS A. Shelburne is the owner of that certain real property legally described in Schedule I attached hereto and incorporated herein (the "Shelburne Property"). B. Shelburne desires to grant an easement over that portion of the Shelburne Property legally described and graphically depicted on Schedule I1 attached hereto and incorporated herein (the "Easement Premises"), for the benefit of the real property legally described on Schedule III attached hereto and incorporated herein ("Benefitted Parcel #1"), and for the benefit of the real property legally described on Schedule IV attached hereto and incorporated herein ("Benefitted Parcel #2"). Benefitted Parcel # 1 and Benefitted Parcel #2 may each be referred to herein individually as a "Benefitted Parcel" and collectively as the "Benefitted Parcels." AGREEMENT NOW, THEREFORE, Shelburne does hereby grant and declare as follows: 1. Recitals. The Recitals contained hereinabove are true, correct, material, and are hereby incorporated by reference as if set forth in this Section 1 in full. 2. Grant of Easement. Subject to the terms of this Declaration and all matters of record or appearing on the land, Shelburne hereby grants, declares, establishes, and conveys to a perpetual, non- exclusive easement on the surface of the Easement Premises for the benefit of each Benefitted Parcel (the "Easement"). 3. Purpose and Use. The occupant of the one (1) single family dwelling on each Benefitted Parcel, and such occupant's respective family, agents, guests, licensees, and invitees (each a "Benefitted User" and collectively, the "Benefitted Users"), are entitled to use the Easement Premises for the purpose of facilitating pedestrian and vehicular ingress and egress to and from such Benefited Parcel and the public right-of-way known as South Selatir Way. For the avoidance of doubt, Shelburne specifically declares and discloses that the Easement Premises do not abut Benefitted Parcel #2, and thus the Easement does not provide direct access to and from Benefitted Parcel #2 and South Selatir Way. The Benefitted Users shall not use the Easement Premises for any industrial or commercial use; provided, however, agricultural uses and home occupations (i.e., an occupation, profession or business activity that is incidental and secondary to the dwelling and does not affect the residential character of the Benefitted Parcel) are permitted. The Easement Premises shall not be used to access more than one (1) single family dwelling unit on each Benefitted Parcel, regardless of any future subdivision of any Benefitted Parcel. By virtue of its use of the Easement Premises, each Benefitted User agrees ify, defend and hold Shelburne harmless from and against any claims, damages, losses or ;including attorneys' fees and costs) arising out of such Benefitted User's use of the Easement Premises, provided that such claim, damage, loss, or expense is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property, but only to the extent caused by the negligence or misconduct of such Benefitted User or anyone for whose acts such Benefitted User may be liable; provided, however, no Benefitted User is obligated to indemnify, defend or hold Shelburne harmless from the negligence or misconduct of Shelburne or its agents, guests, licensees, and invitees. 5. Shelburne's Rights. Shelburne reserves the right to make any use of the Easement Premises or place improvements thereon that will not materially interfere with any rights granted to the Benefitted Parcels by this Declaration. Shelburne reserves the right to relocate the Easement Premises from time to time, at Shelburne's sole cost and expense, provided that such relocation: (a) must facilitate pedestrian and vehicular ingress and egress to and from the Benefitted Parcels and South Selatir Way; (b) shall be in a substantially similar condition as the Easement Premises (and any improvements thereon) were in prior to the relocation; and (c) must not otherwise reduce the size of or limit the scope of the Easement. The Easement is and shall be expressly subject to any easements and rights -of -way already existing on, over or under the Easement Premises, and Shelburne reserves and retains the right to convey similar rights -of -way and easements on, over and under the Easement Premises to such other persons or entities as Shelburne may deem proper, so long as such easements or rights -of -way do not materially interfere with the rights declared and granted hereunder. Shelburne may dedicate some or all of the Easement Premises as a public right-of-way in the future, and at such time, this Declaration and the Easement granted herein will terminate and be of no force or effect whatsoever as to any portion so dedicated. 6. Binding Effect. The Easement and the rights and obligations conferred and imposed by this Declaration are intended to, and do, constitute covenants that run with the land. 7. Termination. The owner of each Benefitted Parcel may terminate this Declaration and the Easement granted herein, as to that Benefitted Parcel only, upon the recordation of a duly executed and acknowledged termination in the real property records of Ada County, Idaho. 8. Miscellaneous. Except as set forth in Section 7, this Declaration may be modified only in writing, signed by Shelburne and the owner of the Benefitted Parcel(s) to which the modification is subject. This Declaration shall be governed in all respects by the laws of the State of Idaho. The invalidity or unenforceability of any provision of this Declaration shall not affect the validity or enforceability of any other provision hereof.
