THE BRANDT HOME PLACE, L.P., an Idaho limited partnership; VICTOR D.
BRANDT and MYRA M. BRANDT, husband and wife; ELROY D. BRANDT, a
married man as his sole & separate property, the Grantor, does hereby grant, bargain sell
and convey unto, MERIDIAN 118, LLC, a Nevada limited liability company, whose
current address is 2200 Paseo Verde Parkway, Ste 330, Henderson, NV 89052, the
Grantee, the following described premises, in Ada County, Idaho, To Wit:
PARCEL I:
All that portion of the East half of the Southwest quarter and the West half of the
Southeast quarter of Section 15, Township 3 North, Range 1 West, Boise Meridian, Ada
County, Idaho, lying Northerly of the Northerly line of Interstate 80 North, as shown in
Judgment on Declaration of Taking recorded November 25, 1963, as Instrument No.
570841, and in Deed to State of Idaho, recorded May 3, 1967, as Instrument No. 663257,
records of Ada County, Idaho.
PARCEL II:
A strip of land 25 feet in width across the North side of the Southeast quarter of the
Southeast quarter of Section 15, Township 3 North, Range 1 West, Boise Meridian, Ada
County, Idaho,
EXCEPT
That portion shown in Judgment on Declaration of Taking recorded November 25, 1963,
as instrument No. 570841, and in Deed to State of Idaho, recorded May 3, 1967, as
Instrument No. 663257, records of Ada County, Idaho.
FURTHER EXCEPT
That portion in Quitclaim Deed to Harold J. Ages and Suzanne M. Ages, husband and
wife, recorded June 26, 1973, as Instrument No. 851780, records of Ada County, Idaho,

The conveyance contemplated by this Warranty Deed is specifically made subject to
Grantor's reservation of a perpetual access easement over, across, under and through
Parcel II and that portion of Parcel I consisting of a strip of land twenty five (25) feet in
width commencing at the southeast corner of Parcel I and running westerly along the
entire southern boundary of Parcel I until it intersects with that certain property described
in the Gas Line Easement, recorded as Instrument Nos. 390283, 8018289, 8048122 and
8103052, records of Ada County, Idaho (collectively "Gas Line Easement"), then manning
northwesterly in a width twelve and one-half feet on either side of the centerline of the
Gas Line Easement until it intersects the northern boundary of Parcel I, for the purposes
of unrestricted pedestrian and vehicular access to and from, and for the benefit of, that
certain property identified on Exhibit A, attached hereto and incorporated herein by this
reference (`Benefited Parcel"), to and from that certain public right of way located
immediately to the east of Parcel 1I. Such easement, including the benefits and burdens
therewith, shall run with the land and be binding upon and inure to the heirs, successors
and assigns of the parties hereto. Subject to the foregoing, Grantee, at Grantee's cost and
expense, shall have the right to relocate the easement reserved hereunder to another
location on Parcel I and Parcel II provided such relocation will not otherwise reduce the
scope, width or usability thereof for access purposes. Provided, further, in the event
access to the public right of way adjacent to Parcel 11 is materially impacted or eliminated
due to the activities, orders, rulings or decisions of governmental agencies or under the
terms of the Gas Line Easement and/or Grantee develops access points for Parcel I from
different public rights of way, then Grantee shall provide Grantor with a new easement
across Parcel I and Parcel 11 which provides Grantor direct access to and from the
Benefited Parcel to the new access points developed by Grantee and/or to an alternative
location granting Grantor a comparable easement in scope, width and usability to the
easement initially reserved hereunder and contemplated hereby.
"The Grantors are conveying all of their respective interest in the property described
herein directly to Grantee in connection with an exchange under Section 1031 of the
Internal Revenue Code of 1986, as amended, pursuant to three separate unrecorded
Exchange Agreements each dated as of November 9, 2006 by and between T.G. Super
Exchange Corp., a Hawaii corporation, and Grantors -Victor D. Brandt and Myra M.
Brandt, husband and wife, Grantor -The Brandt Home Place, L.P., an Idaho limited
partnership, and Grantor -Elroy D. Brandt."
TO HAVE AND TO HOLD the said premises, with their appurtenances unto the said
Grantee, heirs and assigns forever. And the said Grantor does hereby covenant to and
with the said Grantee, that Grantor is the owner in fee simple of said premises; that they
are free from all encumbrances EXCEPT those to which this conveyance is expressly
made subject and those made, suffered or done by the Grantee; and subject to all existing
patent reservations, easements, right(s) of way, protective covenants, zoning ordinances,
and applicable building codes, laws and regulations, general taxes and assessments,
including irrigation and utility assessments (if any) for the current year, which are not due
and payable, and that Grantor will warrant and defend the same from all lawfiil claims
whatsoever. Whenever the context so requires, the singular number includes the plural.
