WARRANTY DEED
FOR VALUE RECEIVED, SMITH'S FOOD & DRUG CENTERS, INC.,
a Delaware corporation, and successor by Merger to Smith's Food.
King Properties, Inc, Grantor, hereby grants, bargains, sells
and conveys unto PAY LESS DRUG STORES NORTHWEST, INC., a
Maryland corporation, Grantee, whose current address is 9275
S.W. Peyton Lane, Wilsonville, OR 97070, those certain premises
located in Ada County, Idaho, described on Exhibit "A" attached
hereto and by this reference incorporated herein.
TO HAVE AND TO HOLD the said premises, with their
appurtenances unto the said Grantee, its heirs, successors and
assigns forever. And the Grantor does hereby covenant that
(i) Grantor is the owner in fee simple of the premises, (ii)
that Grantor has the good right to convey the same, (iii) that
Grantor warrants and will defend the title to the premises
against all persons who may lawfully claim the same, and (iv)
that the premises is free from all liens and encumbrances except
current real property taxes and assessments not yet due and
payable, and easements of record and the Declaration of
Encumbrances dated as of January 18, 1978 between Green Acre
Properties and Bodine Oil Company, Inc.

merger to Smith's Food King Properties, Inc. and that he executed
the foregoing instrument on behalf of said corporation pursuant to
authority of its Bylaws and/or a Resolution of its Board of
Directors, and that such corporation thereby executed the same.
