Thc tocation or relocation of all facilities shall bc made undcr the rupcrvision and with the approval of Euch rePresentatives as the governing body of the Municipality may designate for such PurPoee, but not so a6 unreaeonably to interfere with the ProPer operation of Granteers facili- ties and service' 'Whenever the Municipality shatl pave or repave any street or shall change the grade or line of any Etreet or public place or shall construct or !econ8truct any conduit, water rnain, sewer or water connection or other Municipality, public works or utility, it shall be the duty of the Gtantee when soorderedbytheMuniciPalitytochangeitsmains,servicesandotherpfoPerty -2- in the streets or public places at its own expense so as to conform to the established grade or line of such street or public place and so as not to inter- fere with the conduits, sewers and other rnains as constructed or reconstruct- edl however, the Grantee shall not be reguired to relocate pipes, mains and appultenances when the street, alley or public ground in which they are located is vacated for the convenience of abutting property owners and not as an incident to a public improvement, unless the reasonable cost of such relocation and the Ioec and expense !esulting therefrom is first paid to Grantee. l{henever the Municipality grants a permit for an excavation in a street, alley or other public ground and the work contemplated by the permit may expose gas pipes, mains and appurtenancea of the Glantee, the Municipality shall promptly furnieh a copy of the permit to Grantee, Section 3. The right, authority and grant herein and hereby rnade to said Grantee, its successors and assigns, shall be granted for, and lirnited in time to, a period oI thirty (30) years frorn the day it takes effect; provided, however, that commencing with the twenty-f ifth year of the terrn of this grant Municipality agrees to commence negotiations in good faith and to diligently contiaue the same to the end that an extension of this franchise may be rnade upon t€rm8 satisfactory to Municipality and Grantee. Section 5" The Municipality shall have access at all reasonable hours to all of the Granteers plans, contracts and engineering, accounting, finance, statistical, customer and service records relating to the property and operat- iong of Glaatee within the Municipality. The Grantee ahatl file by March 31 of each year with the MuniciPality a written report for the preceding calendar year, verified by the affidavit of the generalmanager,auditor,oragsistanttleasu!efofsaidGrantee,whichreport shallcontainaBtatement,ineuchformanddetailasshallfromtimetotimebe -4- prescribed by the Municipaiity, oI all the gross receipts arising frorn the sales of gas done by said Grantee within the Municipality for the year imrnediately preceding such report, and at the sarne tirne the Grantee shall pay to the Municipality the stipulated percentage of the gross annual receipts due for the year for which said report is rnade and filed. The word rryear" as used in this Section 4 means the calendar year, except the first year which will commence on the date when this franchise and grant is in effect, and ending on the following December 31. Section 7" Grantee agrees during the term of this franchise to save and keep the Municipality harmless from any and all liability by reason of damage or injury to any person or property whatsoever, legally established" on account of the negligence of the Grantee in the installation, maintenance and operation of its facilities, provided the Grantee shall have been notified by the Municipality in writing of any claim against the Municipality on account thereof and shall have been given arnple opportunity to defend the 6ame. Section 8 Upon acceptance of this franchise by Grantee and before Grantee shall have any rights hereunder, Grantee shall. rf requested by the Municipality, file with the municipal clerk a certi{icate evidenceing the in- surance of the Grantee in some reiiable insurance cornpany or companies against property damage in an amount not less than $10,000.00 and bodily injury with limits of not less than $25, O0O. OO/500,000. 00.. Section 9. AU rates, rules and regulations established by Grantee from time to time shall at all times be reasonable as deterrnined by and sub- ject to such regulatory body or bodies having jurisdiction over the sarne in accordanc e with the laws of the State of Idaho; and Grantee shall comply with and conforrn to all such rules and regulations, including all safety regulations prornulgated by such governing body or bodies having jurisdiction thereof, as hereinbefore set forth" -5- Section 10. Grantee shall have a reasonable tirne within which to lay gas rnains and to otherwise comply with the terms of this franchise after a gas supply is available to the Grantee from the pipeline source, except as provided in Section 14 hereof; notwithstanding Grantte's acceptance of this ordinance, Grantee shall be under no obligation to begin the construction of its plant, works or other facilities for the purchase, transrnission, distri- bution and sale of gas hereunder until such tirne as natural gas is available for purchase by Grantee at such point of delivery and at such price or prices and in such quantities as Grantee shall in its sole discretion deern satisfactory and aPProve . Section ll. In consideration of Cranteers undertakings hereunder as evidenced by ita acceptance hereof, the municipality agrees not to engage in tbe business of distributing and selling gas during the tife of this franchise or any extenaton thereof in competition with the Grantee, its successors and assigns; but nothing herein contained shall be construed or deemed to prevent the Municipality from exercising at any time any power of eminent domain granted to it under the lawe of the State of Idaho, Section I2. In the event natural gas at any time shall cease to be avail- able to Grantee for the distribution and sale hereunder, grantee reserwes the right to surrender thic franchiee and in the event of such surrender or any expiration or telmination of this franchise, or in any of such events, Grantee !e8elve6 the right to salvage all of its plant, works and facilities. Section i3, The violation or breach on the part of the Grantee to comply in any substantial respect with the provisions of this franchise shall be grounds for the forfeiture thereof, but no srrch forfeiture shall take effect unless Grantee faile to remedy any such violation or breach within a reasonable time from the date of a written notice given by Municipality to Grantee by registered rnail or personal service, setting forth the nature of such violation or default; such -6- reasonable time to depend upon the exigencies surrounding the matters set forth in said notice, nor shall such forfeiture take effect if the reasonableness or propriety thereof is protested by Grantee ui:,til a court of cornpetent juris- diction (with right of appeal in either party) shall have found that Grantee has failed to comply in such substantial respect with the provisions of this franchise; provided, further, that no breach or failure resulting from acts of God, fire, earthquakes, the elernents, or any other causes beyond Granteers control which could not have been reasonably anticipated and prevented by Grantee shall create a termination or forfeiture of this franchise, or any of the provisions thereof; provided, further that no interruptions or irnpairrnent of service or failure of supply of gas or pressure by reason of any of the above meirtioned act6, ox any cause or happening beyond the control of Grantee shall constitute a breach of this ordinance nor subject the Grantee to liability for damages; provided, however, that Grantee shall use due diligence to resto!e service as promptly as reas onably practicable, Section I4. The Grantee shall within thirty (30) days after the passage and publication of this ordinance fite with the municipal clerk its acceptance of the sarne in writing. signed by its proper officers and attested by its corpor- ate seal, and shall begin to supply gas service under this franchise within eighteen (18) months after natural gas is made available to the Grantee for distribution; provided, however that such eighteen (18) rnonths' period shall be extended by the addition of any time reasonabty Iost due to litigation instituted by others or due to the action of said Municipality, its officers or governing body, or of any other governmental body or authority, or due to strikes or other causes reasonably beyond control of Grantee. otherwise the provisions of this franchise shall be null and void. Section 15. No sale, assignrnent or lease of this franchise shall be effective until it is approved by the Municipality and until the vendee, assignee -7- or lessee has filed in the office of the clerk an instrument, duly executed, reciting the fact of such sale, assignment of lease, accepting the terrns of the franchise, and agreeing to perforrn aII the conditions thereof; provided, however, that nothing herein contained shall be construed to require consent or to prevent the Graatee of this franchise and grant from including it in a rnortgage or tfust deed executed for the purpose of obtaining rnoney for cor- porate objects, Section 16. Alt ordinances and pa!ts of ordinances of Municipality in conflict herewith shall be, and the same are hereby repealed.
