INTRODUCTION
On May 4, 1977, our firm made a determination of the waste discharge
from the Wyeth Laboratories to the City of Meridian Sewer System. A sim-
ilar measurement was made Aprii 8, 1955. when the Challenge Creamery
owned the plant. Considerable time was spent this year in preparing to make
the measurements, In 1955 the discharge was measured in the main sewer
above and below the Creamery Sewer, the difference being the discharge
from the Creamery .
This year there was something blocking the main sewer so that it was
impossible to make any acurate measurements in this sewer. The discharge
from the Wyeth Laboratories was considerably less than from the Creamery
in 1955. So it was decided to measure that flow direct. To do this required
some concrete work to install a 90" V notch welr and instailation of temporary
baffles .
Readings were started at 5:30 and made periodically throughout the day
until II:00 p.m. Readings were made at the Wyeth Laboratory Sewer and the
Meridian Sewage Treatment Plant, Fourteen five-day B.O.D. sewage samples
were made of the Wyeth Laboratory waste and the influent and effluent at the
City of Meridian Sewage Treatment Plant,
The five-day B.O.D. test determines the quantity of oxyqen required
to biologically reduce a waste. The five -day B.O.D. test was used in this
measurement for determining the strength of the waste from the Wyeth Lab-
oratory and the total waste from the City of Ir4eridian.
The following tabulation shows the measurements made of the Wyeth
Laboratory waste and the City of N4eridian wastes.

EVALUATlON
The measurements of the City of Meridlan total waste at the Treatment
Plant was falrly consistent. The lowest B,OD. of any sample was 48 at 6:00
a.m., also the tj.me of the ]owest flow at the rate of 600,00 gailons per day.
High B.O.D,'s of 100 and 94were sampled at 3:10 p.m, and 5:25 p.m. The
maximum dlscharge was at the rate of 890,000 gallons per day at 6:mp.m.
The measurements of the volume of Wyeth Laboratory waste discharge
over the V-notch weir was fairly consistenu but the five-day B.O.D. tests
of Wyeth Laboratorles waste was very erratic with tests ranging from 94
parts per milllon to over 252 parts per million. These strengths of wastes
occured when the plant was being washed down and were of short duration,
Maximum discharge measured was at the rate of 140.500 gallons per day
at I:50 and 5:08 p.m. The minimum discharge measured was at the rate of
83,600 gallons per day at 5:30a.m. and l0:45 p. m.
The City of Meridian Waste Treatment Plant is designed on the basis
of the total strength of waste to be treated and is designed for maxlmum
rates rather than average rates. So the fairest comparison can be made
of the waste discharged from Wyeth Laboratories and the City of Meridian
for the period from 6:00a.m. to I0:00p.m. when the plant is running and
to make the comparison on the basis of the total oxygen demand first,
and volume second .
An average flow at the rate of. 172,000 gallonsper day with a five
day B.O.D, of I20 parts per million for the period from 6:00a.m. to
I0:00p.m. was estimated for the wyeth Laboratories waste. This amounts
to an oxygen demand of 113 lbs, per day.
The total daily oxygen demand for the City of Meridian including
Wyeth Laboratories was computed as 45 7 lbs . When the total estimated
Wyeth Laboratories of i13 ]bs. is subtracted, the amount for the rest of the
city is 344 lbs. This would be the normal expected demand f.or 2,064
people, which is very close to the number of people connected.
CONCLUSIONS
On }vlay 4, 197 )-, the following conditions were found for the
period from 6:00 a.m, to 10:00 p.m.

The previous determination of the creamery's share of the waste
made on April 8, 1955, showed the creamery contributing 50% of the
total waste. The 19.5% present contribution is 39% of the 1955 deter-
mination .
The payment based on the 1955 conditions was $495.00. 39%
of $495.00 is $193.00. This is the amount that the Wyeth Laboratories
should pay and is based on the same parameters used in determining
the payment previously.

Gentlemen:
You are of course aware that the residents of Ada County voted
to establish a county-wide highway district pursuant to the provisions of
H.B. 274, Robert Day, C. Leo Holt and I have been named highway
commissioners and are presently in the process of organizing the Ada
County Highway District.
The problems confronting us are many as might be erpected when
an entirely new body assumes from Ada County and the various municipal-
ities in the county the responsibility for all the roads and streets in the
county, In particular, we have been advised that there is grave doubt that
the Ada County Highway District, when organization is complete, may Ievy
for taxes in the year 19?1.
We have been advised, on the other hand, that the several
municipalities in Ada County may legally certify their streets Ievy to Ada
County on the second Monday of September since the city street systems
have not been dissolved. If the cities do not ce rtify the levy, it would
appear that there would be no funds for street matters. The city council of
Boise has previously agreed to make the September certification of levy.
It is highly advisable, if not absolutely necessary, that the Ada
County Highway District not attempt to take over the road and street functions
of Ada County and the municipalities until the first of the year. Ada County
is agreeable to this procedure, and we hope that the municipalities will also
concur.
It is our request, therefore, that you agree to perform your street
responsibilities and functions until the first of the year pursuant to your
budget made earlier in the year. We are sure that that decision would be in
the best interests of all concerned.

reconstltuted, restated and renamed as the 'Ada Council of
Governnents I and that an amended agreernent concernl,ng tJIe Ada

sent County Councif members and substltuted for the eristlng

prehenslve reglonal p1ans, whlle concurrently permlttlng each

NOW, THERIIFORE, In conslderatlon of the mutual terms,
covenants and condltlons hereln agreed, the General Mernbers have
thls date entered lnto thls Agreement for a perlod of tlme hereln
stated, for the establlshment of an oreanlzatlo;1 to achleve the

enumerated 1n Lts Constltutlon and By-Laws, sald documents

Artlcle I

may become t'speclal purpose members" of sald Councll, as provlded
1n ArtLcle IV of thls Amended Constitutlon. General membershlps
sha11 become effectlve when a certlfled copy of sald approprlate
resolutlon has been del-lvered to the then chalrman of sald Councll
and sai.d Councl] has approved the memtrershlp appllcatlon, and
sald specla.L purpose membershlp shal1 become cffectlve upon
approval by sald Councll of an approprlate appllcatlon for sald
membershlps. Nothlng ln thls sectlon shall" be construed to pre-
vent the CounclI fron subsequently allowlng membership 1n sald
Council by any countles, c1t1es, and agencles whose Jurlsdlctlon
is other than that deflned by the 11mlts of the county of Ada.
Secti-on 2. The ADA COUNCIL OF GOVERNMHNTS ls a volun-
tary assoclatlon, havlng only that separate Iegal status necessary
under state and federal statutes, to a1low lt to enter l-nto
contracts for plannlng and flnanclaf asslstance wlth the Federal
gover:nment and to contract for plannlng servlces wlth other
1oca1 entltles, the state and persons; and to hold reaL and per-
sonal property ln lts olrn name only for pursulng the purposes
of thls Agreement. Addltlonally, the Councll. has the authorlty
to nake studles and re c omrne ndat lons and to undertake comprehenslve
p1annlng. The ultlmate declslon as to poIlcles, proFrams and
budgets sha1l be made by the General tlembers and the approprlate
speclal purpose members Jolntly represented 1n the ADA COUNCIL
OF GOVERNMENTS. Contracts may be executed by the slgnature of

Sectlon 1. The plannlng area to whlch the Councll

Sectlon 2. Nothlng ln Sectlon 1 shaLL be conatnued
to prevent the Councll from subsequently redeflnlng the plannln8
area establlshed herein.
Artlcle III
Membershlp, Offlcers and Commlttees
Sectlon 1. The Councll sha11 conslst of the County of
Ada, and each lncorporated clty wlthln the boundarles of sald
county that have resolved to Joln the Councll, nho shal1 be
deslgnated as General Members, and representation from the Offlce
of the Governor, the State Board of Hlf,hway Dlrectors, the State
Board of llealth, school dlstrlcts, sewer <ilstrlits, flre dlstrlots,
and slmllar operatlng governmental agercles wlth the poyrer to
tax ln sald county, who have resolved to Joln the Councll and have
been approved cy the Counell, and who sha11 herelnafter be deslgnated
as "Speclal Purpose Members r' .
Sectlon 2. The County of Ada, as a General Member,
shal,I be represented by three (3) votlng councll repres ent at lves ,
namely; the three (3) menbers of the Board of County Conmlssloners.
The Clty of Bolse, as a General Member, shall be represented by
three (3) votlng councll representatlves, namely: The Mayor,
the Presldent of the Clty Councll, and another member of the Clty

Councll appotnted bv sald body. The other lneorporatcd cltles
whtch are oeneral Members shall be represented try one (1) votlng
councll representatlve, namely, the Mayor of the respectlve clty.
Sectlon l. Each sald votlng councll representatlve
may select and appolnt another elected offlclal from the same
Jurlsdlctlon to serve ln h1s absence as an alternate reprlesenta-
tlve to the Councll, except that nelther the County of Ada nor
the Clty of Bolse shall have more than one alternate representatlve
durlng any calendar year.
Sectlon 4. The governing body of each Councll representa-
tlve who 1s an lncorporated clty shall appolnt one (1) a1ter-
nate to serve ln the absence of the votlng Councll representatlve.
Alternate Councll representatlves when servlng shall have the
rlp.,ht to vote and such other rlghts and dutles vested ln the
votlng representatlve and shal1 be selected fi:om the membershlp
of the respectlve governlng body.
Sectlon 5. Each Speclal Purpose Member, when the
Councll ls conslderlng and votlng upon a matter directly con-
cernln8 sald member, sha1l be entttled to two (2) votes on
reaolutlons pertalnlnE thereto. Insofar as 1s practlcable and
feaslble, natters concernlng Speclal Purpose Members sha11 be
considered and acted upon lndlvldually by subJeit matter so as
to lnvol.ve only one classl,flcatlon of speclal member at one t1ne.
Where, more than one speclal membership lnterest 1s neverthelesr
lnvoLved, each classlflcatlon of Speclal Purpose Members sha1l
be entltl.ed to a maxlmum of two (2) votes regardlng any
correspondlng resolutlons conslder.ed and voted upon by the
Counc1l.
Sectlon 6. Each representatlve of the General Members
on the Councll, whether the reFular appolnted votlng representatlve,
or alternate votlnE representlng, or ex-offlclo representatlve

Sectlon 7. The representatlves of the General Members
shall organlze thenselves lnto a Counc11, wlth a Chalrman, Vlce
Chalrman and Secretary.
Sectton 8, Sald Chalrman, Vlce Chalrman, and Secretary
must be votlng members of sald Councll, and shaI1 be elected
by the maJorlty vote of the General Members of sald Councll at
1ts regular meetlng held 1n January of each year, and shall serve
for a term of one (1) year, except that the lnltlal Chalrman
and Vlce Chalrmen sha1l be elected at the flrst meetlng of the
Councll and shal1 serve untll the regular January meetlnE! held
ln 1972.
Sectlon 9. The Chalrman and Vlce Chalrman sha1I pre-
slde at the meetlngs and the Vlce Chalrman sha]l preslde ln the
Chalrmanrs absence and the Secretary sha1I be responsible for
the keeplng of the mlnutes, except as may be provlded for 1n
the By-Laws.
Sectlon 10. Sald Councll shalL appolnt an Executlve
Dlrector of the ADA COUNCIL OF GoVERNI,IENTS, who shall be nomLnated
by the Reglonal Plannlng Commlsslon, except that Hobert R. McAbee
shall be the flrst sald Dlrector. Sald Chalrman, Vlce Chalrman
and Secretary shal1 constltute the Executlve Commtttee of the
Counc11. Sald Executlve Dlrector shaLl be an ex-offlc1o, non-
votlng member of sald Executlve Commlttee. Sald Executlve

Commlttee shal1 be 11m1ted to admlnlstratlve authorlty regardlng
the affaLrs of the Councll and BhaII not have power or authorlty
to adopt or modlfy any poLlclca of the Councll.
Sectlon 11. Sald Councll shall have the authorlty to
establlsh speclal task forces composeii of representatlves of the
General and Speclal Purpose Menbers for conslderatlon of general
and speclflc problems asslgned to 1t by sald Councl1. Satd
representatlves are to be selected from the plannlng, englneerlng,
or aclmlnlstratlve staffs of the respeetlve member. In addltlon,
representatlves of the general publlc, prlvate groups or organlza-
tlons partl,cufarly lnterested 1n the problems should be lncluded
on sald task forces whenever posslble. Each representatLve
shal1 be entltled to relmbursement of expenses lncurred by hlm
ln the performance of h1s dutles for the task force, in addltlon
to such daLly allowance as the Councll nay herelnafter provlde.

Sectlon 1. Pursuant to 550-1105 of the Idaho Code, the
Ada Reglonal PLannlng Commlsslon sha11 be establlshed. Sald
comnlsslon shaLl be conrposed of mernbers elected by and from
the respectlve plannlnE commlsslons of the Cenerat Members of
the Counctl. Those Genera.L Menbers whlch do not presently have
a plannlng and zonlng commlsslon sha1l establlsh such a co nlsslon.
From the respectlve plannlng and zonlng comrnlsslons of each General
lvlember, there shall, be elected to the Reglonal Plannlng Commls-
slon three (3) members from the Clty of Bolse, three (3) membere
from the County of Ada, and one (1) member each of the other
General Members. Votlng by proxy shall be permltted.
Sectlon 2. Sald reglonal plannlng conmlsslon shall
be authorlzed and empowered to carry out proJects asslgned to
1t by the Councl1, and to propose on lts own lnltlatlve, the
development of reglonal comprehenslve development pIan, includ-

lng 1n partlcular, a land use plan, a transporatlon plan, and
open space and park p1ans, and any and all other rcglonal plans
necessary and convenlent to the carrylng out of comprehenslve
reglonal plannlng 1n and for the County of Ada and/or as 1s
further authorlzed by amendments to the fdaho Code.
Sectlon 3. The powers and dutles of sald Repglonal
Plannlng Commlsslon shal1 be ful1y enumerated and deflned 1n
the tsy-Laws of the Counc11.
Sectlon 4. Each General i.Iemb er sha1I use 1ts best
efforts to act ln cooperatlon rlth the reglonal plannlng conmis-
slon and the Councll. The porrers of the Plannlng and zonlng
Conmlsslons of the General Menbers sha11 not be dlmlnlshed
hereb y .
ARTICLE V
Common St aff
Sectlon 1. A comnon staff sha11 be establlshed, shtch
w1l1 serve the 1ocal pub11c adnlnlstratlve and reglonal envinon-
nental. plannlng needs of the Reglonal Planning ConmlssLon and
the CounclL. The Executlve Dlrector shall be vested wlth the
authorlty to dlrect and responslblllty for sald comon staff.
From sald conunon staff and under the dl rectlon of sald Executlve
Dlrector, an admlnlstrator sha1l be deslEnated bnd necessary
adrnlnlBtratlve staff servLce shal1 be asslEned for the operatlon
of the plannlnE and zonlng cornmlsslons of the respectlve General.
Members according to thelr respectlve flscaI budEets to support
the same. Such staff servlces to the respectlve plannlng and
zonLnq comrnlsslons of the General Members sha1l be for the admlnl-
stratlon of thelr respect!.ve ordlnances on a day-to-day basls
and each General" Member may request speclal- pro.Jects to be per-
forned by the conmon staff, based upon funds avalLabLe to the
respectlve General Member for such work. Sald corrnon staff

shall develop compatlble and/or model ordlnances 1n the areas
under the Jurlsdlctlon of each General Member to be adopted
by the respectlve General Members.
Sectlon 2. Sald Executlve Dlrector sha1l be the

the ceneral Members. At the dlrectlon of the Councl1, sald
r-xecutlve Dlrcctor, or h1s delegate, shall also be an ex-offlclo
member of any speclal cornmlttees or speclal task force of each
ceneral l{ember, as welf as be requlred to attend neetlngs of
speclal advlsory commlttees of both pub11c and prlvate organlza-
tlons involved 1n plannlng w1thln the County of Ada.
Artlcle VI
By -Laws
Sect j-on l. tsy-Laws shalL be prepared by the Councll
and adopted by a maJorlty vote of the General i{enbers, pur-
suant to whlch regular and speclal meetlngs of the Councll
shalL be calJ.ed, he1d, and conducted, and contalnlng other
approprlate provlslons for the transactlon of buslness and the
dutles and the powers of the Chalrman and such other offlcers
as may tre appointed, as well as the appolntnent, powers, and
dutles of standlng and speclal commlttees for advlsory or
plannlng asslstance. Sald By-Laws rnay be amendid from tlme
to tlne by the maJorlty vote of the General Members.
Sectlon 2. The l_nltial By-Laws of the Councll w111
be promulgated ln due course.
Artlc Ie VII
Budge ts
Sectlon f. As each proJect 1s consldered for study,
the counclr. sharr deterrnlne how the study shall be flnanced anal
recornmend to the General and,/or Speclal Members lnvolved that
they flnance the studv, elther by supplylng cash or contrlbuted

servtces; and 1f the members lnvolved accept the re commcndat lonr,
the stud.v shall proceed under the proposed flnanclng.
Sectlon 2. Each General or Speclal Purpose Mernber
may request speclal" servlces to be perfor:tncd by the cornnon
Btaff and,/or any other employee! or offlcers of the Councll.
Such servlces sha11 be provlded pursuant to a speclflc contract
executed between the partlcular nember and the Councll. Asse8a-
ments shal1 be made upon those partlclpatlng menbers vrhlch are
dlrectly beneflted by the plan or proJect, accordlng to sald
contract. The use of the enployees of said partlctpatlng rnonber
shall be taken tnto conslderatlon when determlnlnE thelr rcspcc-
tlve shares of sald assessments.
Sectlon 3. The Councll shaLl prepare annually a
proposed proBram and budget for the ensulng flscal year and
shall, prlor to the _ day of of the precedlng
year:, submlt the same for ratlflcatlon to the governlng body
of each General Member and Speclal Purpose Member whlch con-
trlbutes to the bud8et. The County of Ada, Clty of Bolse
and other ceneral and Speclal Purpose Members shal1 be con-
trlbutlng entltles and upon ratlflcatlon of such progran and
budget by each such contrlbutlnE entlty. Funds vrhlch are
avallabl.e through grant, glft, or other sources'-BhaL1 be sxclu-
rlve of amounts budgcted by the Councl1. Each Speclal Purpote
ltenber sha11 ]also contrlbute to the Bupport of the Councll.
Sectlon 4. The Executtve Dlrectot shal1 be the dis-
bursement offlclal for all funds of the Councll punsuant to
authorlty vested 1n sald Executlve Dlrector accordlng to the
&nnual budget prepared by the Counc11. AI1 erpendltures made
by end for the Ada lle8lonal planntng Conmlsslon shall bc made
pursuant to and in confor.nlty wlth S5O-I103 of the Idaho Codc.
Sectlon 5. The Councll nay employ consultants rhen
the costs of such employment are budgeted, or 1n the case of

a proJect for whlch speclal assessments are to be l-evled pur-
suant to Sectlon 2 of thls Artlcle, when the members beneftt-
1nq from such proJect shal1 agree to bear the cost of such
emp l oyme nt .
Sectlon 6. The budEetary allocatlon necessary to
the operatlon of the common staff must be authorlzed by each
General Menber, pursuant to $50-1103 of the Idaho Code.

Sectlon 3. Thls amendecl cooperatlve agreenent may
be termlnate(i, and the Councll dlsbanded, prlor to the expira-
tlon of sald term referred to ln Sectlons L and,/or 2 of thls
Artlcle, by the adoptlon of a resolutlon to that effect by the
governlng bodles of the General l4embers represented on the
Council- and who have executed sald Agreement, a1I sald resolu-
tlons travlnfl been adopted wlthln nlnety (90) days of each other;
provtded, however, that such ternlnatlon shall not be made
effectlve earller than the end of the flscal year of the council
1n whlch the last requlred number of pollt1ca1 subdlvlslons
adopts sucir resolutlon, and provlded further, that such terml-
natlon shalr not be effectlve unress and unt11 adequate provlslons
shall have been made for the assumptlon by the then partlclpatlng
polltlcal subdlvlslons of all outstandlng indebtedness and/or
contractual 0bllgatlons of the councll theretofore lncurred,
whlch sald provlslons for assumptron Bhalr have been flrst
accepted ln HrltlnE by the obllgees of sald obl1gat1ons.
