WHEREAS, the Nine-Mi le Drain by the Nampa and Meridian Irrigation Dl with the United Statesi and 4, WHEREAS, the Contractor desires to utilize Iand for the purpose of constructlng, operating, and buried water main and related facilitles necessary f in the Contractor's Cornestic water distribution syst is st o NOI,.I, THEREF0RE, in consideration of the mutua'l covenants and conditions hereinafter stated, the parties hereto agree as folIows: 5. The United States hereby grants to the Contractor, subiect to the terrs and conditions of this agreeflent, the right to construct, operate, and maintajn a water main and related faci lities upon and across lands acquired by the United States for the I''line-Mi1e Drain, in the NE"SI^lk of Section l2, T. 3 N., R. I t^l., B.M., Idaho, at a iocation descrlbed as fol lows: A parcel of land 20 feet ln width be'ing 10 feet on each side of the following described centerline: ) Commencing at the south quarter corner of Section I2' T. 3 N., R. I l^1., B.M.; thence N. 0OoOO'35u t,J. .l,671 .02 feet along the nridsection line of Section 12 to the south right-of-way line of the Nine-Mile Drai n; thence s. 89006''lo" E. 10.00 feet along the south right-of-way'line of the Nine-Mile Drain to the Real Point of Beginning; thence N. O0o0o'35" t,J. 290.00 feet, more or'less, to the south right-of-way line of Broadway Avenue. As shown on the attached plat marked Exhibit "A" and by this reference made a part hereof, 6. The easement area traverses a spoil bank created by the construction and maintenance of the Nine-Mile Drain. To allow proper maintenance of the drain, the contractor shal l instal'l the water main at minimum depth of 3.5 feet below natural ground level . 7. The use of the lands covered by this agreement is subject to the environmental quality program and pol icies of the Federal Govern- ment and to the rules and regulations adopted by the Bureau of Recla- mation, Department of the interior, for implementation thereof. The environmenta'l quality program is directed toward improving the function, appearance and environrnental compatability of alI proposed' in process' and existing structures, facilities, 'iands and watervays under thejurisdiction of the Federal Government. In connection therewith, this agreement is granted subject, but not limited, to the fol'lowing specific provisions: a. The Contractor shal'l not remove or damage shrubs or trees located in the area covered by this agreement without written permission from the Contracting 0fficer; and shall smooth and reseed the excavated or trench of areas with a perennial grass, preferably crested wheat grass, in accordance with the best known methods and to the satisfaction of the Contracting 0fficer. b. The Contractor sha'l l not use or permit any use of the'land which is undesirable because it creates or tends to create a nuisance or a situation similar to a nuisance thereon, and shall take al 1 precautions necessary to prevent and suppress fires which endanger the premises and surrcunding property and shall comply with the fire regulations pertaining to the premises of any agency of the United States . 2 o B. This agreement is granted subject to all rights outstandingin third parties. .I0. The Contractor agrees as follows: a. There is reserved to the United States, its successors and assigns, the prior right to use any of the premises herein describedto construct, operate and maintain all structures and facilities, in- cluding, but not limited to, cana'ls, wasteways, laterals, ditches,reservoirs, roadways, el ectrical transmission 1 ines, corununi cati on structures generally, substations, switchyards, powerplants, and any other appurtenant irrigation and power structures and facilities, or any recreation developments, without any' payment made by.the United States or its successors for such right. b. That if the construction of any or all of such structures, faci'l ities, or developments across, over or upon said premises shou'ld be made-more expensive by reason of the existence of improvements or works of the Contractor thereon, such additional expensb is to be estimated by the Secretary of the Interior, whose estimate is to befinal and binding upon the parties demand is made upon the Contractor Contractor will make payment thereoits successors or assigns, construc across, over and upon said Iands. That the United States, its officers, agents and employees, and its successors and assigns shall not be held liable for any damage to the Contractor's improvements or works by reason of the exercise of the rights herein reserved; nor shal1 anything contained in this para- graph be construed as in any manner limitlng other reservations in favor of the United States contained in this agreement. ll. The Contractor wi'11 use, operate, and maintain the facilities covered by this agreement in such a manner as not to interfere with the administration of adjacent land owned by the United States. 13. Upon termination of this agreement for any reason, the Con-tractor, at the option of the Contracting 0fficer, shall remove all ofits equipment, structures, and materials placed upon the premises bythe Contractor, and sha11 restore the premises occupied by such equip- ment, structures, and materia1s to a condition satisfactory to the Contracting 0fficer and shaiI smooth and seed the site with perennial grass, preferably crested wheat grass, in accordance with the best kn th wi eq 0f own methods and to the satisfaction of the Contracting 0fficer. Ife Contractor fails to remove its equipment, structurei and materialsthin sixty (60) days after the terminirtion of this agreement, such uipment,. structures, and materials, at the option of-the Coniractingficer, shal 1 become the property of the United States and all costs- incurred by the United States in the disposal of such property will be charged to the Contractor. 14. The provisions of this agreement shal 1 apply to and bind the successors and assigns of the parties hereto, but no assignment ortransfer of this agreement or any part or interest therein shall bevalid unless approved by the Contracting Officer. 'I 5. This agreement shall terminate: a. At the option of the Contracting officer if the Contractorfai'ls to comply with any of the terms and conditions hereof. b. At the option of the Contracting 0fficer upon discontinu- ance of the use of the faci lities constructed by the Contractor in accordance with the terms of this agreement for a period of six (6) consecutive months. 4 I c. At the request of the Contractor by giving written notice to the Contracting Officer. 16. The Contractor hereby agrees as follows: a. To comply with Title VI (Section 601) of the Civil Rights Act of July 2, 1964 (78 Stat. 241 ) which provides that "No person in the ori 0r Fed ted States shail, on the ground of race, co1or, or national be excluded from participation in, be denied the benefits of, ubject to discrimination under any program or activity receiving financial assistance," and to be bound by the regulations of the Departrnent of the Interior for the effectuation thereof, as setforth in 43 CFR 17. Un i gin, be s era I b. To obligate its subcontractors, subgrantees, transferees, successors in interest, or any other participants receiv.ing Federalfinancial assistance hereunder, to comp'ly with the requirements of thisprovision. 17, No member of or delegate to Congress or resident conmissionershall be admitted to any share or part.of-thls agreement or to anybenefit that may arise herefrom. This restriction shall not be construed to extend to this agreement if'made with a corp.oration or company for its general benefit. IIODIFICATION, RELOCATION OR REIIIOYAL OF PIPE LINE: This license or per-mit is made subject to the needs and requirements ol the Rail- road Company in the operation of its railroad and in the improvement and use of its propelt! and tlle LiceDs€e, at the sole cost and expelrse of the Licensee, shall move all or ar-\' portion of the pipe line entirely off the right of way of tle Railroad Company, or to such a Dew location thereon ag may be designated by the Railroad Company wheneYer in tle furtherance of such needs and requireDents, the Raihoad Company shall find such action necessary or desirable; PROI'IDED, horrever, the Licensee shall not be requireC uider the teqns hereof to move entirely off of said right of rvalr any portion of the pipe line constituting a crossing of the entire right of s'ay of the Raihoad Compauy. 10. LIABILITY: The Licensee shall indemnify and hold harmless the Railroad Conrpany from and against any and all damages, claims, demaltd8, actions, causes of action, costs and expenses of Fhatsoeve! nature which may result from the death of or injury to any person \rhomsoeve!, or from the loss of or damage to property of any kind or natule, including damage to the loadbed, tlacks, equipment or other property of the Bailroad Company, whe! such death, injury, loss or damage is due to the existence of said pipe line or to tLe construction, maintenarce, operation, repair, renexal or removal thereof, or to the contents therein or therefrom. 11. DISUSE OF PIPE LINE: Disuse of said pipe line lor the purpose for rvhich it was origihally constt.ucted contiruing at a:ry time for a period of one ycar, shall constitute an abandonment thereof by the Licensee and of the grant herein made, and in case of such an abandon- ment or the breach by the Licensee of any of the conditions, agreements and covenant8 herein contg.ined, the Sailroad Company shall have the right to terminate this agrec. ment at any time by giving thirty (30) days notice in writing to t}le Licensee of its illtention to terhinate the sarne, and at the expiration of said thirty (90) days notice the licelse herein gralted shall teElinate and be at an cnd, and the Licensee shall be vithout recoulse or redress of ary character against the Railrcad Company by reason thereof. r2. RF-\IOVAL OF PROPERTY OF LICENSEE: Within fifteen (15) days after the terrnination of this agreement howsoeyer, the Licensee sha]I rernove all property of the Licensee herein provided for from that portion of the right of way of the Bailroad Company not occupied by the said roadbed and tiaek., i,ird shall iestore '!.he sani. ^,c its oligi;al .ctd.ition tc tl:c satisfp-ction of the Railroad Companl'; and if the Licensce fails so to do thc Railroad Compaly n)ay do such work of reDroval and lestoration at the cost and expense of the Licensee. The Railroad Company may, at its option, upon such terrrination, at tLe entire cost and expense of the Licensee, rernove that portion of said pipe line located underneath said roadbed and tracks and restore said ioadbed to its original cotrdition, or it may permit the Licensee to do such Jcork of removal and restoration under the supeivisioh of the Railroad Company; and in the event of the removal by the Railroad Company of the property of the Licensee as herein provided; and of the restoration of said roadbed atd right of *'ay to their f(,rmer condition, the Rtihoad Colnpauy shall in lo manner be liable to the Licensee for any damage sustained by the Licersee for or on a.count thereof, and such remoyal and resto.ation shr.ll in no manner prejudice or impair any risht of action for damsgcs or otherwise thet the Rail.oad Company may hal'e against the Licensee. 13. .I.GREE]IE\T NOT TO BE ASSIGNED: the Licensee shall not assign this agreemcnt or any of the rights hereunder with' out tle consent, in N-riting, of the Railroad Company first had and obtained. 3 PIPE LINE AGBEEIIENI I 14. INSPECTOR AND FLAGIIAN: The Railroad Company may, if in its judgnent such becornes necessary, furnl.h at the expense of the Licenlee such inspector as it deems reasonably necessary for the purpose of D'laIinS inspection of all rYork perfor:Ded by thrl Licensee or thos€ a.ting under the authority of the Licensee. Such inspector shall have authority to coltrol the operations of the Licensee and those working under its authority while excavating or doing a.ny lork adjacent to or foul of any of the railroad tracks in the area of the work or corstruciicn. The Railroad ComFany may also furnish, at the expens€ of the Licensee, such flagman and lvatchman as may be reasonably necessary to piotect railroad traffic during the construction or rvork contemplated by th.is agreement.
