INTEREST RATE: FIxed interest rate of Key Bank ofIdaho Base or Index Rate
PLUS two and on~fourth percent (2.25%). Index rate is based on the Prime Interest rate
as published in the Wall Street Journal. Tlùs fixed rate is subject to review every three
years and adjusted to two and cnø-fcurth above the current index rate, The effective
index rate as of'O2-O9-96 equates to eight and one-fotlrth percent (8.25%).

PAYMENT TERMS: Monthly principal and interest payments to be established
based on the interest rate at time of closing and a tWenty year amortization. The first

DEFAULT: Ifany of the folloWing events should occur, Key Bank ofIdaho may
cancel tlús Commitment without any liability of any kind to BotTower or guarantors, retain
the Commitment fee, ifany, and pursue any and all remedies available to Key Bank of
Idaho.
1. If there shall be any material adverse change in the financial conditions of, or
bankruptcy or insolvency of ,either Borrower or any guarantor. You agree to notify Key
Bank ofIdaho of any material adverse change in financial condition, and to provide,
whether or not such notification is given, up-to-date financial information (certified by
you) as requested by Key Bank ofIdaho to determine if a material adverse change has
