PARAMEDIC STATIONING AND
COORDINATION OF SERVICES AGREEMENT
THIS AGREEMENT is entered into this ~day of January, 2005, by and between the
Meridian Rural Fire Protection District (hereinafter "MRFPD"), whose address is 540 E.
Franklin Road, Meridian, Idaho 83642, the City of Meridian, a municipal corporation of the State
of Idaho (hereinafter "City"), collectively referred to as Meridian Fire Department (hereinafter
"MFD") and Ada County, a political subdivision of the State of Idaho, whose address is P.O.
Box 140209, Boise, Idaho 83714, d/b/a Ada County Emergency Medical Services (hereinafter
"ACEMS").
SECTION ONE
RECITALS
The Parties recite and declare:

The Parties declare it prudent and appropriate for the preservation of life that emergency
medical services be provided in a timely and efficient manner within the boundaries of
the Parties.

The Parties dec1àre that it is desirable to establish an arrangement locating paramedic
services nearer Jo the Fire District in order to reduce the amount of time needed to
respond and provide paramedic care and to provide terms and conditions which will
result in their mutual benefit to the Partners, as herein provided for.
1.3
ACEMS maintains and provides services to persons found within the boundaries of Ada
County and upon mutual aid calls for persons found in neighboring counties.
1.4
MFD is authorized, pursuant to Chapter 14 of Title 3 and Chapter 3 of Title 50, Idaho
Code, to provide property protection and preservation of life services within its

SECTION TWO
NO SEP ARA TE LEGAL OR ADMINISTRATIVE ENTITY CREATED
This Agreement does not create any separate legal or administrative entity.
The extent of the performance of this Agreement by any Party is financed by that Party,
and therefore no budget will be established or maintained collectively by the Parties.
No property, either real or personal, will be acquired under the terms of this Agreement,
and no provisions are herein made for any disposition of property upon termination of
this Agreement or upon the withdrawal of a Party from the Agreement.

SECTION THREE
DURATION
3.1
This Agreement shall commence at such time as the Parties' governing bodies have
appropriately acted pursuant to ordinances, resolutions, or otherwise pursuant to law,
authorizing the execution of this Agreement.
This Agreement shall expire on September 30, 2005.
The Parties may mutually agree to extend this Agreement on a yearly basis by written
assent.
Any Party may terminate and withdraw its participation in this Agreement by providing
sixty [60] days' advance written notice to the others which shall then terminate this
Agreement.
SECTION FOUR
HOUSING OF PERSONNEL AND EQUIPMENT
ACEMS and MFD have determined that sharing resources provides for a more effective,
fiscally responsible emergency response system, which will improve existing services at
a lower cost than either agency could provide independently. To that end, the
responsibilities of each entity are as follows:
Logistics:
4.2.1 MFD agrees to provide the following:

Available space in crew quarters to house up to two (2) ACEMS
personnel. This pertains to Stations 32 and 33.
4.2.1.2 Access and use of daily living needs within the facility. If any issues
------ari-se--the--parties will attempt to work out such issues between the
Director of ACEMS and the Chief ofMFD.
4.2.1.3
Available space in the apparatus bay to house one ACEMS Ambulance
with electrical service.
4.2.2 ACEMS agrees to provide the following:

All furnishings necessary to outfit the EMS living area (i.e. bed,
nightstand, partitions, desk, etc.).

All elements necessary to facilitate EMS report writing, to include the
computer, printer, accessories, software, and necessary data
communications line.

EMS will provide a separate phone line for ACEMS.

Dishes and silverware (set of 4)

A constant stock of kitchen paper towels.
Utility costs shall be shared at an agreed upon rate.
4.2.4 All ACEMS personnel shall comply with all cooperatively agreed upon rules and
regulations governing use of, and conduct within, the applicable fire stations and living
quarters.
4.2.5 All ACEMS personnel shall maintain their Department chain of command for all
operational and administrative polices and procedures.
SECTION FIVE
RESPONSIBILITIES
It is the responsibility of each Party:

Solely with respect to its own Personnel, to pay wages and other compensation, including
workers' compensation, and to carry liability insurance at all times during the term of this
Agreement, in compliance with the Idaho Tort Claims Act.
To cooperate in making timely designations of Party/Designees, as specified in Section
7.2.
SECTION SIX
THIS AGREEMENT IS NOT A COMMON PLAN OR DESIGN
NOR DOES IT CREATE AN AGENCY OF ONE PARTY FOR THE OTHER
AND DOES NOT EXTEND TO ANY THIRD PARTIES
The Parties' obligations herein are individual to each and neither accepts nor appoints the
other to act in its behalf, as each have separate and distinct statutory duties and
responsibilities' and therefore, this Agreement does not create any agency on the part of
one party for the other, nor is it a common plan or design.
Each Party shall hold the other, its officers, agents, and employees, harmless and defend
and indemnify other for injuries to persons or property resulting from negligence of that
party in maintaining its property and equipment.

This Agreement is for the benefit of the Parties and does not extend or provide any rights
and/or duties of either of the Parties to any third-party beneficiary.
Severability. Should any terms or provisions of this Agreement, or the application
thereof to any person, parties, or circumstances, for any reason be declared illegal or
invalid, such illegality or invalidity shall not affect any other provisions of this
Agreement; and this Agreement shall be construed and enforced as if such illegal or
invalid provision had not been contained herein.
Counterparts. This Agreement will be executed and delivered in counterparts, one for
each of the Parties.
Captions. The captions appearing under the section number designations of this
Agreement are for convenience only, and are not a part of this Agreement, and do not in
any way limit or amplify the terms and provisions of this Agreement.
No amendment, alteration or modification of this Agreement shall be effective unless
made in writing and duly executed by the Parties hereto.
SECTION SEVEN
NOTICE/DESIGNA TED AGENT
All notices required by, or contemplated under, this Agreement shall be provided to the
designated agent, as identified, by registered or certified mail (return receipt requested) at
the following addresses:

Any notice so given shall be deemed properly delivered, given, or served on the date
shown on the return receipt for delivery or rejection. Any Party may change the address
or designee to whom notices shall thereafter be given upon five (5) days' prior written
notice to the other Parties in the manner set forth in. this section. More stringent
procedures for notification may be implemented if the above procedure appears to fail.
