This Agreement made and entered into this 1:t day of_ bey—, 2019, by and
between JOINT SCHOOL DISTRICT NO. 2, dba WEST ADA SCHOOL DISTRICT, an
Idaho school district and body corporate and politic of the State of Idaho hereafter referred to as
"DistrieVI, and the CITY OF MERIDIAN, hereinafter referred to as 44city."
WITNESSETH:
WHEREAS, pursuant to Meridian City Code 8-6-5, on the 9111 day of February, 2016, a
Reimbursement Agreement for Infrastructure Enhancement ("OAKS RAIE") was entered into
between the developer of the Oaks North and Oaks South Subdivisions and the CITY OF
MERIDIAN, and recorded as Ada County Instrument Number 2016-011639 and was amended
on April 2, 2019; and,
WHEREAS, pursuant to the OAKS RAIE, a sanitary sewer lift station and other
infrastructure containing extra capacity and depth beyond that needed to serve its development has
been constructed; and,
WHEREAS, the OAKS RAIE established a reimbursement amount per Equivalent
Residential Unit CERU") of $230.65 plus and administrative fee of $34.60; and,
WHEREAS, City has postponed installation of some improvements in the lift station
(pumps and related equipment) that were not initially necessary but are now necessary to provide
capacity to serve growth in the SBA; and,
WHEREAS, District is the first developer requesting to utilize the excess capacity built
into the lift station infrastructure, and District understands and agrees that in addition to the
amounts due under the OAKS RAIE, District must install the postponed improvements at District's
expense, subject to reimbursement by future developments that will benefit from the pump
upgrades; and,

WHEREAS, Section 8-6-5 of the Meridian City Code established a procedure to reimburse
developers for the differential costs associated with the installation of sanitary sewer infrastructure
above and beyond that which is necessary to provide service to the developer's own project; said
collection of differential cost is in addition to the connection and user charges normally assessed
a user due to the fact that the user has not contributed to the cost of the excess infrastructure; and,
WHEREAS, on March 5, 2019, the Meridian City Council approved a recommendation to
allow District to enter into an RAIE and establish an appropriate reimbursement amount; and,
WHEREAS, District and City are entering this Reimbursement Agreement for
Infrastructure Enhancement (RAIE) pursuant to Meridian City Code 8-6-5 for improvements that
are above and beyond those needed to serve the Owyhee High School Development; and,
WHEREAS, the total cost of the Oaks Lift Station Upgrades is $312,812.50; and,
WHEREAS, the number of Equivalent Residential Units ("ERUs") that can be served by
the Lift Station Upgrades is 1940 ERUs; and,
WHEREAS, the total number of ERUs required to serve Owyhee High School is 55.65
ERUs; and,
and,
WHEREAS, the total cost of the infrastructure to serve Owyhee High School is $8,973.01;
WHEREAS, the differential cost of the extra sanitary sewer capacity is $303,839.49; and,
WHEREAS, when constructed, the extra sanitary sewer capacity provided by the Lift
Station Upgrades can serve after subtracting the ERUs to serve Owyhee High School is 1,884.35
ERUs.
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
1. The above recitals are contractual and are incorporated herein as if set forth in full.
2. The cost of the Lift Station Upgrades is has been agreed to by District and is based
on the original Reimbursement Proposal dated April 27, 2015 and is attached hereto as Exhibit
"A" and incorporated herein by this reference.
3. The Service Benefit Area that will be served by the Sanitary Sewer Infrastructure
is attached hereto as Exhibit "B" and incorporated herein by this reference.

4. The total beneficiary reimbursement amount to be assessed against the beneficiaries
within the service benefit area under this RAIE shall be $303,839.49.
5. The total beneficiary reimbursement amount divided by the 1884.35 ERUs that can
be served by the extra capacity equates to $161.24 per ERU.
6. Additionally, a 15% administrative charge based on the cost of the infrastructure
enhancement shall be collected from each beneficiary and retained by City.
7. The total administrative charge to be assessed against the beneficiaries within the
service benefit area shall be $45,575.92.
8. The total administrative charge divided by the ERUs that can be served by the extra
capacity equates to $24.19 per ERU.
9. The beneficiary reimbursement amount ($303,839.49) and administrative charge
($45,575.92) under this RAIE shall be collected at the following point(s) in the
development process: (i) for residential development, prior to signature on the
first final plat or in the event that there is not a final plat, prior to the issuance of
the first building permit for the residential development; and (ii) for commercial
development, prior to the issuance of each building permit."
10. The funds collected pursuant to development in the SBA under this RAIE shall be
in addition to the amounts established under the February 9, 2016 OAKS RAIE. District shall also
be subject to payment of the applicable amounts under the February 9, 2016 OAKS RAIE.
11. The source of funds that will comprise the eligible reimbursement amount shall be
solely from the amounts paid by the owners of the Beneficiary Parcels, less the administrative fees
collected. The Meridian City Code (MCC 8-6-5 (B)) definition of `Beneficiary Parcel" excludes
parcels where the developer or owner has directly contributed to the cost of constructing the subject
infrastructure, therefore the parcels developed in The Oaks subdivision as defined in the OAKS
RAM are not considered Beneficiary Parcels for purposes of this Agreement.
12. The funds collected, less the administrative fees, shall be distributed to District on
a quarterly basis.
13. City shall prepare an accounting of all funds collected pursuant to this Agreement
four times per year on a schedule to be determined by City.
14. The term of this Agreement shall be 10 years or when the maximum eligible
reimbursement amount is received, whichever comes first, and may be extended upon the
recommendation of the Director and the approval of the City Council. Consistent with the

provisions in the Development Agreement, the Director agrees to not unreasonably withhold and
make best efforts to support approval of any extension required to ensure District is fully
reimbursed for constructing the extra sanitary sewer capacity.
15. The Agreement shall terminate upon the earlier of the expiration of the term of the
Agreement, or upon the City's remittance to the District of the full eligible reimbursement amount.
16. This Agreement may be assigned or transferred with the express written consent of
the City Council, which consent shall not be unreasonably withheld.
17. Until the sewer infrastructure upgrades have been accepted by City, the District
shall indemnify and hold City harmless from any injury, damage or loss of any nature whatsoever
to person or property resulting from the infrastructure unless such injury, damage or loss is directly
the result of the negligence of City or its agents or employees
18. After all inspections are complete and the construction has met all standards of the
Agreement, City shall issue a letter of acceptance of the installed Sanitary Sewer Infrastructure
and shall take over ownership and maintenance of such infrastructure.
19. This Agreement shall be recorded as Notice against the property of the District as
set forth in Exhibit C, and the Benefitted Properties as set forth in Exhibit D. The parties may
execute and record a summary of this Agreement.
20. This Agreement shall be binding on the heirs, assignees, transferees, agents,
executors and successors of the parties hereto.

Legal Description of Owyhee High School Property
A parcel of land being a portion of the east one half of Section 32, Township 4 North, Range 1 West, Boise
Meridian, Ada County, Idaho, being more particularly described as follows:
BEGINNING at the South One Quarter corner of said Section 32, marked by a 5/8" iron rod, thence on
the north -south mid-section line of said Section 32, North 00°36'39" East, 2631.82 feet, to the Center
One Quarter corner of said Section 32;
Thence continuing on said mid-section line, North 00°36'39" East, 641.84 feet;
Thence leaving said mid-section line, South 86°41'44" East, 581.69 feet;
Thence South 82°03'34" East, 557.33 feet;
Thence North 66°26'46" East, 280.00 feet;
Thence South 75°07'44" East, 1296.05 feet to a point on the easterly section line of aforementioned
Section 32, from which the northeast corner of said Section 32 bears, North 00°32'39" East, 2292.08
