municipal corporation organized under the laws of the State of Idaho, whose address is 33
East Broadway Avenue, Meridian, Idaho (hereinafter "City"), the Meridian Rural Fire
District, a body politic and corporate of the State of Idaho (Hereinafter "District"), and S3
Investments L.P., and Idaho Limited Partnership {hereinafter "S3") (collectively,
"Parties").
WHEREAS, S3 is the oWner of parcel number '

Meridian, Idaho, in Ada County, Idaho (the
"S3 Property"; (Add Legal Description __4$,e.,a-
WHEREAS, the District is the owner of the property at 1425 W. Overland Road,
designated as Meridian Fire Station No 6 (the "Subject Property") more particularly
described in the attached Exhibit A;
WHEREAS, the City is constructing the fire station building and will maintain
and operate the fire station facility upon its completion;
WHEREAS, the Subject Property has lost its historical source of surface
irrigation water, and S3 has agreed to provide access to the irrigation mainline on its
property according to the terms and conditions set forth in this Agreement;
WHEREAS, City has entered into a Pump Station Operation and Maintenance
Agreement with the Nampa & Meridian Irrigation District dated,
�Athat
will require City to upgrade the Fall Creek No 86 Pump Station so that it will adequately U30
serve the Subject Property and all other properties currently served by the pump station.
NOW, THEREFORE, for good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged and agreed, and in consideration of the
mutual promises and covenants herein contained, and in consideration of the recitals
above, which are incorporated herein, the Parties agree as follows:
