THIS DHVELOFMENT AGREEMENT (this Agreemert), is mnrle and

rnunicipal corporation of ttre Siate of ldaho, hereafter ealled CITY, anrl Kendall Hoyd, whose
address is 10835 W. Treeiine Court, Boise, ID 83713, hereinaftet called
OWNER/DEVEI..OPER.
RECITALS:
1.1 WHEREAS, Owner/Developer is the solc owner, in law and/or
equity, of certain ftact of land in the county of Ada, state of Idalto,
described in Exhibit A for each owner, which is attached hereto and

development of the subject Pmperty; and
1,3 WHERBAS, City has exereised its stahrtory authority by the
cnactment of Ordinance ll-58-3, which authorizes developmant
agreements upon the annexation and/or re-zoning of land; arrd
1.4 yHEREAS,
Owner/f)eveloper have submitted an application for
annexelion and zonirrg of the Property's described in Exhibit A, and
has requested a designation of C-C, Community Business lJistrict
(Municipal Code of the City af Meridian); and
1.5 WHEREAS, Owner/Dcveloper made representations at the public
hearings both before the Meridian Planning & Zoning commission
and before the Mcridian City Council, as to how the subject Property
will be developed and what improvemarts will be made; and
1.6 WHpRBAS, record of'the procoedings for the requested anncxation
and zoning desigpation of the subject Property held before the
Planning & Zoning comrnission, and subsequently befbre the city

Council, include rosponses of government subdivisions providing
services within the City of Meridian planning jurisdiction,
and
received further testimony and comment; and
WIIEREAS, City Council, the 20e day of March, 2007, has
approved certain Findings of Fact and Conclusions of Law and
DJcision and Order, set t-orth in Exhibit B, which are attachcdhereto
and by this reference incorporated herein as if set forth in fuIl'
hereinafter refened to as (the Findings); and

l.B WHEREAS, the Findings require the OwnerlDevelopu to enter into
a development agreement trsfore the City Council takes fiml action
on arurcxation and zoning designation; and
1,9 OWI{ER/DEVELOPER deem it to be in their bcst interest to be
able to enter into this Agreernent and aokaowledges that this
Agtreement was entered into voluntarily and at their urging and
rcquests; and
l.l0 WIIERSAS, City requires the Owner/Developer to enter into a
development agreernent for the purpose of onsuringthat the Property
is devioped and the subsequcnt use ofthe Property is in accordance
with the ierms and conditions of this development agreement, herein
being establishetl as a rssult of evidence received by the City in the
proceedings for zoning designation from government subdivisions
providing services withinthe plarrning jurisdiction and from affected
property owners and to ensure re-zoning designation is in accordanee
wrfi the amended Comprehensive Plan of the City of Meridian
adopted August 6,2002,Resolution No' 02.382, and the Zoning and
Development Ordinances codified in Meridian Unified Development
Code, Title I l.
NOW, THERErORE, in consideration ofthe covenants and conditions set
tbrth herein, the parties agree as follows:
2. INCORPOR.ITION OF RECTTALS: That the above recitals are
contractual and binding and are incorporated herein as if set forth in full.
3. DEFINITIONS: For all purposes of this Agtreement ttre followrng words,
t6ms, and phrases herein contained in this section shall be defined and interpreted
as herein
provided for, unless the clear context of the presentation of the rame requires othenrise:

3.1 CITY: means and refers to the City of Meridian, a party to this
Agrecment, which is a municipal Corporation and govcrnment
subdivision of the state of Idaho, organized and existing by virtue of
law of the State of ldaho, whose address is 33 East ldaho Avenue,
Meridian,ldaho 83642.
3,2 OWNER/DEVELOPf,R: means and refers to Kendall Hoyd, whose
aqldress is 10835 \{. Treeline Court, Boise, ID, the party that owns
and is developing said Property and shall includs any subsequent
ov*ner(s) or developer(s) ofthe Property.
3,3 PROPERTYI means and rcfcrs to that cErtain parcel(s) of Property
located in the Cr:unty of Ada, City of Meridian as described in
Exhibit A describing the parcels to be re-zoned C-C (Communiry
Businoss District), attached hereto and bythis reference incorporated
hercin as ifset forth at length.
USES PERMITTEI} BYTHIS AGREEMENT:
4.1 The uses allowed pursuant to this Agreement are only those uses
allowed under City's Zoning Ordinance codified at Meridian Unified
Development Code $ I 1-28-2 which are herein specificd
as follows:
Xetall uses ln the proposed C-C zone on 1.12 acres, and the
pertlnent provlslons of the City af Meddian Comprehensive Plcn
are applicable ta thts AZ 06-062 applicatlon.
4.2 No change in the uses specified in this Agreanent shall bc allowed
without modification of this Agreement.
CONDITIONS COVERNING DEVELOPMENT OF SIIB.IEC'T
PROPERTY
5.1 Owner/Developer shall dovelop the Property in accordance with the
following spccial conditions:
l. A eross-access easement to Camel Drive shall be provided to the
property owncr to thc north (Matthew Hartz). Prior to issuance of a
Ccrtificate of Zoning Compliance on this site, submit a recorded copy
of said aross.access eascmeflt to the Planning Department'

The hows of operation for futurc busincsses on the sitc shall be limited
to the hours between 6:00 am and 10:00 pm to rcduce possiblc adverse
impacts on thc existing residenees adjacont to the site.
The applicant shall be responsible to obtain a Certifieate of Zoning
Compliance (CZC) permit from thc Planning Department for all new
construction on the subject propsrty.
All future development of the subjcct property shall comply with City
of Meridian ordinances in effect at the time of dcvelopment.
Any furure building on the site shall substantially comply with thc
conceptual elevations and construction materials submitted to thc city
as shown in Exhibit A of the Staff Report,
The detailed site plan submitted with any cZc applioation on this site
shall subrtantially comply with the conceptual site plur *ubmitted to the
Ciry as shown in Exhibit A of the StaffReporr,
The applicant shall bc rcsponsihle for all costs associated with sewer
and water service installation.
No direct lot access to Meridian Road shall be ailowed to this sitc.
Upon dwelopment of the property, a minimum 2S-foot wide landscape
buffer shall be constructed along N. Meridian Road. 'l'he
landscape
truffcr shall be placed on the subject property, in aecr:rdance with the
UDC standards.
Upon development of the property, a minimum I0-foot wid6 landscapc
buffer.shall be constructed along Carmel Drive. The landscape butfer
shall be constructed in accordance with the UDC standards.
Upon development of the property, construct a mininrum 25-foot wide
landscapc buffer adjacent to any existing residential uses which abut
this site.

Any new building on this site shall be required to receivs elcvation

The applicant shall complete all required improvements prior to
obtaining a Certificate of Occupancy for the proposed development.

ZONING DESIGNATION:
Owner/Dcveloper consent upon default to the reversal of the zoning
designation of the Property subject to and conditioned upon the following conditions
prcccdcnt to-wit:
7.1 That the Cityprovide written notice of any failure to comply with this
Agreemeat to Owncr/Developcr and if the Owner/Developer fail to
cure such failure within six (6) months of such notice.
8. INSPECTION: Owner/Devcloper shall, immediatelyupon completion of
any portion or the entirety of said development of the Property as required by this agreemanl
or by City ordinance or policy, notify the City Enginea and request the City Engineer's
inspections and written approval of such completed improvements or portion thereof in
accordance with the terms and conditions of this Development Agreement and all other
ordinances of the City that apply to $aid Devclopmcnt.
DEFAULT:
9.1 In thc cvent Owncr/Developet, or Owner/Dwelopers' heirs,
successors, 4sgigns, or subsequant owners ofthe Property or any other
person acquiring an interest in the Property, tbil to faithfully comply
with all of the terms antl corulitions included in this Agrcement in
connection with the Propety, this Agreemert may be modified or
terminated by the City upon compliance with thc requiremeirts ofthe
Zoning Ordinance.
9.2 A waiver by City of any default by Owner/Dcveloper of any one or
more of the eovenants or conditions hereof shall apply solely to the
breach and breoches waived and shall not bar aay other rights or
tfinedies of City or apply to any subsequent breaoh of atry sueh or
other covenants and conditions.
10. REQUIREMENT FOR RECORDATIONT City shall record either a
memorandum of this Agreement or this Agreemantn including all of the Exhibits, at
Owner/Developer's cost, and submit proof of suoh recording to OwnerlDevoloper, prior to
the third reading of the Meridian Zoning Ordinance in connection with the rc-eoning of the
Property by the City Council. If for any reason after such recordation, the City Council fails
to adopt the ordinance in connection with the annexation and zoning of thc Property

contempl&ted hereby, the City shall exeoute and rccond an eppropriate instrument ofrelease
of this Agreement.
I I . ZONING: City shall, following recordation of the duly approved Agreement,
enact a valid and binding ordinance zoning the Property as speoified herein.
12. BIMEDIES: This Agrcanent shall be enforeeable in any court of competent
jurisdiction by either City or Owns/Developer, or by any succc$sor or sucee$$ors in titls or
by the assigrrs of the partios horeto. Enforcement may be sought by an appropriate action at
law or in equity to secure the specific performance of the covenants, agreements, conditions,
and obligations contained herein.
1?,.1 In the went of a material breach of this Agrooment, the parties agree
that Cily and OwnerlDeveloper shall have thirry (30i days after
dclivery of notice of said breach to correct the same prior to tho non-
breaching party's seeking of any remedy provided for herein;
provided, however, that in the case of any such default which caffrot
with diligence be sured within such thirty (30) day period, if the
defaultirrg party shall commence to cure the same withrn such thirty
(30) day period and thereafter shall prosecutc thc curing of same with
diligence and continuity, then the time allowed to curs sueh failure
may be extonded for such poriod as may be necessary to complete the
curing of the same v/ith diligenco and continuity.
12.2 In the event thp performance of any covenant to tre perfrrrmcd
hereunder by either Owner/Developer or City is deloyd for causes
which are beyond the rcasonablc conhol of thc party responsible for
such performance, which shall includg without limitation, acts of
civil disobedicnce, strikes or eimilar causes, the tims for such
performance shall be extended by the amount of time of such delay,
13. SURETYOFPERFORMAIICE:'IheCitymayalsorcquircsurctybonds,
irrevocable letters ofcredit, cash deposits, certified check or negotiable bonds, as allowed
under Mcridiar City Code $

the Owner/Oevelopcr agrces to provide, if required by the City.
14. C0RTIflCATEOFOCCUPANCY: TheOwner/Developeragreesthatno
Certificates of Occupurcy will be iszued urttil all improvements are complete<I, unless the
City and Developer/Owngr has entered into an addendum agreement stating when the
improvements will bc complctcd in a phased devcloped; and in any event, no Certificatcs of

Occupancy ohall be issued in any phase in which the improvetncnts have not beerr installed,
completed, and acceptcd by the City.
I 5 . ABIDE BY ALL CITY ORDINANCES: That Owner/Devclopcr agre€s to
abide by all ordinances of the C)ity of Meridian and ths Property shall be subject to de-
annexation if ths owner or his assigns, heirs, or successors shall not meet the conditions
contained in the Findings of Fact and Conclusioru oflaw, this Development Agreement, and
the Ordinances of the City of Meridian.
16. NOTICE$: Any notice desired by the parties and/or required by this
Agreement shall bo deerned delivered if and when personally delivenxl or tluee (3) days ailrr
deposit in the United States Mail, registered or certified mail, postage prepaid, retum receipt
requested, addressed as follows:

l6.l A party shall have the right to ehange its addrcss by delivering to the
other party a written notification thereof in accordatrce with the
requirernenLs of this section.
17. ATTORNEY FEES: Should any litigation be commenced betwecn the
parties hereto conceming this Agreement, the prevailing parly strall be entitled, in addition to
any othor relief as may be granted, to court costs and reasonable attorney's fees as
determined by a Court of compotent jurisdictiort. This provision shall be tlesrned to be a
scparate contract between the parties and shall survive any default, terminstion or forfeiture
of this Agreernent.
I8. TIME IS OF THE ESSENCE; The parties hereto acknowledgo and agree
that tims is skictly of the essence with respcct to cach and every term, condition and

provision hcreof, and that the failure to timelyporform any of the obligations hereunder shall
constitutE a breach of and a default under this Agreement by the other party so failing to
perform,
19. BINDING UPON SUCCESSOR$: This Agreement shall be binding upon
and inure to thc bcncfit ofthe parties' respective heirs, succcssors, assigns and personal
representativeg, including City's corporate authorities and their successors in oflice. 'I'his
Agreement shall be binding on the Owner/Developer ofthc Propcrty, each subsequent ownor
and any other person acquiring an interest in the Property. Nothing hcrcin shall in any way
prevent sale or alienation of the Property, or portions thereof, except that any sale or
alienation shall bo subject to the provisions hereofand any successor owner or owners shall
be both benelited and bound by the conditions and restrictions hmcin cxprcssed. City agrees,
upon written request of Owncr4)cvclopcr, to cxccutc appropriate and recordable evidence of
termination of this Agreernent if City, in its sole ard reasonable discretion, had determined
that Owner/Developer has fully performed its obligations under this Ageement.
20. INVALTD PROVISION: If any provision of this Agreement is held not
valid by a court of competent jurisdiction, such provision shall
bc dscfircd to be excised from
this Agreement and the invalidity thereof shall not aflect any of the other provisions
containcd hcrcin.
21. F'INAL ACREEMENT: This Agreement sets forth all promises,
inducem€nts, agreernents, condition and understandinp b*ween OwnerlDeveloper and fity
relative to the subject matter hereof, and thore arc no promises, agreements, conditions or
understanding, either oral or written, express or implied, between Owner/Dweloper nnd City,
other than flc arc stated herein. Except as herein otherwisc provided, no subsequent
alteration, arnmdment, change or addition to this Agfeement shall be binding upon thc
parties hereto unless reduced to writing and signed by them or their successors in interest or
their assigns, and pursuant, with respect to City, to a duly adopted ordinance or rcsolution of
City.

accordanco with the notice provisions provided for a zoning designation

on the date thc Meridian City Council shall adopt the amendment to the Meridian Zoning
Ordinancs in connection with the anncxation and zordng ofthe Property and sxecutiou ofthe
Mayor ard City Clerk.

The applicant, Dr. Kevin McElroy, requests approval to modifu the existing development agreement
(MDA) (lnstrument No. 107067262) for the subject property to include a new conceptual
development plan and building elevations. See Section IX Analysis for

3. Flood Plain: A small portion of this site along the east boundary lies within flood zones X5
and AE; the AE portion lies within a flood way.
VII. COMPREHENSIVE PLAN POLICIES AND GOALS
This property is designated "Commercial" on the Comprehensive Plan Future Land Use Map. The
purpose of this category is to provide a full range of commercial and retail to serve area residents and

visitors. Uses may include retail, wholesale, service and office uses, multi-family residential, as well
as appropriate public uses such as government offices.
The subjecl l.l2 acre property, zoned C-C, is proposed to develop with a 2,700 square foot ffice
building with a pad for future
development as shown on the conceptual development plan, consistent
with the Commercial designation.
VIII. UNIFIED DEVELOPMENT CODE
A. Purpose Statement: Per UDC ll-28-1, the purpose of the commercial districts is to provide for
the retail and service needs of the community in accord with the Meridian Comprehensive Plan.
Allowed uses in the C-C district consist of larger scale and broader mix of retail, office, and
service uses. Properties should have access to arterials or nonresidential collector streets. Zfte

use is consistent with the future land use map designation of "Commercial"
for this property.
B. Schedule of Use: Unified Development Code (UDC) 11-28-2lists uses that are principal
permitted uses, conditional uses, and prohibited uses in the C-C zoning district. An ffice
building
is proposed on the concept plan along with a building padfor afuture structure. Office uses are
classified in the UDC as a professional service and are a principal permitted use in the C-C
zoning district.
IX. ANALYSIS
A. Analysis of Facts Leading to Staff Recommendation
The request is for a modification to the Development Agreement (DA) to update the conceptual
development plan, building elevations and construction materials for the future structure.
Since the original DA was recorded, the property has changed ownership. The former owner had
planned to construct a two story, 14,000 square foot office building on the site. The new owner
wishes to develop the property with a single story 2,700 square foot office building with an
additional 5,000 square foot building pad for future development. Therefore, a modification to the
DA is necessary to update the development plan & building elevations.
The current DA requires an easement to be recorded prior to issuance of Certificate of Zoning
Compliance (CZC) that grants cross-access to the property to the north The applicant requests an
amendment to the agreement to allow the easement to be recorded prior to issuance of Certificate
of Occupancy instead. The reason is so that they can proceed with submittal of the CZC without
delay. Staff is amenable to this request.
Staff has also included a few minor amendments to the DA along with reasons for the changes in
Exhibit A.6.
In summary, staff is of the opinion that the proposed amendments are in keeping with the spirit
and intent of the original development agreement and recommends approval of the proposed
modification.

Size of property, existing zoning, and location: The subject property consists of 1.12 acres, is cunently zoned C-C, and
is located on the northeast corner of N. Meridian Road & E, Carmel Drive,
Background: This site was annexed in 2007 with a development agreement. The conceptual development plan & building
elevations included in the DA depicted a '14,000
square foot (s.f.), 2-story office building. Since that time, the property has
changed ownership.
Summary of Request: The new owner proposes to modify the DA to update the conceptual development plan, building
elevations and construction materials. The new plan depicts a 2,700 s.f. single-story office building with an additional 5,000 s.f.
building pad for future development.
Staff also recommends a change to an existing provision of the DA that requires an easement to be granted for cross-access to
the property to the north. The provision cunently requires the easement to be recorded prior
to issuance of CZC; staff
recommends the applicant be allowed to proceed with their CZC without delay and submit the easement prior to issuance of
Certilication of Occupancy.

The hours ofoperation for future businesses on the site shall be lirnited
to the hours between 6:00 am and 10:00 pm to reduce possible adverse
impacts on the existing residences adjacent to the site.
The applicant shall be responsible to obtain a Certificate of Zotimg
Compliance (CZC) permit from the Planning Departrnent for all new
construction on the subject property.
Al1 future development of the subject property shall comply with City
of Meridian ordinances in effect at the time of development.
Any fuhre building on the site shall substaotially comply with the
conceptual elevations and construction materials submitted to the City
as shown in Exhibit A of the Staff Report.
The detailed site plan submitted with any CZC applicalion on this site
shall zubstantially comply with the conceptual site plan submitted to the
City as shown in Exhibil A of the Staff Report.
The applicant shall be responsible for all costs associated with sewer
and water servic€ installation.
No direct lot access to Meridian Road shall be allowed to this site.
Upon development ofthe property, a minimum 25-foot wide landscape
buffer shall be constructed along N. Meridian Road. The landscape
buffer shall be placed on the subject property, in accordance with the
UDC standards.
Upon development ofthe property, a minimum 1 O-foot wide landscape
buffet shall be constructed along Carmel Drive. The landscape buffer
shall be constructed in accordance with the UDC standards.
Upon development of the property, construct a minimum 25-foot wide
landscape buffer adjacent to any existing residential uses which abut
this site.
Sidewalks shall be installed along N. Meridian Road and Carmel Drive.
Any new building on this site shall be required to receive elevation
certification.
The applicant shall complete all required improvements prior to
obtaining a Cedficate of Occupancy for the proposed development.

6. COMPLIANCE PERIOD/CONSENT TO REZONE: This Agreement and
the commitrnents contained hercin shatl be terminated, and the zoning designation reversed,
upon a default ofthe Owner/Developer or Owners'/Develop€r:rs' heirs, successors, assigns, to

address is 10835 W. Treeline Court, Boise, ID, the party that owns
and is developing said Property and shall include any subsequent
owner(s) or developer(s) of the Property.
3.3 PROPERTY: means and refers to that certain parcel(s) of Property
located in the County of Ada, City of Meridian as described in
Exhibit A describing the parcels to be re-zoned C-C (Community
Business District), attached hereto and by this reference incorporated
herein as ifset forth at length.
USES PERMITTED BY THIS AGR-E,EMENT:
4.1 The uses allowed pursuant to this Agreement are only those uses
allowed under City's Zoning Ordinance codified at Meridian Unified
Development Code $ 1 1-28-2 which are herein specified as follows:
