ARTICLE 1 THE CONTRACT DOCUTIENTS
The Contract Documents consist of this Agreement, Conditions of the Contract (General, Supplementary and other
Conditions), Drawings, Specifications, Addenda issued prior to execution of this Agreement, other documents listed
in this Agreement and Modifications issued after execution of this Agreement, all of which form the Contract, and
are as fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract, together with
the performance bond and payment bond, if any, represent the entire and integrated agreement between the parties
hereto and supersedes prior negotiations, representations or agreements, either written or oral. An enumeration of
the Contract Documents, other than Modifications, appears in Article 9.
ARTICLE 2 THE WORK OF THIS CONTRACT
The Contractor shall fully execute the Work described in the Contract Documents, except as specihcally indicated in
the Confiact Documents to be the responsibility of others.
Contrac-t Requirements: Provide all labor, material and equipment required to complete the masonry work as
noted in the construction documents and per the following:
I fnis contract specilically includes but is not limited to:
o Complete all masonry work as shown on the construction documents.
. Receive, install and grout hollow metal frames and miscellaneous embedded items located in masonry
walls.
r Provide and install all shoring and bracing, lintels and sills for your work, including block outs for all
masonry, as required for this scope of work.
o Include block out and lintel for mechanical louver Ll.
o Fumish and install all anchor bolts in masonry as per the construction documents.
o Provide insulated blankets and labor for weather protection of masonry work as requted.
o Fumish and install reinforcing steel for masonry.
r Grind split face materials smooth behind fixtures and equipment.
r Caulk all masonry-masonry, masonry-hollow metal and masonry-concrete joints.
. All masonry materials to have integral water repellent.

. Shrink wrap all block to prevent chips or damage, and dispose of all refuse off-site.
o All construction shall follow OSHA standards and requirements.
o Contractors Warranty (standard warranty) on the project is 2 years (minimum) from the date of final
acceptance in lieu of the I year as indicated in the project manual. Refer to the Supplementary General
Conditions included in the bid book. Extended warranties will be as noted in the contract documents.
This contract specifically excludes:
o Furnishing of the hollow metal frames.
o Sealing of masonry is by others.
ARTICLE 3 DATE OF CO}I]UENCEMENT AND SUBSTANTIAL COI{PLETION
$ 3.1 The date of commencement of the Work shall be the date of this Agreement unless a different date is stated
below or provision is made for the date to be fixed in a notice to proceed issued by the Owner.
(Insert the date of commencement, if it difers from the date of this Agreement or, if applicable, state that the date
will befixed in a notice to proceed.)
The commencement date will be hxed in a notice to proceed.
If, prior to the commencement of the Work, the Owner requires time to file mortgages, mechanics' liens and other
security interests, the Owner's time requirement shall be as follows:
$ 3.2 The Contract Time shall be measured from the date of commencement.
$ 3.3 The Contractor shall achieve Substantial Completion of the entire Work not later than ( ) days from the date
of commencement, or as follows:

commencement. If appropriate, insert requiremenls for earlier Substantial Completion of certain portions of the
Work.)
The Contractor shall achieve Substantial Completion of the entire Work not later than June 14, 2019

In the event the Contractor, without excuse, fails to achieve Substantial Completion within the Contract Time, the
Conffactor shall pay to the Owner as liquidated damages, and not as a penalty, the sum of One Thousand Dollars
($1,000.00) or t/ro/o of the Contract Value (whichever is greater) for each and every calendar day following the end
of the Contract Time until Substantial Completion is achieved; provided that the Contractor shall not be liable for
liquidated damages for a day, or days ofthe excusable delay occurring during such period following the end ofthe
Contract Time.
ARTICLE4 CONTRACTSUM

$ 5.1 Progress Payments

$ 5.1.2 The period covered by each Application for Payment shall be one calendar month ending on the last day of
the month, or as follows:
$ 5.1.3 Provided that an Application for Payment is received by the Construction Manager not later than the Twenty-
fifth day of a month, the Owner shall make payment of the certified amount in the Application for Payment to the
Contractor not later than the Twenty-fifth day of the following month. If an Application for Payment is received by
the Construction Manager after the application date hxed above, payment shall be made by the Owner not later than
Thitty ( 30 ) days after the Construction Manager receives the Application for Payment.
(Federal, state or local laws may require payment within a certain peiod of time.)
$ 5.1.4 Progress Payments Where the Gontrac-t Sum is Based on a Stipulated Sum
S 5.1.4.1 Each Application for Payment shall be based on the most recent schedule of values submitted by the
Contractor and approved in writing by the Construction Manager and Architect in accordance with the Contract
Documents. The schedule of values shall allocate the entire Contract Sum among the various portions of the Work
and be prepared in such form and supported by such data to substantiate its accuracy as the Constnrction Manager
and Architect may require. This schedule, when, and only when, approved in writing by the Construction Manager
or Architect, shall be used as a basis for reviewing the Contractor's Applications for Payment.
S 5.1.4.2 Applications for Payment shall show the percentage of completion of each portion of the Work as of the
end of the period covered by the Application for Payment.
$ 5.1.4.3 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be
computed as follows:
.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by
multiplying the percentage completion of each portion of the Work by the share of the total Confiact
Sum allocated to that portion of the Work in the approved schedule of values, less retainage of Five
percent ( 5.00 %). Pending final determination of cost to the Owner of changes in the Work, amounts
not in dispute may be included as provided in Section 7.3.9 of the General Conditions, as modified;
.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and
suitably stored at the site for subsequent incorporation in the compteted construction (or, ifapproved
in writing in advance by the Owner, suitably stored offthe site at a location agreed upon in writing),
less retainage of Five percent ( 5.00 %);
.3 Subtract the aggregate of previous payments made by the Owner;
,4 Subtract amounts, if any, for which the Construction Manager or Architect has withheld or nullified a
Certificate for Payment as provided in Section 9.5 of the General Conditions, as modified; and
.5 Subtract amounts, if any, being withheld by the Owner or Construction Manager as provided in the
Contract Documents.
$ 5.1.4.4 The progress payment amount determined in accordance with Section 5.1.4.3 shall be further modified
under the following circumstances:
.1 Add, upon Substantial Completion of the Work, a sum sufftcient to increase the total payments to
Ninety-five percent ( 95.00 %) of the Contract Sum, less such amounts as the Construction Manager
recommends and the Architect determines for incomplete or defective Work, or both and unsettled
claims; and
.2 Add, if final completion of the Work is thereafter materially delayed through no fault of the Contractor,
any additional amounts payable in accordance with Section 9.10.3 of the General Conditions, as
modified.
S 5.1.1.5 Reduction or limitation of retainage, if any, shall be as follows:
(If it is intended, prior to Substantial Completion of the entire Work, to reduce or limit the retainage resultingfrom
the percentages inserted in Sections 5.1.4.3.1 and 5.1.4.3.2 above, and this is not explained elsewhere in the
Contract Documents, insert here provisions for such reduction or limitation.)
I No reduction in retainage will be allowed prior to final completion without written approval of the Owner

$ 5.2 Final Payment
$ 5.2.1 Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the Owner to the
Contractor when
.1 the Contractor has fully performed the Contract except for the Contractor's responsibility to correct
Work as provided in Section 12.2 of AIA Document A232-2009 as modified, and to satis$ other
requirements, if any, which extend beyond final payment;
.2 the Contractor has submitted a final accounting for the Cost of the Work, pursuant to Exhibit A,
Determination of the Cost of the Work when payment is on the basis of the Cost of the Work, with or
without a Guaranteed Maximum payment; and
.3 a final Certificate for Payment or Project Certificate for Payment has been issued by the Architect; such
final payment shall be made by the Owner not more than 30 days after (l) the Contractor has fully
performed the Contract and (2) the issuance of the final Certificate for Payment or Project Certificate
for Payment, or as follows:
ARTICLE 6 DISPUTE RESOLUTION
$ 6.1 lnitial Decision ilaker
The Architect will serve as Initial Decision Maker pursuant to Section 15.2 of AIA Document 4232-2009 as
modified, unless the parties appoint below another individual, not a party to this Agreement, to serye as Initial
Decision Maker.

$ 6.2 Binding Dispute Resolution
