9. Severability. If a court or an arbitrator of competent jurisdiction holds any section of this Agreement to be
illegal, unenforceable, or invalid for any reason, the validity and enforceability of the remaining sections of this
Agreement shall not be affected.
10. Entire Agreement. It is expressly understood and agreed that this Agreement constitutes the entire
understanding and agreement between the parties relating to the subject matter hereof and supersedes and
replaces all prior negotiations, agreements or understandings between the parties, whether written or oral.
11. Execution in Countemarts. This Agreement maybe executed simultaneously or in any number of counterparts,
and a copy, facsimile, or PDF of any signature to the Agreement shall be deemed an original, as well as all
such counterparts, each of which shall be equally admissible in evidence, but all of which together shall
constitute one and the same Agreement, notwithstanding that the signatures of each party or their respective
representatives do not appear on the same page of this Agreement.
