& GIRLS CLUBS OF ADA COUNTY FOR CONTRIBUTION OF FUNDS
This FIRST AMENDMENT to RECIPIENT AGREEMENT BETWEEN CITY OF MERIDIAN AND
BOYS & GIRLS CLUBS OF ADA COUNTY FOR CONTRIBUTION OF FUNDS ("First Amendment") is
made this day of December, 2015 ("Effective Date"), by and between the City of Meridian, a
municipal corporation organized under the laws of the state of Idaho ("City") and Boys & Girls Clubs of Ada
County, a nonprofit charitable corporation organized under the laws of the state of Idaho ("Recipient").
WHEREAS, on June 24, 2014, the Parties entered into a Recipient Agreement Between City of Meridian
and Boys & Girls Clubs of Ada County for Contribution of Funds ("June 24, 2014 Agreement") establishing the
Parties' respective rights and responsibilities regarding the construction of a gymnasium at the Boys & Girls
Clubs of Ada County — Meridian Unit, located at 911 N. Meridian Road, in Meridian, Idaho;
WHEREAS, construction of the gymnasium is now estimated to be complete in February 2016, with a
joint grand opening of the gymnasium and teen center in April 2016;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and
in the June 24, 2014 Agreement, the Parties hereby agree and contract as follows:
I. Provision modified. Section I.D. of the June 24, 2014 Agreement shall be amended to read as follows:
D. Time of performance. It is anticipated that Recipient shall start constructing the gymnasium on or
before September 30, 2014, and shall complete construction by March 31, 2016. The term of this
Agreement and the provisions herein shall be extended to cover any additional time period during which
Recipient remains in control of City funds.
IL All other provisions in effect. Except as expressly modified by this First Amendment or other duly
executed addenda, all provisions of the June 24, 2014 Agreement shall remain in full force and effect. No
other understanding, whether oral or written, shall be deemed to enlarge, limit or otherwise affect the
operation of the June 24, 2014 Agreement or this First Amendment thereto.
IN WITNESS WHEREOF, the parties shall cause this First Amendment to be executed by their duly
authorized officers to be effective as of the day and year first above written.
